Resolution No. 2025-02
A Resolution of the City of East Wenatchee, Washington authorizing
the Mayor to execute an interlocal agreement with the Chelan Douglas
Transportation Council for two MioVision Scout Traffic Counters.

2. Authority.
2.1. RCW 35A.11.020 and RCW 35A.12.190 authorize the City Council to organize and regulate its internal affairs and to define the powers, functions and duties of its officers and employees.
THE CITY COUNCIL OF THE CITY OF EAST WENATCHEE DO RESOLVE AS FOLLOWS:
3. Authorization. The City Council authorizes the Mayor to enter into an interlocal agreement as defined in Exhibit A.
4. Severability. If a court of competent jurisdiction declares any provision in this resolution to be contrary to law, such declaration shall not affect the validity of the other provisions of this Resolution.
5. Effective date. This Resolution becomes effective immediately.
Passed by the City Council of East Wenatchee, at a regular
meeting thereof on this 7th day of January, 2025.

INTERLOCAL AGREEMENT FOR TRANSFER OF EQUIPMENT
THIS INTERLOCAL AGREEMENT for the transfer of equipment is entered into this ____ day of January,
2025, by and between the Chelan-Douglas Transportation Council (CDTC) and the City of East
Wenatchee, collectively referred to as “Parties” to this agreement.
WHEREAS, pursuant to Chapter 39.34 RCW, the Parties are authorized to enter into this Agreement for
the purpose of enabling the Parties to mutually cooperate with each other and thereby provide for this
transfer of equipment; and
WHEREAS, CDTC has a need to surplus four (4) MioVision Scout video traffic data counters, referred to
herein as “the equipment;” and
WHEREAS, the equipment has remaining useful life but is 12 years old and has no significant residual
monetary value due to discontinuation of vendor support for software and firmware; and
WHEREAS, the City of East Wenatchee has identified a use and need for two (2) of the available video
traffic data counters and will make available to CDTC all data collected with the equipment; and
WHEREAS, CDTC will continue to accrue significant value and benefit from City of East Wenatchee’s use
of the equipment and resulting data.
NOW, THEREFORE, the parties hereby mutually agree that CDTC will transfer the equipment at no
monetary cost to City of East Wenatchee, and that the data to be collected with the equipment and
shared by City of East Wenatchee represents “full value” in lieu of monetary payment, in accordance
with RCW 49.09.210, RCW 39.33.010 and AGO 1997 No. 5. In the event that the equipment is no longer
put to use by the City of East Wenatchee, or if it is not functional, the City will notify the CDTC and either
return the equipment or dispose of it, as directed by the CDTC.
