Citizen comments will be limited to three minutes. 6.PRESENTATIONS a.Indigenous Peoples’ Day Proclamation. – Mayor Crawford. b.Columbia Valley Community Health Community Update. – Manuel Navarro, CEO of CVCH. 7.PUBLIC HEARINGS The Mayor will call the Public Hearing to order and state the ground rules, the purpose of the hearing, and will state the manner in which the hearing will proceed. Staff will first give a report, followed by public testimony. All speakers must speak into the microphone and clearly state their name and address. All comments should be addressed to the City Council, should be relevant to the topic, and should not be of a personal nature. Public testimony may be limited to three minutes, unless further time is granted by the Mayor. If there are a large number of speakers, a representative may be appointed to speak on behalf of the group. a.Second public hearing for consideration of adopting a resolution to establish proposed zoning regulations for areas outside the City of East Wenatchee and within the city’s urban growth area. Presented by Josh DeLay, Finance Director. i.First reading of Ordinance 2023-14, authorizing the regular property tax levy to be collected in the 2024 tax year, an increase of approximately $48,000 in the regular property tax resulting from previously banked capacity, an increase of 1% in the regular tax levy, and authorizing an increase which may be allowed in the amount under new construction, improvements to property and the State assessed property provisions of State law. – Josh DeLay, Finance Director. Ordinance 2023-14 will be presented at the 11/07/2023 Council Meeting for consideration and action by the Council. 8.ACTION ITEMS a.Resolution 2023-52, RFP – Genetec Surveillance and Access Control System Vendor Selection Approval and Contract authorization by Resolution 2023-52. – Ike Laswell, IS Manager. Motion by the City Council to approve Resolution 2023-52, authorizing the Mayor to execute a contract between the City of East Wenatchee and CompuNet Inc. for the Genetec Surveillance and Access Control System project for an amount not to exceed $46,249.31. b.Resolution 2023-53, Interlocal Agreement regarding Fire Protection Services. – Sean Lewis, Assistant City Attorney. Motion by the City Council to approve Resolution 2023-53, authorizing Mayor Crawford to execute the Interlocal Agreement with Wenatchee Valley Fire Department as presented. c.East Wenatchee Events Board Funding recommendation for Lodging Tax funds for the Spirit of Wenatchee 2024. – Trina Elmes, Events Director/PIO. Motion by the City Council to authorize Mayor Crawford to execute an agreement between the City of East Wenatchee and the Spirit of Wenatchee for an amount not to exceed $6,000.00 for operating expenses of Miss Veedol in the year 2024. 9.MAYOR’S REPORT a.Staff Offices. 10.COUNCIL REPORTS & ANNOUNCEMENTS a.Reports/New Business of Council Committees. 11.ADJOURNMENT Pg. 88 Pg. 95 Pg. 118 Pg. 127 10-17-2023 City Council Agenda Packet Page 2 of 140 10-17-2023 City Council Agenda Packet Page 3 of 140 SECOND AMENDED INTERLOCAL AGREEMENT (“AGREEMENT”) BETWEEN THE CITY OF EAST WENATCHEE AND CHELAN COUNTY FOR JUVENILE DETENTION SERVICES THIS AMENDED AND RESTATED Interlocal agreement Between the City of East Wenatchee and CHELAN COUNTY FOR JUVENILE DETENTION SERVICES amends and restates the Interlocal Agreement Between the City of East Wenatchee and CHELAN COUNTY FOR JUVENILE DETENTION SERVICES, of January 1, 2010, previously amended in 2022: 1.Parties. The parties to this Agreement are the City of East Wenatchee (“City”) and Chelan County Juvenile Center. 2. Background. a.Chelan County presently owns and maintains the Chelan County Juvenile Center (“Center”), located at 300 Washington St., Wenatchee, WA b.Douglas County has informed the City that it will not pay for the costs associated with the temporary detention of a juvenile arrested for a new offense without a warrant when he or she is transported to the Center by East Wenatchee police officers. c.It is the City’s position that all costs associated with the booking and detention of a juvenile are Douglas County’s responsibility to pay, regardless of which law enforcement agency transports the juvenile to the Center. d.By entering into this Agreement, the City is not waiving its ability to pursue available legal remedies to resolve its dispute with Douglas County. e.While the city resolves its dispute with Douglas County, the city desires that Chelan County assume the safekeeping, care, and sustenance of juveniles brought to the Center by City police officers. f.The City believes it is in the best interests of the City and Chelan County to have Chelan County provide detention services to the City on an “as needed” basis through the Center. 3.Authority. RCW 39.34.080 authorizes one or more public agencies to contract with one another to perform governmental services which each itself is by law authorized to perform. 4. Purpose. The purpose of this Agreement is to set forth the terms and conditions under which Chelan County shall provide juvenile detention services for juveniles brought to the Center by City police officers. The terms and conditions of this Agreement are an integration and representation of the final, entire, and exclusive understanding between the parties superseding and merging all previous agreements, writings, and communications, oral or otherwise, regarding the subject matter of this Agreement. 10-17-2023 City Council Agenda Packet Page 4 of 140 5. Definitions. a. Detention. For purposes of this Agreement, the term “detention” means that period of time when a juvenile is within the physical confines of the Center or under the direct supervision and control of a Chelan County Juvenile Department agent, employee or officer. b. Juvenile. For purposes of this Agreement, the term “juvenile” means a person age 17 years or younger who is subject to the jurisdiction of the Juvenile Department of Douglas County Superior Court and arrested for a new offense without a warrant. 6. Duties of the Parties a. Duties of Chelan County. i. Chelan County agrees to provide detention services to juveniles brought to the Center by City police officers on an “as needed” basis. Such services shall be provided at the Center. ii. Chelan County agrees to provide medical care, including sick call and routine follow up care as provided by the Chelan County joint jail/juvenile medical services program, to the same extent and under the same terms that such services are currently provided to all other youth housed at the Center. The cost of necessary or emergent medical care that must be provided outside the Center or which involves care providers or services beyond the capabilities of the jail/juvenile medical program will be the responsibility of the City. For purposes of this subsection, the term “necessary” refers to medical care that is recommended by staff of the jail/detention medical program and cannot reasonably be delayed until such time as the youth is released from the Center. iii. Chelan County shall provide juveniles brought to the Center by City police officers detention school services and other services pursuant to the applicable Chelan County policy for said service(s) and consistent with the terms and conditions under which all other Chelan County detained juveniles receive said services. iv. Chelan County reserves the right to refuse admittance of any juvenile brought to the Center by City police officers for failure to meet the criteria for detention as stated in RCW 13.40.040, and other applicable law, or any other reason which would, if ignored, result in a violation of law, or would violate Chelan County policy on admission of youth with emergent medical conditions. b. Duties of City. i. The City shall be responsible for delivery of detained juveniles to the Center and for transportation of Douglas County detainees to and from all court appearances while in detention and shall sign for and take responsibility for juveniles’ property when transporting. 10-17-2023 City Council Agenda Packet Page 5 of 140 ii. The City shall be solely responsible for the sufficiency of the legal basis for the arrest and detention of all detained juveniles brought to the Center by City police officers. 7. Duration. The term of this Agreement initially commenced on January 1, 2022, and shall continue until terminated pursuant to the provisions of this Agreement. 8. Termination. Either party may terminate this Agreement, without cause, by providing written notice to the other party no less than 90 days in advance of the date of intended termination. No termination of this Agreement shall release either party from any liability or obligation with respect to any matter occurring prior to such termination. 9. Payment to Chelan County a. Bed Day Rate Payment. The City shall pay the sum of $125.00 per bed day per juvenile from the time he or she is admitted into the Center until the time of his or her preliminary hearing. Any portion of a day constitutes a full day for the purpose of determining reimbursement. Beginning January 1, 2024, the bed day rate shall increase to $150 per day. b. Medical Expenses. The City shall reimburse Chelan County for the cost of emergency and non-routine medical services, as defined in Section 6(a)(ii) above, provided to a juvenile brought to the Center by City police officers between the time the juvenile is admitted into the Center and thse time of the juvenile’s first appearance before a court of competent jurisdiction. c. Quarterly Billing. Chelan County shall submit a billing to the City at the end of each quarter for the entire amount incurred during that period. d. Detention Log. Chelan County shall provide the City with a detention log at the time of billing, in order for the City to properly account for City-contracted juveniles served in the Center. e. Due Date. The City shall pay Chelan County within twenty days of receipt of the quarterly billing. 10. Claims for Damages. To the extent of its comparative liability, each party shall indemnify, defend and hold the other party, its departments, elected and appointed officials, employees and agents harmless from and against any and all claims, damages, suits, actions, losses and expenses, including attorney’s fees, for any bodily injury, sickness, disease, or death, or any damage to or destruction of property, including the loss of use resulting therefrom, which are alleged or proven to be caused in whole or in part by a negligent act or omission of the county’s or city’s officials, employees, and agents. 11. Compliance with all laws. Each party shall comply with all federal, state, and local laws, rules, regulations, and ordinances applicable to the performance of this Agreement. 12. Maintenance and Audit of Records. Each party shall maintain books, records, documents, and other materials relevant to its performance under this Agreement. These 10-17-2023 City Council Agenda Packet Page 6 of 140 records shall be subject to inspection, review, and audit by either party or its designee and the Washington State Auditor’s Office. Each party shall retain such books, records, documents, and other materials as required by Washington law. 13. Improper Influence. Each party agrees, warrants, and represents that it did not and will not employ, retain, or contract with any person or entity on a contingent compensation basis for the purpose of seeking, obtaining, maintaining, or extending this Agreement. 14. Conflict of Interest. The elected and appointed officials and employees of both parties shall not have any personal interest, direct or indirect, which gives rise to a conflict of interest. 15. Time. Time is of the essence of this Agreement. 16. Waiver Limited. A waiver of any term or condition of this Agreement must be in writing and signed by the waiving party. Any express or implied waiver of a term or condition of this Agreement shall apply only to the specific act, occurrence or omission and shall not constitute a waiver as to any other term or condition or future act, occurrence or omission. 17. Dispute Resolution. Disputes shall be arbitrated by the parties pursuant to the local rules of the Superior Court for Chelan and Douglas Counties. 18. Governing Law. This Agreement shall be governed exclusively by the laws of the State of Washington. 19. Construction of Agreement. This Agreement shall not be construed more strictly against one party as the drafter, because both Chelan County and the City have contributed materially to the preparation hereof. 20. Notice. Any notice delivered with respect to this Agreement shall be in writing and be deemed to be delivered (whether or not actually received) when (i) hand delivered to the person(s) hereinafter designated, or (ii) upon deposit of such notice in the United States Mail, postage prepaid, certified mail, return-receipt requested, addressed to the person at the address set forth opposite the party’s name below, or such other address or to such other person as the party shall have specified by written notice to the other party delivered in accordance herewith: CITY OF EAST WENATCHEE CHELAN COUNTY JUVENILE CENTER MAYOR JERRILEA CRAWFORD COREY G. If any section or portion of this Agreement is determined to be unlawful by a competent court of law, such determination shall not affect the remaining terms and conditions of the Agreement. 22. Modification of Agreement. This Agreement may be amended by written agreement of the duly authorized representatives of each party. 23. Entire Agreement. The parties agree that this Agreement is the complete expression of the terms hereto and any oral representations or understandings not incorporated herein are excluded. 24. Filing of Agreement. The City shall file this Agreement with the Douglas County Auditor. Chelan County shall file this Agreement with the Chelan County Auditor. This Agreement shall not become effective until both parties have so filed the Agreement. Mayor Crawford read the Appearance of Fairness Doctrine and asked Councilmembers to disclose any ex-parte communications regarding the application. All Councilmembers present stated their communications and/or relation(s) that could appear as a conflict of interest. No Challenges were made as part of the Appearance of Fairness or Conflict of Interest doctrine. Mayor Crawford stated the quasi-judicial Public Hearing Procedures and Rules of Order. Community Development Director Curtis Lillquist provided an overview of the application and submitted Exhibit A. Please see the attached. Lillquist reviewed the action(s) available to City Council regarding the application and answered questions from the Council. Comments were made by all Councilmembers present. Braden Dragoo, resident at 432 Anna Lane in Wenatchee, applicant and property owner, presented his application and answered questions from the Council. Community Development Director Curtis Lillquist provided clarification regarding the process of administrative (department) review of an application and described to Council the action(s) permitted on this item. Comments were made by: Councilmember Sleiman, Councilmember Magdoff, and Councilmember Hepner. A Motion by Councilmember Sterk was made to deny the application and adopt Resolution 2023-51. Councilmember Johnson seconded the motion. Discussion took place and it was determined that for the motion to be accepted, the need to incorporate findings of fact (as part of the motion) had to be made. Councilmember Sterk requested 5 minutes to amend and incorporate findings of fact in his motion. A recess of 7 minutes was granted at 7:50 p.m. The meeting was resumed at 7:57 p.m. Councilmember Sterk amended his motion to deny the application CPA-ZC 2023-01 and adopt Resolution 2023-51, to include the following finding of fact: • the inconsistency to the Greater East Wenatchee Area Comprehensive Plan states that, under Residential High/office land use, “Urban governmental services and infrastructure must be available at the time of development or there must be a plan in place, with funding, to ensure that a full range of urban governmental services is available to serve the development.” Under RCW 36.70A.030 (43), Urban governmental services is defined as ‘those publics services and public facilities at an intensity historically and typically provided in cities, specifically including storm and sanitary sewer systems, domestic water systems, street cleaning services, fire and police protection services, public transit services and other public utilities associated with urban areas and normally not associated with rural areas. It has been said that the area proposed for Residential High office use does not have necessary services such as storm water drainage or fire hydrants. Without storm drains or fire hydrants on the street in question, and no emergency vehicle turnarounds, the subject property does not seem to be served with a full range of urban services. There is a reasonable probability that a change in the land use designation will have more than a moderate effect on the environment. Additionally, it must be remembered, the current members of the neighborhood are in complete opposition to this proposal. Councilmember Johnson seconded the motion. WORKSHOP SESSION Councilmember Shayne Magdoff called the East Wenatchee City Council Workshop to order at 5:30 p.m. 1. BUDGET WORKSHOP Finance Director Josh DeLay presented the City of East Wenatchee 2024 Preliminary Financial Budget. He reviewed significant changes in each Department (Attachment A) and suggested the Council collect the regular property tax levy in the 2024 tax year. The council provided a consensus in agreement with that proposal. Mr. DeLay provided a 5-year snapshot of the General Fund Revenues, Expenses and Fund balances and provided information on the ability to impose a tax on the income of Utilities Companies as an avenue to generate revenue. DeLay finished by stating that implementation of such tax would align with the goals of ensuring long-term financial stability for the City, a strategy to effective and efficient government as depicted by the City’s strategic plan. The council provided a consensus in agreement with that proposal. Comments provided by all Councilmembers that were present. No action was taken by the Council. 2. STORMWATER WATER FEE Public Works Manager Garren Melton provided a historic overview of the City of East Wenatchee Stormwater Utility Program. During the presentation Mr. Melton indicated the City of East Wenatchee had not increased its rates since 2008. Melton presented options on rate increases and suggested the utility rate be reviewed every 3- 5 years to avoid large future rate increases. The Council indicated their preference for Option 3 as presented in Attachment B. Comments provided by all Councilmembers that were present. No action was taken by the Council. 3. Summary Title: Second public hearing for consideration of adopting a resolution to adopt proposed zoning regulations and maps for potential annexation areas outside the City of East Wenatchee and within the city’s urban growth area, repealing Resolution 2021-35, containing a severability clause, and establishing an effective date. II. Background/History: State law allows cities to adopt zoning district designations for areas that could potentially be annexed into the city. The city council originally adopted a proposed zoning resolution for potential annexation areas in 1994 (Resolution 1994-12). Resolution 2021-35 is the current document which sets zoning regulations and maps for potential annexation areas. The proposed resolution repeals Resolution 2021-35 and updates the maps with current zoning designations. The maps are Exhibit A to the resolution. Douglas County has adopted the City’s Zoning Code for application within the urban growth area. However, there are two Zoning District designations and applicable regulation chapters that are not found in the City Zoning Code.  The General Industrial (I-G) District is regulations in Chapter 18.60 Douglas County Code (DCC), and  The Recreation Overlay (R-O) District is regulated in Chapter 18.46 DCC Those designations and regulations have been included in the resolution as Exhibit A until such time as the East Wenatchee Municipal Code is amended to include those Zoning Districts. All of the designations on the maps are consistent with the Greater East Wenatchee Area Comprehensive Plan Land Use Map. The Planning Commission held a public hearing on August 23, 2023, to take public comment and to review the designation. Recitals. 3.1. The City of East Wenatchee (“City”) currently has in effect Proposed Zoning Regulations for annexation areas in accordance with City Resolution 2021-35 adopted on December 7, 2021. 3.2. On June 20, 2023, Douglas County adopted four ordinances changing zoning on properties within the unincorporated portion of the East Wenatchee Urban Growth Area. 3.3. The Washington State Growth Management Act (“the Act”), codified as RCW 36.70A, requires counties planning ender the Act to designate urban growth areas “within which urban growth shall be encouraged and outside of which growth can occur only if it is not urban in nature.” 3.4. The Act at RCW 36.70A.110(7) states, “An urban growth area designated in accordance with this section may include within its boundaries urban service areas or potential annexation areas designated for specific cities or towns within the county”. 3.6. The Act requires comprehensive plans and development regulations to be consistent. 3.7. The City and Douglas County adopted the Greater East Wenatchee Area Comprehensive Plan (“GEWA”) in accordance with the provisions of Chapter 36.70A RCW establishing the urban growth area boundary surrounding the City. The GEWA covers the City and Douglas County unincorporated areas within the East Wenatchee Urban Growth Boundary. 3.8. The proposed Zoning Designations are consistent with the land use designation in the comprehensive plan. 3.9. On August 23, 2023, the East Wenatchee Planning Commission considered the Proposed Zoning Regulations at a public hearing and recommended Approval. 3.10. On September 5, 2023, the City Council adopted Ordinance 2023-10 amending the Greater East Wenatchee Area Comprehensive Plan to include the four land use designation amendments adopted by Douglas County within the unincorporated portion of the urban growth area. 3.11. In accordance with RCW 35A.14.330 and RCW 35A.14.340, the City Council held public hearings to consider the adoption of new Proposed Zoning Regulations for areas outside of the City on September 5, 2023, and on October 17, 2023; and 3.12. Notice of the public hearings was published in the Wenatchee World, a newspaper of general circulation in the City and within the potential annexation areas. 3.13. The City Council finds that it is in the best interest of the City and its citizens to adopt Proposed Zoning for the areas outside the East Wenatchee City Limits and within the urban growth area. THE CITY COUNCIL OF THE CITY OF EAST WENATCHEE DO RESOLVE AS FOLLOWS: 4. Adoption 1 – Proposed Zoning for Annexation Areas. The maps designated Proposed Zoning for Annexation Areas Map (RCW 35A.14.330) and bearing the date of 8-11-2023 (hereinafter “Map”) are hereby adopted as the Official Proposed Zoning Map for Annexation Areas as set forth in Exhibit A. 5. Adoption 2 – Proposed Zoning Regulations. Findings of Fact. The City Council adopted the Recitals above as findings of fact and hereby finds that the Proposed Zoning Regulations are designed to: 7.1. Encourage the most appropriate use of land throughout the areas that may be annexed; 7.2. Lessen traffic congestion and accidents; 7.3. Secure safety from fire; 7.4. Provide adequate light and air; 7.5. Prevent overcrowding of land; 7.6. Avoid undue concentration of population; 7.7. Promote a coordinated development of the unbuilt areas; 7.8. Encourage the formation of neighborhood or community units; 7.9. Encourage an appropriate allotment of land area in new development for all the requirements of community life; 7.10. Conserve and restore natural beauty and other natural resources; and 7.11. Facilitate the adequate provision of transportation, water, sewerage and other public uses and requirements. 8. Repeal. City of East Wenatchee Resolution 2021-35 is hereby repealed. 9. Severability. If a court of competent jurisdiction declares any provision in this resolution to be contrary to law, such declaration shall not affect the validity of the other provisions of this Resolution. 10. Recording. The City Clerk shall certify a copy of this Resolution and the Proposed Zoning for Annexation Areas Map and the same shall be filed with the Douglas County Auditor. 11. Effective date. After the hearing and after duly considering all relevant evidence and testimony presented, the City Council will determine if the City does need to increase property tax revenue from the previous year by the allowable 1%, does need to increase property tax revenue by collecting previously banked capacity, and has a need for the increase in property tax revenue resulting from the addition of new construction, improvements to property, and any increase in the value of state-assessed property, in order to discharge the expected expenses and obligations of the City. vi. After the hearing and after duly considering all relevant evidence and testimony presented, the Council may find that the City has future substantial need for an increase in years after 2024. 2. Authority a. RCW 32A.11.020 and RCW 35A.2.190 authorize the City Council to adopt ordinances of all kinds to regulate its municipal affairs and appropriate to the good government of the City. b. RCW 84.55.12 authorizes the City Council to adopt a tax increase by ordinance. THE CITY COUNCIL OF THE CITY OF EAST WENATCHEE DO ORDAIN AS FOLLOWS: Section 1: Purpose. The City wishes to establish its regular property tax levy for the year 2024. Section 2: Authorization. This SOW is made a part of and is subject to the Terms and Conditions (Appendix A). Collectively, this SOW, and Appendix A are referred to as the "Agreement." CompuNet, Inc. will provide services to Customer under this Agreement as further described below. Overview Of Services Executive Summary City of East Wenatchee has requested design and engineering services from CompuNet to provide video surveillance and access control as part of the existing Genetec system. In addition, a migration of the Directory at City Hall to a new host will be performed. Project Overview CompuNet Engineers will be onsite and remote at City of East Wenatchee's facility to conduct the project scope tasks outline in this scope of work. CompuNet engineers will work in conjunction with the Customer's IS staff to ensure a successful implementation of Genetec Security Center components. WHEREAS, the Department is organized under Title 52 RCW and provides fire protection and other services. WHEREAS, in accordance with the law, the Chelan and Douglas County Assessors determine the equalized valuations of the property for general tax purposes on all nonexempt real and personal property located in the Department boundaries (the “Assessed Value”). WHEREAS, pursuant to chapter 52.26 RCW the Department levies ad valorem taxes on all real and personal property within the Department boundaries in accordance with the Assessed Value (the “Levy Rate”). WHEREAS, pursuant to chapter 52.26 RCW the Department may issue nonvoter approved and voter approved general obligation bonds payable from ad valorem taxes on all real and personal property within the Department boundaries (the “Bond Rate”). WHEREAS, the Levy Rate and the Bond Rate are hereinafter (the “Tax Rate”) and represent the rate per $1,000 of Assessed Value levied on an annual basis by the Department. WHEREAS, RCW 52.30.020 provides for fire protection districts to enter into interlocal agreements, pursuant to RCW 39.34, with state agencies and municipal corporations which have property, buildings, and/or equipment located within a fire district for fire protection services necessary for the protection and safety of personnel and property (the “Fire Protection Services”). WHEREAS, the Agency has property, buildings, and/or equipment located within the boundaries of the Department (“Agency Facilities”). WHEREAS, the Chelan and Douglas County Assessors do determine the equalized valuations of the property of the Agency Facilities. WHEREAS, in lieu of an Assessed Value the Department and the Agency have elected to utilize the seventy percent (70%) of the value declared by the Agency for casualty insurance on the Agency Facilities (the “Adjusted Insured Value”). WHEREAS, the Department and the Agency have determined that Adjusted Insured Value of the Agency Facilities multiplied by the Tax Rate is a true and full value as required pursuant to RCW 43.09.210. EXHIBIT A City of East Wenatchee Resolution 2023-53 10-17-2023 City Council Agenda Packet Page 121 of 140 -2- NOW, THEREFORE in consideration of the mutual promises and covenants contained herein the Department and the Agency agree as follows: 1. Annual Payment by Agency to Department. Except as provided herein, each calendar year on or before the 1st day of March of that year the Agency shall make an annual payment to the Department for the Services provided during that year (“Annual Payment”). 1.1. Calculation of Annual Payment. Except as provided herein, the Annual Payment shall be calculated by the Department by multiplying the Tax Rate times the Adjusted Insured Value of all Agency property located within the Department. On or before December 31st of each year the Department will provide an invoice to the Agency of the amount of the Annual Payment for the following year. 1.2. Reporting Changes in Agency Facilities and Adjusted Insured Value. Exhibit “A” attached hereto is a current list of the real and personal property of the Agency located within the Department boundaries. On or before November 1 of each year, the Department will provide Agency with updates to the information in Exhibit “A”. On or before November 15 of each year, Agency will provide the Department with the most recent insurance schedules, including additions and deletions, of the properties subject to this agreement. On or before December 15 of each year, the parties shall approve an amended Exhibit A to adjust insured values for the coming year. 1.3. Alternative Method of Calculating Annual Payment – Selection of Appraiser. At the election and expense of the Agency, the Agency may elect to retain the services of a disinterested, MAI certified appraiser with at least ten (10) years’ experience appraising property in Chelan or Douglas County, Washington or an individual who has worked as an assessor in a county assessor’s office, to perform an appraisal of the Agency. The appraiser shall be reasonably acceptable to the Department. The Agency shall notify the Department of its election to retain the services of the appraiser along with the name of the appraiser and the appraiser’s qualifications. 1.4. Alternative Method of Calculating Annual Payment – Methodology and Use of Appraisal. The appraiser shall determine the equalized valuations (using the sales comparison / market approach) of the Agency Facilities for general tax purposes in accordance with the applicable requirements of law and, to the extent possible, in the same manner as the Chelan or Douglas County Assessor previously assessed or would assess the Agency Facilities (the “Appraised Value”). Agency will provide the Department with a copy of a written appraisal report for the Agency Facilities. The appraisal shall be conducted such that the appraisal report is available no later than November 30th preceding the year of the Annual Payment. Thereafter the Agency may elect to make an Annual Payment for the following year equal to the Appraised Value multiplied by the Tax Rate. If so elected the Appraised Value will be valid for a period of five (5) years but the Appraised Value shall be increased by two and one-half percent (2.5%) per year plus any new construction of major alteration to the Agency Facilities. 1.5. True and Full Value. Pursuant to RCW 43.09.210, the Department and the Agency has each determined that the payment by the Agency to the Department as provided herein represents the true and full value of the services noted above provided by the Department to the Agency. In consideration for the Annual Payment set forth herein, the Department shall furnish Fire Protection Services to the Agency Facilities during the term of this Agreement. 2.1. Level of Fire Protection Services. The Agency Facilities will be served in the same manner and to the same degree as all other property within the Department. In this regard, the Department will provide the Agency with the same level and prioritization of Fire Protection Services as is generally provided to all property within the Department boundaries. It is the intent of the Agency and the Department that this Agreement will not alter or inhibit the manner in which the Department provides and prioritizes Fire Protection Services throughout the Department boundaries. 2.2. No Change to Public Duty Doctrine. It is the intent of the Agency and the Department that this Agreement will not create a special relationship for Fire Protection Services. 2.3. Specialized Equipment. Should the need ever arise to acquire specialized equipment which will be used exclusively for Fire Protection of the Agency Facilities, the Department and the Agency will negotiate the economic impact of such equipment prior to such purchase(s). 3. Term of Agreement and First Annual Payment. The term of this Agreement shall commence upon execution by the parties hereto and recordation of same with the Chelan or Douglas County Auditor or the posting of such Agreement on one of the party’s websites. The first Annual Payment shall be made for the calendar year 2024. This Agreement shall continue year-to-year unless terminated by either party at the end of a calendar year with not less than six (6) months’ advance notice. 3.1. Post Termination Notice Cooperation. During the period following the notice of termination the Department and the Agency will reasonably cooperate to minimize or eliminate any impact on the provision of services to the public and to ensure a smooth and orderly transition for both governments. 4. Compliance with RCW 39.34.030. This Agreement does not create a separate legal or administrative entity and does not require a joint board. No real or personal property will be jointly acquired pursuant to this Agreement. 5. Recording. Pursuant to RCW 39.34.040, this Agreement shall be recorded with the Chelan or Douglas County Auditor immediately after execution by all Jurisdictions hereto or posting of such Agreement on either party’s website. 6. Contacts for this Agreement. The Fire Chief of the Department and Josh DeLay of the Agency shall be the respective contacts for any issues relating to this Agreement. 7. No Third Party Beneficiaries. This Agreement shall not be construed to benefit any third party or otherwise limit the application or protection of the “Public Duty Doctrine” to the Department or the Agency. Any dispute between the Agency and the Department arising from this Agreement, which dispute cannot be resolved between the parties, shall be settled by arbitration. Arbitration shall be conducted in Chelan County pursuant to RCW 7.04A. The arbitrator shall be jointly selected by the Agency and the Department. If the Agency and the Department are unable to agree then either party may petition the Superior Court of Chelan County to appoint the arbitrator. The arbitrator’s fees and costs shall be divided equally between the parties. Each party will bear their respective attorney fees and costs. The decision of the arbitrator will be final. 9. Survivability. All covenants, promises and performance which are not fully performed as of the date of termination shall survive termination as binding obligations. 10. Notices. Any party hereto, by notice, and only by notice as provided herein may, but shall be under no obligation to, waive any of its rights or any conditions to its obligations hereunder, or any duty, obligation or covenant of any other party hereto. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision hereof, and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had never been contained herein. 15. Neutral Authorship. The provisions of this Agreement have been reviewed and negotiated, and represents the combined work product of all parties hereto. No presumption or other rules of construction which would interpret the provisions of this Agreement in favor of or against the party preparing the same shall be applicable in connection with the construction or interpretation of any of the provisions of this Agreement. 16. Governing Law. This Agreement, and the right of the parties hereto, shall be governed by and construed in accordance with the laws of the State of Washington, and the parties agree that in any such action, venue shall lie exclusively in Chelan County, Washington. 17. Entire Agreement. The entire agreement between the parties hereto is contained in this Agreement, and this Agreement supersedes all of their previous understandings and agreements, written and oral, with respect to this transaction. The group does fly-overs with Miss Veedol during City events, promotes East Wenatchee when they take Miss Veedol to fly-ins around the state and allow visitors from all over the world tour their hangar, which is a quasi museum. The Spirit of Wenatchee has also been featured in publications and on tv shows, where they continue to promote the City of East Wenatchee and Wenatchee Valley. III. Recommended Action: The East Wenatchee Events Board is recommending that the Spirit of Wenatchee receives $6,000 for their operating expenses of Miss Veedol and authorize the Mayor to sign an agreement not to exceed the $6,000 recommended amount. Numerous flights in the area to celebrate events, attract crowds, etc. Describe the Prior Success of Your Activity* Dating to the mid-1990s the Spirit of Wenatchee raised the money and built an exact-as-possible replica of the first aircraft to fly from Japan to the continental United States. This was the first airplane flight across the Pacific Ocean. Landing above the Columbia River in 1931 at a site later to be known as Fancher Field, Clyde Pangborn and Hugh Herndon, Jr. put the Wenatchee Valley on the world's aviation map. East Wenatchee would not be incorporated as a city until 1935. Most people are fascinated with the Pangborn-Herndon story. The world's acknowledgment of this landmark flight today reflects the success of SOW in bringing the little-remembered event to world attention. Describe Your Target Audience* Aviation historians are the obvious targets but the general public is a close second. Most people are shocked to know there was a bookend flight to Charles Lindbergh's 1927 crossing of the Atlantic Ocean. The lack of publicity surrounding Pangborn and Herndon's flight is one of history's great mysteries. Term. This Grant Agreement begins on January 1, 2024 and ends on December 31, 2024. 2. Grantee’s Obligations. Grantee will: a. Promote tourism and recreation in East Wenatchee that includes, but is not limited to: i. Pilot Miss Veedol on a flyover during City events, such as Classy Chassis and Pangborn’s Festival of Flight. ii. At the City’s request, when able, provide tours of the hangar and Miss Veedol. iii. Acknowledge the City’s contribution on the Grantee’s website. iv. Acknowledge the City’s contribution on the Grantee’s social media accounts. v. Promote the City of East Wenatchee at Fly-Ins and other events that Miss Veedol or the SOW attends. 1. Visitors Guides and other tourism documents may be obtained at the Wenatchee Valley Chamber of Commerce. 2. City event information may be obtained through the City’s Events Director. b. Present an “End of Year” report to the East Wenatchee Events Board, at one of their normally scheduled meetings. This report needs to include, at a minimum, a list of flyover events performed during City events, how many tours were provided of the hangar and Miss Veedol and which fly-ins were attended. c. Submit a Post Event Report to the City within 30 days of the end of each calendar year, that contains all the information set forth in Exhibit A. 3. The City’s Obligations. City will pay Grantee a total of $6,000 in 2024 in equal semi-annual payments within 30 days of receiving a semi-annual report and an invoice. Grantee releases and shall defend, indemnify and hold harmless the City, its elected officials, officers, employees, agents and volunteers for any and all claims, demands, losses, negligent acts or omissions, and liabilities (including costs and all attorney's fees) to or by any and all persons and entities, including without limitation, their respective agents, licensees, or representatives, arising from, resulting from, or connected with this Agreement to the extent caused by the negligent acts, errors or omissions of Grantee, its partners, shareholders, agents, employees, or by the Grantee's breach of this Agreement. 5.Insurance. Grantee shall obtain and keep in force during the terms of the agreement the following insurance with companies or through sources approved by the State Insurance Commissioner pursuant to R.C.W. Title 48: a.Worker's compensation and employer's liability insurance as required by the State of Washington. b.General commercial liability insurance in an amount not less than a single limit of $1,000,000 for bodily injury, including death and property damage per occurrence. Excepting the worker's compensation insurance secured by Grantee, the City will be named on all certificates of insurance as an additional insured. Grantee shall furnish the City with verification of insurance and endorsements required by this agreement. The City reserves the right to require complete, certified copies of all required insurance policies at any time. All insurance shall be obtained from an insurance company authorized to do business in the State of Washington. Grantee shall submit a verification of insurance as outlined above within 14 days of the execution of this agreement to the City. 6.No Discrimination.
