Lewis, Asst City Attorney Filed with the City Clerk: __________ Passed by the City Council: __________ Effective Date: __________ 05-02-2023 City Council Agenda Packet Page 27 of 48 Agreement No. 23-12767 Page 1 of 7 City of East Wenatchee Revised 6/18/18 SERVICES/INDEPENDENT CONTRACTOR AGREEMENT- AGREEMENT NO. 23-12767 1.PARTIES Public Utility District No. 1 of Chelan County, Washington (hereinafter “District”) desires to retain the City of East Wenatchee, (hereinafter “City”) a Municipal Corporation in the State of Washington, to perform services for the District pursuant to the terms of this Services/Independent Contractor Agreement (“Agreement”). 2.SCOPE OF SERVICES The City’s Police Department’s commissioned uniformed officers shall provide patrol Services from the northern border of Walla Walla Point Park in Chelan County to the southern border of the Wenatchee Riverfront Park. The patrols shall normally be conducted on weekends, being Friday, Saturday and Sunday, between 5 PM and 10 PM. Additional patrols may be requested by the District Project Manager. Patrols will be conducted under authority of the Mutual Aid Agreement entered into by the City and the City of Wenatchee, along with others, that authorizes the City to conduct law enforcement activities within the limits of the City of Wenatchee and Chelan County. Officers conducting patrols shall provide patrol services in the same manner as conducted in the City, and following the policies and procedures of the City’s Police Department, including providing information and assistance, protection of people and property, and maintenance of the public order (the “Services”). Officers shall be familiar with the District’s Park Rules and Regulations, provided as Exhibit A, Attachment 1. All Services required hereunder shall be performed by the City or under the City's supervision and all personnel engaged in the Services shall be fully qualified and shall be authorized or permitted under state or local law or existing interlocal agreement with the law enforcement agency having jurisdiction to perform such Services. The City shall take all safety precautions and shall comply with all laws and regulations with regard to safety and the Services to be performed. Patrol Services shall be performed with the level of skill, care and diligence normally provided by and expected of officers performing similar duties in the City. 3.SCHEDULING All officers providing Services under this agreement shall do so on a voluntary basis. The District acknowledges that the City’s performance of patrol Services will vary according to officer availability. Officers may only provide Services under this Agreement outside of their normally scheduled City work shifts. In the event that an officer is called in to work overtime by the City, that call shall take precedence over the provision of patrol Services under this Agreement. The City’s Project Leader is Chief Rick Johnson, who may be reached by phone at 509- 884-9511, and by email at rjohnson@eastwenatcheewa.gov. 5. HOURLY BILLING RATES. The City shall charge $96.55/hour for patrol Services provided under this Agreement. The total amount of compensation to be paid by the District for said Services shall not exceed $50,000.00 (inclusive of all fees and costs incurred by the City in the performance of this Agreement). 6. PAYMENT The City shall submit invoices for Services the District on a monthly basis. All City invoices shall be submitted by October 31, 2023. The District will pay the City within 30 days of receipt of invoices. Invoices shall be verified by the District Project Leader. All correspondence and invoices should be plainly marked with the Agreement number referenced above. The District agrees that performance hereunder by the City will cease at any time the total fees and costs incurred by the City during the term of this agreement reach $50,000 without further action required of the City or the District. Should the District have a reasonable dispute of a portion of an invoiced amount, the District shall have the right to withhold the disputed portion and shall pay any undisputed portions in accordance with terms of this Agreement. The City's chief of police and a person designated by the District shall meet and review the disputed invoice and efforts to reach resolution. Should a reasonable dispute of an invoiced amount be resolved, then any such withheld payment that is no longer in dispute shall be immediately paid the City. If a disputed invoice cannot be resolved by discussion between the City’s chief of police and the District’s designated representative, the City and the District may submit their position on the disputed invoice to the City of Wenatchee Chief of Police, who alone shall be responsible for deciding the dispute. RELATIONSHIP OF PARTIES The parties intend that an independent contractor relationship will be created by this Agreement. The conduct and control of the services and safety measures required by the services lie solely with the City. The City’s law enforcement officer are not to be considered as agents or employees of the District for any purpose and are not entitled to any of the benefits that the District provides for the District’s employees. It is understood that the City is free to contract for similar services to be performed for other parties while performing Services for the District under this Agreement. The City acknowledges that its employees are not entitled to and do not desire to be covered by the District for any payroll taxes or other fringe benefits. The City agrees that all employer and employee taxes and required deductions shall be withheld by the City from its employees’ wages. 9. LIABILITY INSURANCE The City shall, at its own expense, carry and maintain the following liability insurance coverage throughout the course of performance of the work: General Liability Insurance - $1,000,000 per occurrence/$2,000,000 aggregate. Employer’s Liability (or Stop Gap) Insurance - $1,000,000 per occurrence, if applicable. Automobile Liability Insurance - $1,000,000 per occurrence combined single limit of liability (if a vehicle is used in connection with the work). Law Enforcement Liability Insurance - $1,000,000 per occurrence. The District shall be identified as an additional insured under the general liability and employer’s liability insurance required under this Agreement. It is the City’s sole responsibility to provide updated insurance information to the District, including any notices of cancellation or reduction in limits of the City’s insurance. Worker’s Compensation Insurance. In addition to such other insurance as may be required under this Agreement, the City at its own expense, shall also maintain workers compensation insurance in the amount and type required by law for all employees under this Agreement who may come within the protection of workers compensation laws. It is the City’s sole responsibility to purchase and maintain coverage in compliance with any federal or state statute which may be applicable to the City’s performance of the services. 05-02-2023 City Council Agenda Packet Page 30 of 48 Agreement No. 23-12767 Page 4 of 7 City of East Wenatchee Revised 6/18/18 Certification. Within ten (10) days after the execution of this Agreement, the City shall file with the District’s Insurance and Claims Department a certificate of insurance from its insurance company(ies) certifying to the coverage of all insurance required herein. Insurance Shall Not Limit Liability. The insurance coverage and benefits required herein shall not be deemed to limit the City’s liability to the District or any third party. In the event the minimum insurance limits specified in this Agreement are less than the maximum amount of insurance in effect for the City at the time of claim or loss which arises from or is connected to the Work, the City affirmatively agrees that all insurance limits available to it will be extended to the District as additional insured. 10. INDEMNITY The City covenants and agrees that it shall indemnify, defend, and hold harmless the District and any and all of the District’s officers, principals, agents and employees, from any liability, loss, damage, cost, charge or expense, whether direct or indirect and whether occasioned by injury or loss to persons or property, to which the District or said other indemnitees may be put or subject by reason of any act, action, neglect, omission or default under the Agreement on the part of the City or any of the City’s officers, principals, agents or employees. With regard to any claim based on the concurrent negligence of the District, its agent or employee, and the City, the District’s liability under this section shall apply to the full extent of the negligence of the District, its agents or employees. THE TERMS OF THIS SECTION SHALL BE DEEMED MUTUALLY NEGOTIATED TO THE FULLEST EXTENT ALLOWED BY THE LAWS OF WASHINGTON APPLICABLE TO THE DISTRICT. 11. DURATION AND TERMINATION The Agreement shall be in effect upon the Effective Date, and shall be terminated by any of the following events: (a) failure to comply with any applicable law, (b) mutual agreement of the parties, (c) either party giving the other party not less than fifteen (15) days advance written notice of termination (d) failure of the City to cure any material breach within (7) seven days of receipt of written notice from the District. The City, upon notice to or a request from the District, may at any time stop performing the Services without terminating the Agreement. Otherwise, this Agreement shall remain in force until September 30, 2023. 12. STANDARD OF PERFORMANCE City shall perform its Services with the level of skill, care and diligence normally provided by and expected of persons performing Services similar to and like those to be performed pursuant to this Agreement. City understands and acknowledges that the District will be relying upon its accuracy, competence and credibility and the completeness of the Services to be provided hereunder. DISCLOSURE OF CONFIDENTIAL INFORMATION City shall not divulge or sell to any third parties any information, which is not otherwise publicly available, obtained from or through the District or developed hereunder, including District retail customer private or proprietary information as defined in RCW 19.29A, without first obtaining approval from the District or its designated representative. 14. DISTRICT ACCESS TO RECORDS The District shall have access, subject to restrictions and exceptions of the Public Records Act, to any book, document, paper and record of the City which is pertinent to this Agreement for the purposes of making audits, examination, excerpt and transcriptions. 15. QUALIFIED PERSONNEL All Services required hereunder will be performed by the City or under City's supervision and all personnel engaged in the work shall be fully qualified and shall be authorized or permitted under state or local law to perform such Services. City personnel assigned to perform Services hereunder, as identified in Scope of Services Exhibit, shall not be replaced without written approval in advance by the District’s Project Leader. 16. COMPLIANCE WITH LAWS, RULES, AND REGULATIONS City shall comply with all applicable federal, state and local laws and regulations, all of which are deemed to be incorporated into this Agreement as if fully set forth. 17. ASSIGNMENT/SUBCONTRACTS The City shall not assign or subcontract any portion of the Services. 20. ATTORNEY’S FEES In the event it is necessary for either party to utilize the services of an attorney to enforce any of the terms of this Agreement, such enforcing party shall be entitled to compensation for its reasonable attorney's fees and costs. In the event of litigation regarding any of the terms of this Agreement, the substantially prevailing party shall be entitled, in addition to other relief, to such reasonable attorney's fees and costs as determined by the court. 21. GOVERNING LAW AND VENUE This Agreement shall be governed by the laws of the State of Washington. The City submits to the exclusive jurisdiction of the courts in the State of Washington, USA. Venue for any action to enforce or interpret this Agreement shall be in Superior Court for Chelan County, Washington. 22. PRECEDENCE In the event there is any conflict between a provision of this Agreement and any statement, term or provision in any exhibit or attachment hereto, this Agreement shall be controlling unless the conflicting provision in the exhibit or attachment expressly states that it supersedes or replaces a specific provision or provisions of the Agreement. 23. ENTIRE AGREEMENT This instrument and any exhibits hereto contain the entire and final Agreement of the parties. 24. AUTHORIZED SIGNATURES Each individual executing this Agreement warrants they are fully authorized to bind their agency to the terms and conditions of this Agreement. The parties acknowledge and agree that this document may be executed by electronic signature, which shall be considered as an original signature for all purposes and shall have the same force and effect as an original signature. Grantee shall obtain and keep in force during the terms of the agreement the following insurance with companies or through sources approved by the State Insurance Commissioner pursuant to R.C.W. Title 48: a.Worker's compensation and employer's liability insurance as required by the State of Washington. b.General commercial liability insurance in an amount not less than a single limit of $1,000,000 for bodily injury, including death and property damage per occurrence. Excepting the worker's compensation insurance secured by Grantee, the City will be named on all certificates of insurance as an additional insured. Grantee shall furnish the City with verification of insurance and endorsements required by this agreement.
