Motion by City Council to approve agenda, vouchers, and minutes from previous
meetings.
2. Citizen Requests/Comments:
The “Citizen Comments” period is to provide the opportunity for members of the public to address the Council. The Mayor will ask if
there are any citizens wishing to address the Council. When recognized, please step up to the microphone, give your name and
mailing address, and state the matter of your interest. Citizen comments will be limited to three minutes.
3.Public Hearings:
The Mayor will call the Public Hearing to order and state the ground rules, the purpose of the hearing, and will state the manner in
which the hearing will proceed. Staff will first give a report, followed by public testimony. All speakers must speak into the
microphone and clearly state their name and address. All comments should be addressed to the City Council, should be relevant to
the topic, and should not be of a personal nature. Public testimony may be limited to three minutes, unless further time is granted
by the Mayor. If there are a large number of speakers, a representative may be appointed to speak on behalf of the group.

and procedures of the City to accept monetary and non-monetary donations.
b.Resolution 2022-31, authorizing the Mayor to execute an Agreement between the
Columbia River Drug Task Force and the City of East Wenatchee for leasing of space
within the 50 Simon Street property – Rick Johnson, Police Chief. Pg. 67
Motion by the City Council to approve Resolution 2022-31 and authorize the Mayor
to sign a lease agreement with the Columbia River Drug Task Force for leasing of
space within the 50 Simon Street Property.
c.Resolution 2022-32, appointing members to the East Wenatchee Events Board.

BlueBridge Alliance, the City of Wenatchee, and the City of East Wenatchee for
facilitating fundraising, collection of donations, and distribution of collected

Motion by the City Council to approve Resolution No. 2022-33, authorizing the
Mayor to sign an agreement with BlueBridge Alliance for Charity Management
services as presented.
e.Resolution 2022-34, authorizing the Mayor to execute a contract between the City
of East Wenatchee and Selland Construction Inc. for the 9th Street NE & Valley Mall
Parkway Intersection Improvements project No. 2019-07 – Garren Melton, Public

Motion by the City Council to approve Resolution 2022-34, authorizing the Mayor
to sign an agreement with Selland Construction Inc., for the 9th St. NE & Valley Mall

2022, Eastmont Youth Baseball’s Apple Capital Allstar Tournament Lodging Tax
Request in the amount of $7,300 - Trina Elmes, Events Director / PIO.
Motion by the City Council to approve the Eastmont Youth Baseball’s Apple Capital
Allstar Tournament for June 24-26, 2022, and authorize the Mayor to sign an
agreement not to exceed the $7,300.

Improvement Project on City Hall Campus.

a. Mayor Crawford read the first reading of Ordinance 2022-16, repealing Ordinance
2022-03, and fixing the salaries and compensation to be paid to certain officials and
employees of the City of East Wenatchee for the rest of the year 2022.

b. Mayor Crawford read the first reading of Ordinance 2022-17, amending Chapter
4.32 of the East Wenatchee Municipal Code to rescind the tax on the privilege of

Wenatchee.

Councilmember Magdoff opened the meeting.
1.Police Sergeant Garcia provided information to the Council regarding BlueBridge, a pilot
charity management program. This program allows citizens to contribute funds to the
Police Department that will be used for the Wenatchee Valley Pilot program. The pilot
includes both Wenatchee and East Wenatchee Police Department. There is an
administrative fee by BlueBridge that is capped at 15% of the contributions received.
These charitable donations will allow Police Officers to provide immediate assistance to
citizens in need for such services as gas, food, and lodging. We anticipate this program
will build relationships with our community members.

and Councilmember Hepner.
No Action was taken by the Council.
2.City Attorney Bob Siderius presented recommended changes to the “East Wenatchee
City Council Rules of Procedure”. The City Attorney will provide a clean draft for the
Council to review which will be sent via email by the City Clerk next week. City Attorney
Siderius asked the Council to submit comments/changes by the third week in August.

3. Planning Manager Curtis Lillquist provided information regarding a Multifamily Housing
Property Tax Exemption Program that the City could implement. Mr. Lillquist
recommenced that the Council Consider the 8- and 12-year program and did not
recommend the 20-year program.
The Council asked Planning Manager Lillquist to bring an 8-and 12-year program
proposal for the Council to consider at a future meeting. The Council requested options
for low and moderate income percentages for each program.

No action was taken by the Council.
4. Community Development Director Lori Barnett asked the City Council if they would like
to consider reestablishing streatery permits for downtown businesses again, and fees
that could be associated with the permit. The Council asked Ms. Barnett to bring a
proposal for an interim/temporary streatery permit option for downtown business
owners with a one-time fee of $75.00.

Councilmember Hepner.
No action was taken by the Council.
5. Public Works Manager Garren Melton presented Information to the Council regarding
updating the “City Change Order Policy” and recommended giving the Department
Heads authorization to sign change orders for an amount up to 5% of the original
contract amount, or $20,000 whichever is less, and authorize the Mayor to sign change
orders for an amount up to 10% of the original contract amount. The Council asked Mr.
Melton to bring a proposal for consideration to a future Council Meeting.
No action was taken by the Council.

Department of Housing and Urban Development (HUD). The City
adopts a Community Development & Housing Consolidated Plan that
describes how the City will spend the CDBG funds over the 5-year
planning cycle.
Each year, the city adopts an annual action plan that describes the
projects or programs that will be funded during that program year. The
City’s program year runs from October 1 through September 30.
We are currently in the 3rd year of the 2020-2024 Consolidated Plan.
Most of the first 2 years of funding were allocated to the Hamilton Street
reconstruction project ($269,774).
The City’s 2022 CDBG formula grant is $121,887. At the May 17, 2022
meeting, Council approved obligating the 2022 funds to the Hamilton
Street project. The City anticipates using the 2022 CDBG funding under
HUD regulations §570.200(h) (Reimbursement for pre-award costs).
That process allows the City to spend funds and be reimbursed from
CDBG funds once the HUD agreement is signed.

2. Recitals.
2.1. The City of East Wenatchee (“City”) is a non-charter code City duly incorporated and
operating under the laws of the State of Washington; and
2.2. The City Council of East Wenatchee (“City Council”) finds that it is in the best interests
of the City, its citizens and staff to establish a policy relating to the acceptance of
donations.
3. Authority.
3.1. RCW 35A.11.020 and RCW 35A.12.190 authorize the City Council to adopt ordinances
of all kinds to regulate its municipal affairs and appropriate to the good government of
the City.

5. Enactment. The City Council enacts Chapter 4.51 of the East Wenatchee Municipal Code to

4.51.010 Definitions
As used in this chapter, the term “donation” refers to any money or property, real or
personal, donated, devised or bequeathed, with or without restriction, to the City of East
Wenatchee. As used in this chapter, the term “donation” does not refer to any money or
property, real or personal that may be reasonably classified as a grant.
4.51.020 Acceptance of Donations
The City may accept and use donations only for municipal purposes within powers
granted to the City by law. Any donation to the City that is accompanied with any
contingency, term, or condition on the use by the City of such donation that cannot be
fulfilled by the City, is inconsistent with this chapter or contrary to law shall be declined by
the City. The City may decline to accept any donation that is inconsistent with the policies,
plans, goals, or any other ordinance of the City.
1. Monetary Donations under $5,000. The Mayor or designee is authorized to accept
any monetary donation under $5,000 to the City, and to carry out the terms or
conditions of the donation if such terms and conditions are within the powers granted
to the City by law and this chapter. If no terms or conditions are attached to the
donation, the City may expend or use the same for any public purpose consistent with
this chapter.
2. Monetary Donations of $5,000 or Greater. Any monetary donation of $5,000 or
greater shall be approved by resolution of the City Council before acceptance. Upon
such approval by the City Council, the Mayor or designee is authorized to accept

such monetary donation to the City, and to carry out the terms or conditions of the
donation if such terms and conditions are within the powers granted to the City by
law and this chapter. If no terms or conditions are attached to the donation, the City
may expend or use the same for any public purpose consistent with this chapter.
3. Non-Monetary Donations Directly Supporting City Events or Community Activities.
The Mayor or designee is authorized to accept non-monetary donations that support
specific City events and other community activities.
4. Other Non-Monetary Donations. The Mayor will assess the helpfulness to the City
and value of non-monetary donations offered to the City (other than in subpart 3.
above).
a. If the estimated value of the non-monetary donation is less than $10,000, the
Mayor or designee is authorized to accept such donations.
b. If the estimated value of the donation is $10,000 or greater, the Mayor or
designee is authorized to accept such non-monetary donation upon approval by
the City Council.
4.51.030 Procedure for Acceptance of Donations
All donations shall be offered in writing directed to the Mayor or designee. If a donation
is not approved or accepted by the City, such donation shall be immediately returned to the
donor in a manner that properly documents the return of such donation by the City.
4.51.040 Funds and Accounting
The City Finance department is responsible for providing for the deposit and financial
administration of any donation to the City. If necessary, the Finance department shall track
the proposed use of any such donation and shall maintain separate records of accounts
showing receipts and disbursements. The Finance Director is directed to establish
accounting procedures as may be necessary to carry out the terms of this chapter, in
accordance with all applicable laws of the State of Washington and requirements of the
Office of the State Auditor.
6. Superseding Provisions. The provisions of this ordinance, once adopted, shall supersede
any previous ordinance to the extent that said ordinance may conflict with the provisions of
this ordinance.
7. Corrections. Upon approval by the City Attorney, the City Clerk and the code reviser may
correct this Ordinance if it contains a clerical error; an incorrect reference to other local,

Ordinance.
9. Publication. The City Council directs the City Clerk to publish a summary of this
Ordinance. The summary shall consist of the title of this Ordinance. The City Council
directs the City Clerk to publish a copy of this Ordinance on the City’s website.
10. Effective Date. This Ordinance becomes effective five days after the date its summary is
published.

Summary Title: Agreement between the Columbia River Drug Task Force and the
City of East Wenatchee for leasing of space within the Simon Street property
Background/History: Efforts to lease space within the Simon Street property
resulted in two entities who have verbally committed to move into the property at
different times based on when the renovations will be completed.
The proposed commercial lease agreement provides for a move-in date for the Task
Force of the first full month following renovations being complete. We anticipate the
move-in date to be August 1.
The agreement has a term ending on the last day of December 2031 for a space size of
approximately 2800 sqft and a lease payment of $3300 per month due in advance on
the 1st day of each month, escalating to $3500 per month on January 1, 2027.
Recommended Action: Motion to authorize the Mayor to execute an Agreement
between the Columbia River Drug Task Force and the City of East Wenatchee for
leasing of space within the Simon Street property as presented in Exhibit A.

COMMERCIAL LEASE
This Lease Agreement (this "Lease") is dated as of ______________, by and between City of
East Wenatchee ("Landlord"), and the Columbia River Drug Task Force ("Tenant"). The parties
agree as follows:
PREMISES. Landlord is the owner of the following described premises (referred to as
“Landlord’s Property”):
That portion of Government Lot 1, Section 14, Township 22 North, Range 20, E.W.M., Douglas
County, Washington, described as follows:
Beginning at the Northwest corner of Lot 15 of East Wenatchee Land Company's Plat of Section
14, Township 22 North, Range 20, E.W.M., according to the plat thereof recorded in Volume A
of Plats, Page 192, as the True Point of Beginning; thence East on the North line of said Lot 15,
212.60 feet; thence run Northerly, parallel to the West line of said Lot 15 for 215.0 feet; thence
run West, parallel to the North line of said Lot 15, 212.60 feet to the East line of the State
Highway; thence South on the East line of said State Highway for 215.0 feet to the Northwest
corner of said Lot 15, the True Point of Beginning,
EXCEPT the West 10 feet thereof conveyed to Douglas County by deed recorded
under auditor's no. 121510,
AND EXCEPT that portion conveyed to the City of East Wenatchee by deed
recorded under auditor's no. 262316.

The common Street Address for the Landlord’s Property is 50 Simon Street, East Wenatchee,
WA 98802.
LEASE. Landlord agrees to Lease to Tenant, and Tenant agrees to lease from Landlord, a
portion he Landlord’s Property consisting of approximately 2800 square feet of office space on
the upper level of Landlord’s property (referred to as the “Leased Premises”). Please see Exhibit
A for a pictorial representation of the Landlord’s Property and the Leased Premises. Tenant
organization shall appoint East Wenatchee as the lead agency within Tenant Organization with
respect to Administration of this Lease.
COMMON AREAS. As part of this Lease, Tenant shall have access to and the right to use the
common areas of the upper level which consist of the hallways, stairways and restrooms.
CONFERENCE ROOMS., Tenant may use Room 216, Room 217, and the interview rooms as
long as those rooms are not needed by East Wenatchee Police Department.

PARKING. Tenant shall initially be entitled to use 8 designated parking spaces. Landlord
intends to enclose approximately 40 parking spaces with secured fencing. If Landlord proceeds
with the parking lot fencing project, Landlord and Tenant agree to equally share the cost of
constructing the secured fencing. Provided, however, Tenant’s share of the cost shall not exceed
$50,000. Upon completion of the secured fencing, Tenant shall be entitled to use 10 designated
parking spaces within the secured parking lot. The remaining open parking area at that point
shall no longer be Tenant designated parking and until Tenant is notified otherwise shall be
undesignated and generally available for use of tenants, their employees, and visitors.
Parking shall not be used for long term impound.
TERM. The initial lease term will begin the first full month following completion of remodeling
and authorization by the City for occupancy and will terminate on December 31, 2031.
Remodeling is anticipated to be completed approximately March 1, 2022. Landlord agrees to
negotiate in good faith for an extension of this lease, provided Tenant provides at least 180 days
written notice of its desire for a lease extension.
LEASE PAYMENTS. From the beginning of the lease term through December 31, 2026,
Tenant shall pay to Landlord monthly installments of $3,300.00, payable in advance on the first
day of each month. From January 1, 2027 through December 31, 2031, Tenant shall pay to
Landlord monthly installments of $3,500.00, payable in advance on the first day of each month.
Lease payments shall be made to the Landlord at 271 9th St. NE, East Wenatchee, Washington
98802 or such other location as the Landlord may direct in writing.
POSSESSION. Tenant shall be entitled to possession on the first day of the term of this Lease
and shall yield possession to Landlord on the last day of the term of this Lease, unless otherwise
agreed by both parties in writing. At the expiration of the term, Tenant shall remove its goods
and effects and peaceably yield up the Leased Premises to Landlord in as good a condition as
when delivered to Tenant, ordinary wear and tear excepted.
USE OF PREMISES. Tenant may use the Leased Premises only for office use. Office use
includes associated office activities, such as trainings, conferences, open public meetings,
retreats, health and wellness activities, and office-related parties and social events. The Leased
Premises may be used for any other purpose only with the prior written consent of Landlord,
which shall not be unreasonably withheld. Tenant shall notify Landlord of any anticipated
extended absence from the Leased Premises not later than the first day of the extended absence.
Tenant shall ensure that any firearms or other potentially dangerous instrumentalities are
properly secured.
EXPENSES. During the term of this Lease, Landlord shall pay all real estate taxes, all property
assessments, stormwater, water, sewer, garbage collection, natural gas, electricity, elevator
service, exterior window washing, landscaping, and irrigation water. Tenant is responsible to pay
for and install its own data lines, servers, phone lines and systems, any needed security systems,
and any other improvements needed for Tenant’s operations.

PROPERTY INSURANCE. Landlord and Tenant shall each be responsible for maintaining
appropriate insurance for their respective interests in the Leased Premises and property located
on the Premises.
LIABILITY INSURANCE. Landlord shall maintain liability insurance on the Leased Premises
in a total aggregate sum of at least $2,000,000.00.
MAINTENANCE. The Landlord shall maintain the Landlord’s Property in good repair and
tenantable condition during the continuance of this Lease, except in case of damage arising from
the negligence of the Tenant's agents or employees. For the purposes of maintaining and
repairing the premises, the Landlord reserves the right at reasonable times upon reasonable
notice to enter and inspect the Leased Premises and to make any necessary repairs to the
building.
Landlord's obligations for maintenance shall include:
- the roof, outside walls, and other structural parts of the building
- the parking lot, driveways, and sidewalks, including snow and ice removal
- the sewer, water pipes, and other matters related to plumbing
- the electrical wiring
- Janitorial services and supplies for restrooms
- the air conditioning system
-de-icing and snow and debris removal service
Tenant's obligations for maintenance shall include:
- all other items of maintenance not specifically delegated to Landlord under this Lease.
TERMINATION. Notwithstanding any other provision of this Lease, Landlord may terminate
this lease upon 90 days' written notice to Tenant that the Landlord’s Property has been sold. In
the event that the Tenant organization is disbanded, it shall have the right to terminate the Lease
and will provide as much advance notice to Landlord as practical.
DEFAULTS. Tenant shall be in default of this Lease if Tenant fails to fulfill any lease
obligation or term by which Tenant is bound. Subject to any governing provisions of law to the
contrary, if Tenant fails to cure any financial obligation within 5 days (or any other obligation
within 10 days) after written notice of such default is provided by Landlord to Tenant, Landlord
may take possession of the Leased Premises without further notice (to the extent permitted by
law), and without prejudicing Landlord's rights to damages. In the alternative, Landlord may
elect to cure any default and the cost of such action shall be added to Tenant's financial
obligations under this Lease. Tenant shall pay all costs, damages, and expenses (including
reasonable attorney fees and expenses) suffered by Landlord by reason of Tenant's defaults. All
sums of money or charges required to be paid by Tenant under this Lease shall be additional rent,
whether or not such sums or charges are designated as "additional rent". The rights provided by
this paragraph are cumulative in nature and are in addition to any other rights afforded by law.

LATE PAYMENTS. For any payment that is not paid within 10 days after its due date, Tenant
shall pay a late fee of 5% of the amount due.
HOLDOVER. If Tenant maintains possession of the Leased Premises for any period after the
termination of this Lease ("Holdover Period"), Tenant shall pay to Landlord lease payment(s)
during the Holdover Period at a rate equal to the normal payment rate set forth in the Renewal
Terms paragraph. Holding over will not create a new tenancy, and Landlord retains all rights
with respect to regaining possession of the Leased Premises.
CUMULATIVE RIGHTS. The rights of the parties under this Lease are cumulative and shall
not be construed as exclusive unless otherwise required by law.
REMODELING OR STRUCTURAL IMPROVEMENTS. Landlord will construct a privacy
wall to enclose the 1,389 sq. ft. of the leased premises. Other than this privacy wall,
Tenant shall have the obligation to conduct any construction or remodeling (at Tenant's expense)
that may be required to use the Leased Premises as specified above. Tenant may also construct
such fixtures on the Leased Premises (at Tenant's expense) that appropriately facilitate its use for
such purposes. Such construction shall be undertaken and such fixtures may be erected only with
the prior written consent of the Landlord which shall not be unreasonably withheld. Tenant shall
not install awnings or advertisements on any part of the Leased Premises without Landlord's
prior written consent. At the end of the lease term, Tenant shall be entitled to remove (or at the
request of Landlord shall remove) such fixtures, and shall restore the Leased Premises to
substantially the same condition of the Leased Premises at the commencement of this Lease.
ACCESS BY LANDLORD TO PREMISES. Subject to Tenant's consent (which shall not be
unreasonably withheld), Landlord shall have the right to enter the Leased Premises to make
inspections, provide necessary services, or show the unit to prospective buyers, mortgagees,
tenants or workers. However, Landlord does not assume any liability for the care or supervision
of the Premises. As provided by law, in the case of an emergency, Landlord may enter the
Leased Premises without Tenant's consent. During the last three months of this Lease, or any
extension of this Lease, Landlord shall be allowed to display the usual "To Let" signs and show
the Leased Premises to prospective tenants.
INDEMNITY REGARDING USE OF PREMISES. To the extent permitted by law, Tenant
agrees to indemnify, hold harmless, and defend Landlord from and against any and all losses,
claims, liabilities, and expenses, excluding reasonable attorney fees, which Landlord may suffer
or incur arising from Tenant’s negligence or those of its employees, agents or
contractors/subcontractors.
To the extent permitted by law, Landlord agrees to indemnify, hold harmless, and defend Tenant
from and against any and all losses, claims, liabilities, and expenses, excluding reasonable
attorney fees, which Tenant may suffer or incur arising from the Landlord's negligence or those
of its employees, agents or contractors/subcontractors.

DANGEROUS MATERIALS. Tenant shall not use, or permit the Leased Premises to be used,
in a manner that violates any applicable federal, state or local environmental law, regulation, or
ordinance now or hereafter in force. This includes, but is not limited to, any law, regulation, or
ordinance pertaining to air or water quality or emissions; the handling, transportation, storage,
treatment, usage or disposal of toxic or hazardous substances; or any other environmental
matters. Compliance shall be at the sole cost and expense of Tenant, its agents, employees,
contractors or invitees. Tenant shall immediately notify Landlord of any spills, releases, or other
potential failures to comply with applicable environmental laws and regulations, and of any
inspections, notices, orders, fines or communications originating from environmental regulatory
agencies. Landlord, its officers, employees, contractors, or agents, shall have the right, but not
the duty, to inspect the Property, including Tenant’s records pertaining to environmental
compliance with applicable environmental laws and regulations and this Lease. If Tenant is
found to be in violation of this Lease or any applicable environmental law or regulations, or if
environmental contamination is detected, Tenant shall be responsible for all costs associated with
such contamination or noncompliance.
COMPLIANCE WITH REGULATIONS. Tenant shall promptly comply with all laws,
ordinances, requirements and regulations of the federal, state, county, municipal and other
authorities, and the fire insurance underwriters. However, Tenant shall not by this provision be
required to make alterations to the exterior of the building or alterations of a structural nature.
DISPUTE RESOLUTION. The parties will attempt to resolve any dispute arising out of or
relating to this Agreement through negotiations amongst the parties. If the matter is not resolved
by negotiation, the parties will resolve the dispute using the below Alternative Dispute
Resolution (ADR) procedure.
Any controversies or disputes arising out of or relating to this Agreement will be submitted to
mediation. If mediation is not successful in resolving the entire dispute or is unavailable, any
outstanding issues will be submitted to final and binding arbitration under the rules of the RCW
7.04A. The arbitrator's award will be final, and judgment may be entered upon it by any court
having proper jurisdiction.
ASSIGNABILITY/SUBLETTING. Except for sublet for use by other governmental agencies,
Tenant may not assign this Lease or sublet the Leased Premises without the prior written consent
of the Landlord, which consent shall not be unreasonably withheld or delayed.
NOTICE. Notices under this Lease shall not be deemed valid unless given or served in writing
and forwarded by mail, postage prepaid, addressed as follows:

GOVERNING LAW. This Lease shall be construed in accordance with the laws of the State of
Washington.
ENTIRE AGREEMENT/AMENDMENT. This Lease Agreement contains the entire
agreement of the parties and there are no other promises, conditions, understandings or other
agreements, whether oral or written, relating to the subject matter of this Lease. This Lease may
be modified or amended in writing, if the writing is signed by the party obligated under the
amendment.
SEVERABILITY. If any portion of this Lease shall be held to be invalid or unenforceable for
any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds
that any provision of this Lease is invalid or unenforceable, but that by limiting such provision, it
would become valid and enforceable, then such provision shall be deemed to be written,
construed, and enforced as so limited.
WAIVER. The failure of either party to enforce any provisions of this Lease shall not be
construed as a waiver or limitation of that party's right to subsequently enforce and compel strict
compliance with every provision of this Lease.
BINDING EFFECT. The provisions of this Lease shall be binding upon and inure to the benefit
of both parties and their respective legal representatives, successors and assigns.
MEMORANDUM OF LEASE. Unless both parties consent thereto in writing, this Lease shall
not be placed of record. Either Landlord or Tennant may execute and place of record an instrument,
in recordable form, evidencing the commencement date and expiration date of this Lease and
providing reference to where a copy of the Lease may be reviewed.

2. Authority.
2.1. RCW 35A.11.020 and RCW 35A.12.190 authorize the City Council to organize and regulate its internal affairs and to define the powers, functions and duties of its officers and employees.
2.2. Section 2.44.020 East Wenatchee Municipal Code requires the membership of the East Wenatchee Event’s Board to consist of not less than five members and no more than 15 members. One member must be an elected official of the city, at least two members must be representatives of businesses required to collect the lodging tax; and at least two members must be persons involved in activities authorized to be funded by revenue received from the tax.
2.3. State law (RCW 67.28.1817) requires the City Council to annually review the membership of the Board and to make changes as appropriate.
2.4. Section 2.44.030 of the East Wenatchee Municipal Code requires the City Council to appoint members of the Board.

the Eastmont Metropolitan Park District, which is one of the Event Board’s Activity
Representatives.
Michael Machado motioned to accept Sally Brawley’s resignation, Kirk Mayer

Mat Heinz is the new Executive Director of Eastmont Metropolitan Park District and would
like to replace Sally Brawley in Position #4.

exhibitors and more Japanese activities.

Grants EYB is requesting $7,300 for their Apple Capital All Star Tournament on June 24-26. This

Summary Title: Agreement between the BlueBridge Alliance, the City of Wenatchee,
and the City of East Wenatchee for facilitating fundraising, collection of donations, and
distribution of collected donations.
Background/History: BlueBridge is a 501(c)(3) nonprofit program that provides
fundraising assistance, policies, guidelines, and a technology platform for the collection
and distribution of donated funds to serve the urgent needs of community members
encountered by Police Officers in their daily activities.
Officers will be provided a funds card which they can use to access donated funds.
When an Officer encounters a community member in immediate need, the Officer is
thereby empowered to use the funds card to help that community member according to
guidelines provided within the BlueBridge program.
An example of such a need would be an officer interacting with a hungry child, and
buying food for that child. Another example might include a traffic stop with a child
without a car seat. An Officer could identify the need and decide to purchase a car seat
for the child’s safety and well-being.
Recommended Action: Motion to approve Resolution 2022-33 authorizing the
Mayor to execute an Agreement between the BlueBridge Alliance, the City of
Wenatchee, and the City of East Wenatchee as presented in Exhibit A.

This Partnership Operating Agreement (“Agreement”) is made between BlueBridge Alliance, a
nonprofit corporation, (“BlueBridge”) and East Wenatchee Washington Police Department, in
coordination with Wenatchee Washington Police Department, operating the BlueBridge Program
as "Wenatchee Valley WA" (“Agency”), is effective on the date signed by Agency.
1. DESCRIPTION AND DURATION OF SERVICES.
BlueBridge will provide the following services (“Services”) to Agency:
A. BlueBridge will provide Agency with required technology (both hardware and
software), to implement the BlueBridge program. BlueBridge will provide and make
readily available to Agency copies of guidelines, standards, training materials and
procedural manuals.
B. BlueBridge will provide Agency with initial training as well as reasonable ongoing
support for the successful implementation of the BlueBridge program.
C. BlueBridge will make reasonable efforts to keep Agency apprised of changes to
BlueBridge software or policies and procedures, and provide Agency training, as
appropriate.
Agency agrees to operate the BlueBridge program in accordance with provided or published
BlueBridge guidelines, standards, ethics, and procedures, as outlined in BlueBridge materials or
resources.
Unless otherwise provided for in this Agreement, this Agreement will remain in effect until
terminated in writing by either party, and termination does not need to be for cause.
2. RELATIONSHIP OF PARTIES.
Both parties agree that BlueBridge is an independent contractor working with Agency.
BlueBridge is solely responsible for all of its personnel and for all withholdings, taxes, or payroll
issues concerning BlueBridge personnel. This clause extends to any third parties BlueBridge
may engage to perform Services under this Agreement. Under no circumstances shall
BlueBridge be construed to be acting in furtherance of Agency’s law enforcement duties, nor
shall BlueBridge be construed to be a state actor, acting under color of law, or otherwise liable
for any of Agency’s actions in any action arising under 42 U.S. Code § 1983 or § 1985.
3. INTELLECTUAL PROPERTY RIGHTS AND OWNERSHIP.
Any social media contacts, including “followers” or “friends” that are acquired through
BlueBridge social media accounts (including e-mail addresses, blogs, Twitter, Facebook,
YouTube, or other social medial networks) used or created by BlueBridge to promote the
BlueBridge Program are the property of BlueBridge.

BlueBridge reserves the right to mention the Agency’s name, use the Agency’s likeness
(including logos, colors, or other identifying features), or the names and likenesses of Agency
employees participating in the BlueBridge program for any non-commercial fundraising or
promotional purpose implemented by BlueBridge, without prior notice or consent from the
Agency.
BlueBridge also retains exclusive rights to all BlueBridge software, documentation, training
materials, procedural manuals, or any other BlueBridge intellectual property provided to Agency.
Agency may not modify in any way, make unauthorized copies of, or allow unauthorized persons
to use or view BlueBridge software. Agency also agrees to safeguard and protect all BlueBridge
user and program data in accordance with Agency’s security protocols for sensitive employee
information.
The rights to mention the Agency's name, use the Agency's likeness and use the names and
likenesses of any Agency employees terminates upon termination of this Agreement.
4. TANGIBLE PROPERTY OWNERSHIP AND USE.
As part of the BlueBridge program, BlueBridge will furnish to Agency a laptop computer and
other necessary materials to Agency for Agency’s administration of the BlueBridge program.
BlueBridge retains full ownership interests in any computer, accessory, or other tangible item
furnished to Agency for successful implementation of the BlueBridge program. Agency agrees
to return any item furnished by BlueBridge to Agency in a reasonable time, upon written request,
and for any reason. Upon termination of this Agreement, Agency agrees to return any items
furnished by BlueBridge within 30 days of termination.
Agency agrees to be liable for any damage to BlueBridge equipment under Agency’s control.
Agency agrees to promptly alert BlueBridge in writing within 5 business days of damage.
BlueBridge retains the right to repair or replace any damaged equipment, at Agency’s sole
expense.
5. FUNDRAISING.
BlueBridge will assist Agency with fundraising efforts, and provide reasonable funding
resources as available through BlueBridge’s efforts. BlueBridge engages in direct fundraising
efforts, designed to support all participating agencies. Agency assumes full responsibility for
local fundraising efforts to sustain Agency program spending goals. BlueBridge will provide
guidance on fundraising efforts and use reasonable means to support those efforts as needed.
BlueBridge reserves the right to retain 10% of the gross amount of local, agency-specific
fundraising donations to cover operational costs of running the BlueBridge program. This rate is

subject to adjustment, but not to exceed 15% of the gross amount, if required operational costs
are above BlueBridge’s required operational costs to provide needed support to participating
agencies.
BlueBridge will notify Agency in writing 30 or more days before any adjustments take effect.
6. USE OF FUNDS.
Bluebridge will have sole discretion as to the amount of funds released for use by the Agency at
any given time. All funds raised for the Agency through local fundraising will be designated for
and distributed to Agency, minus the percentage BlueBridge reserves for operational costs
mentioned in this Agreement.
Agency may elect to share their BlueBridge designated funds with another participating agency.
Agency will have sole discretion on sharing funds with another agency, provided Agency only
shares funds with an agency who is a member of the BlueBridge Program in good standing. If
Agency elects to share BlueBridge designated funds with another participating agency, the
Agency will work with BlueBridge to transfer those funds via financial softwares used.
If any local donor specifies that donated funds may only be used for Agency, BlueBridge will
not commingle funds locally raised by Agency with the funding accounts of any other
participating agency.
7. PUBLIC RELATIONS, MEDIA, AND MARKETING.
BlueBridge will provide public relations, media and marketing on a regional, state, and national
level for the cumulative good of the BlueBridge program and all participating agencies.
Agency will be responsible for coordinating local public relations, media, and marketing
campaigns for the Agency’s benefit. BlueBridge will provide reasonable guidance and
recommendations for maximizing exposure, benefit, and fundraising from these local campaigns.
Agency agrees to prominently mention “The BlueBridge Program” by name in all local
promotional activities and materials.
8. TERMINATION.
If at any time BlueBridge determines that Agency has operated the BlueBridge program outside
of BlueBridge’s standards and guidelines, or in a negligent manner, BlueBridge may terminate
this Agreement immediately. In such cases, all monies raised to that point will be forfeited.
BlueBridge will have sole right to determine what constitutes a violation of BlueBridge’s
standards or guidelines, as well as sole right to decide to terminate this Agreement under this
section.
If this Agreement is terminated with both parties in good standing, all monies raised locally will
be transferred to an account of Agency’s choosing, in accordance with Agency procedures.

Upon termination of this Agreement for any reason, Agency agrees to return all tangible and
intellectual property provided by BlueBridge to Agency. Such return must take place within 30
days. In lieu of the return of intellectual property, Agency may certify in writing that all
BlueBridge intellectual property retained by Agency has been destroyed. Such certification must
be signed by the Agency administrator of the BlueBridge program.
9. LIABILITY.
Due to the nature of BlueBridge’s work, there is a possibility of data loss or downtime. Except
in the case of BlueBridge’s breach of any written warranty or obligation in this Agreement, the
Agency will not hold BlueBridge, its employees, or contractors liable for any damages or
downtime incurred as a result of work performed in furtherance of the BlueBridge program. In
any case, no claim for damages against BlueBridge under this section may exceed 10% of the
actual value of funds, locally raised by the Agency, for the BlueBridge program.
Donors shall have access to answers toFrequently Asked Questions (FAQs) at the time of their
donations which includes both the potential use of a portion of the donated funds for
administrative expenses, not to exceed 15%, and that in the event of termination of the
Agreement for cause by Blue Bridge, donated funds may be allocated by BlueBridge to other
agencies.
10. SECURITY.
BlueBridge does not guarantee the future security of its software or work product. Agency will
not hold BlueBridge, its employees, or contractors liable for damages or loss incurred as a result
of vulnerabilities or security flaws not reasonably foreseen at the time Agency acquires the
BlueBridge software and materials for use.
11. CONFIDENTIALITY.
Agency understands and agrees that it will not, at any time, nor in any manner, either directly or
indirectly, use or disclose any of BlueBridge’s confidential information other than as necessary
to exercise Agency’s rights to perform its obligation under this Agreement. Agency will
reasonably protect all BlueBridge confidential information and treat it as strictly confidential.
This provision will remain in effect after termination of this Agreement. “Confidential
Information” means information in any form or medium that BlueBridge considers confidential
or proprietary, including relating to BlueBridge’s technology, trade secrets, business operations,
plans, strategies, fundraising, customers, and information with respect to which BlueBridge has
contractual or other confidentiality obligations, in each case whether or not designated or
identified as “confidential.”
12. INDEMNITY.

BlueBridge will defend, indemnify, and hold harmless Agency from and against any and all
losses, damages, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties,
fines, costs, or expenses of whatever kind, including reasonable attorneys' fees and the costs of
enforcing any right to this indemnification (“Losses”) incurred by the Agency resulting from any
claim, action, cause of action, demand, lawsuit, arbitration, inquiry, audit, notice of violation,
proceeding, litigation, citation, summons, subpoena, or investigation of any nature, civil,
criminal, administrative, regulatory, or other, whether at law, in equity, or otherwise (“Claim”)
by a third party that arise out of or result from, or are alleged to arise out of or result from: (a)
BlueBridge’s willful breach of any representation, warranty, covenant, or obligation of
BlueBridge including any action or failure to act by any of BlueBridge’s personnel, that would
constitute such a breach by BlueBridge under this Agreement; (b) any gross negligence or more
culpable act or omission in connection with the performance of activity required by or conducted
in connection with this Agreement by BlueBridge or any BlueBridge personnel in connection
with performing Services under this Agreement.
Agency will defend, indemnify, and hold harmless BlueBridge from and against any and all
Losses incurred resulting from any Claim by a third party that arise out of or result from, or are
alleged to arise out of or result from: (a) Agency’s breach of any representation, warranty,
covenant, or obligation of Agency including any action or failure to act by any Agency
personnel, that would constitute such a breach by Agency under this Agreement; or (b) any gross
negligence or more culpable act or omission (including recklessness or willful misconduct) in
connection with the performance of activity required by or conducted in connection with this
Agreement by Agency or any Agency personnel in connection with performing Services under
this Agreement; or (c) any claim arising against BlueBridge in the furtherance of their duties
under this Agreement claiming that BlueBridge acted as a state actor, that BlueBridge’s actions
under the Agreement constituted state action, or any claim against BlueBridge arising under 42
U.S.C. § 1983 or § 1985.
13. ACTS OF GOD.
Neither party will incur liability or be deemed to be in breach of this Agreement for failure or
delay in fulfilling any obligation under this Agreement, provided such failure or delay is caused
by, or reasonably related to events beyond the control of the affected party. In the event that a
natural disaster, domestic disturbance, severe illness, or other act of God causes one party to fail
or delay performance under this Agreement, the party affected will use reasonable efforts to
resume and complete performance under the terms of this Agreement. Either party will provide
the other party with prompt written notice of any delay or failure to perform caused by events
beyond the affected party’s control.
14. ENTIRE AGREEMENT.
This Agreement contains the entire agreement between BlueBridge and Agency. Modifications
and amendments to this Agreement, including any exhibit or appendix, shall be enforceable only

if they are in writing and are signed by authorized representatives of both parties.
15. SEVERABILITY.
If any provision of this Agreement is held to be invalid or unenforceable for any reason, the
remaining provisions will continue to be valid. If a court finds that any provision of this
Agreement is invalid or unenforceable, but that by limiting such provision it would become valid
and enforceable, then such provision is deemed to be enforced as so limited.
16. GOVERNING LAW.
This Agreement is governed by, and interpreted in accordance with the laws of the State of
Washington, without regard to the choice-of-law principles thereof. Any dispute arising out of
or relating to this Agreement is to be prosecuted exclusively by a competent court of the state of
Washington, or by the district court for the area of BlueBridge’s registered head offices.

I.Summary Title:
A Resolution of the City of East Wenatchee, Washington authorizing the Mayor to
execute a contract between the City of East Wenatchee and Selland Construction Inc.
for the 9th St NE & Valley Mall Parkway Intersection Improvement project.
II.Background/History:
The City of East Wenatchee (City) identified the intersection of 9th Street NE and
Valley Mall Parkway as deficient in 2013 based on multiple legs operating at Level of
Service F. The City collaborated with WSDOT to evaluate the feasibility of various
potential intersection improvements before concluding a signal would operate the
most efficiently. In 2019 the City was able to secure $1,232,000 in federal funds to
design and construct the signal.
The City initially opened bids for the project on March 9, 2022 but had to reject all
bids due to the apparent low being approximately $650,000 (61%) over the
engineers estimate.
The City evaluated possible cost reducing measures, and simultaneously sought
additional funding. On May 23, 2022 the City was notified it had received an
additional $599,986 in federal funds. The City re-advertised the project soon after
and conducted a public bid opening on June 30, 2022. The bids received included:

The apparent low bid was received from Selland Construction. The entire project was
roughly $158,000 below the engineers estimate, with the Citys schedules (A and B)
being approximately $105,000 under the estimate.
In the 2022 budget the City allocated $1,140,390 for the construction of this project.
This amount will need to be adjusted to the new estimated cost of $1,829,446. The
cost increase is attributed to the addition of the East Wenatchee Water District
Schedule (to be reimbursed at 100%) and rapidly increasing construction costs since
the funding was initially received in 2019. Due to the above-mentioned increased
funding the Citys estimated local match for the construction phase of this project is
$227,682.
III. Recommended Action:
Approve Resolution 2022-34 authorizing the Mayor to execute a contract between
the City of East Wenatchee and Selland Construction Inc. for the 9th Street NE &
Valley Mall Parkway Intersection Improvement project in the amount of $1,829,446.

This letter summarizes our review of the bids received for the subject project and
presents our recommendation for award. Presented below is our evaluation and
review of the bids based on the attached summary of the bid tabulation for the
project.
The City received three proposals at the time of the bid opening at 2:00 PM on
Thursday,June 30, 2022. Of the bidders,Selland Construction of Wenatchee, WA
was the apparent low bidder at $1,829,445.90. This number includes applicable
sales tax. The low bid is approximately 8% under the Engineer’s estimate.
The project contained 3 separate groups to better delineate project construction
charges and sales tax for the City and each utility district’s work included with the
bid. The City of East Wenatchee was included under Bid Schedule A, the work
within WSDOT right of way was included under Bid Schedule B and lastly the
East Wenatchee Water District system was Bid Schedule C.Each group was below
the Engineer’s estimate. The project contract contained a Condition of Award
requirement for Underutilized Disadvantaged Business Enterprise (UDBE) goal set
to 8% as mandated by the Washington State Department of Transportation
(WSDOT) Local Programs who administers and oversees the federal fund
allocations.
We find the apparent low bidder to be qualified to perform the work. Contingent
on City and WSDOT approval, we recommend award of the project to Selland
Construction.

A Resolution of the City of East Wenatchee, Washington authorizing
the Mayor to execute a contract between the City of East Wenatchee
and Selland Construction Inc. for the 9th Street NE & Valley Mall
Parkway Intersection Improvements project.

RESOLVE AS FOLLOWS:
3. Authorization. The City Council authorizes the Mayor to execute a
contract that conforms to the language set forth in Exhibit A.
4. Severability. If a court of competent jurisdiction declares any
provision in this resolution to be contrary to law, such declaration
shall not affect the validity of the other provisions of this Resolution.
5. Effective date. This Resolution becomes effective immediately.

C O N T R A C T
THIS AGREEMENT, made and entered into this day of ____, 20__, between the
CITY OF EAST WENATCHEE, a Municipal Corporation of the State of Washington, and
____________________ hereinafter called the Contractor; WITNESSETH:
That in consideration of the payments, covenants, and agreements hereinafter
mentioned and attached and made a part of this agreement to be made and performed by the
parties hereto, the parties hereto covenant and agree as follows:
1. The contractor shall do all work and furnish all tools, materials, and
equipment for CITY OF EAST WENATCHEE – 9th Street NE and
Valley Mall Parkway Intersection Improvements project, in the amount of
$______________ (including applicable sales tax) in accordance with and
as described in the attached plans and specifications and in full
compliance with the terms, conditions, and stipulations herein set forth
and attached, now referred to and by such reference incorporated herein
and made a part hereof as fully for all purposes as if set forth at length,
and shall perform any alterations in, or additions to, the work covered by
this contract and every part thereof and any force account work which may
be ordered as provided in this contract and every part thereof.
The Contractor shall provide and be at the expense of all materials, labor,
carriage, tools, implements and conveniences, and things of every
description that may be requisite for the transfer of materials and for
constructing and completing the work provided for in this contract and
every part thereof, except such as mentioned in the specifications to be
furnished by the City of East Wenatchee.
2. The City of East Wenatchee hereby promises and agrees with the
Contractor to employ, and does employ the Contractor to provide the
materials and to do and cause to be done the above described work and to
complete and finish the same according to the attached plans and
specifications and the terms and conditions herein contained, and hereby
contracts to pay for the same according to the attached specifications and
the schedule of unit or itemized prices hereto attached, at the time and in
the manner and upon the conditions provided for in this contract and every
part thereof. The City further agrees to employ the Contractor to perform
any alterations or additions to the work covered by this contract and every
part thereof and any force account work that may be ordered and to pay
for the same under the terms of this contract and the attached plans and
specifications.

3. The Contractor for himself, and for his heirs, executors, administrators,
successors, and assigns, does hereby agree to the full performance of all
the covenants herein contained upon the part of the Contractor.
4. It is further provided that no liability shall attach to the City by reason of
entering into this contract, except as expressly provided for herein.
5. Contractor agrees that he shall actively solicit the employment of minority
group members. Contractor further agrees that he shall actively solicit
bids for the subcontracting of goods or services from qualified minority
businesses. Contractor shall furnish evidence of his compliance with these
requirements of minority employment and solicitation. Contractor further
agrees to consider the grant of subcontracts to said minority bidders on the
basis of substantially equal proposals in the light most favorable to said
minority businesses. The contractor shall be required to submit evidence
of compliance with this section as part of the bid.

I.Summary Title:
Lodging Tax Request, $7,300, for Eastmont Youth Baseball’s Apple Capital Allstar
Tournament, June 24-26, 2022.
II.Background/History:
Eastmont Youth Baseball (EYB) is East Wenatchee’s youth baseball league that is open to all
children. The Apple Capital Allstar Tournament is a youth baseball tournament for 11U and
12U select baseball teams from across the state that EYB uses to help supplement their
recreational program and keep costs lower for the community. This tournament has 16
baseball teams with 12 of those teams coming from out of the area. The tournament
utilizes the 4Plex at Eastmont Community Park.
III. Recommended Action:
The East Wenatchee Events Board is recommending that Eastmont Youth Basebal
receives $7,300 for the Apple Capital Allstar Tournament and authorize the Mayor to
sign an agreement not to exceed the $7,300 recommended amount.

The City of East Wenatchee is requesting $8,000 for Pangborn’s Festival of Flight on August
6. Trina Elmes presented the application and it was reviewed by the Board.

The funds generated from this tournament helps subsidize our local youth baseball league program. Typically we gross about
$8,000 to $10,000 which allows us to net $2,000 to $4,000 which allows use to purchase equipment, uniforms and other costs
that benefit this local league program.

The main goal of this event is to help subsidize the costs of our league and allstar programs. These programs are available to
all youth (5-12 year olds) in the Eastmont area. All funds generated from this event are desperately needed since the 4-plex
facility was damaged by the snowstorm in April of this year. Because the 4-plex was damaged, EYB was unable to sell
concessions which is our main fundraiser during our youth season.
How will you advertise, publicize or otherwise distribute information regarding your activity?*
Tournament information has been distributed to all NCW Cal Ripken programs and it is posted on our website.

RCW 67.28 provides authority for cities and counties to use lodging tax for tourism promotion to attract visitors and encourage
tourism expansion. State law also details certain reporting requirements for jurisdictions that levy a lodging tax. Each agency
awarded East Wenatchee lodging tax funds will be required to submit a Tourism Funding Expenditure Report Worksheet to the
City with detailed actual information at the conclusion of their tourism promotion activities. Provide an estimated number of

I am proposing a tourism-related service. If awarded, my organization will enter into a Municipal Services Contract with the City and will provide
liability insurance for the duration of the Contract. The insurance will name the City as an additional insured and in the policy will be in an
amount to be determined by the City of East Wenatchee. The City of East Wenatchee will only reimburse those costs actually incurred by my
organization/agency. Reimbursement only occurs after the service is rendered and after I submit a signed Request for Reimbursement form to
the City of East Wenatchee. I will include copies of invoices and payment documentation with the Request. My organization/agency will submit
a report documenting the economic impact results in a format determined by the City of East Wenatchee.

1. Grantee’s Obligations. Grantee will:
a. Host an event on June 24-26, 2022, generally described as Apple
Capital Allstar Tournament.
b. Acknowledge the City’s contribution in the event’s formal promotional
materials and efforts.
c. Acknowledge the City’s contribution on the Grantee’s website.
d. Acknowledge the City’s contribution on the Grantee’s social media
accounts.
e. Submit a Post Event Report to the City within 14 days of the event’s
completion that contained all the information set forth in Exhibit A.
2. The City’s Obligations. Within 30 days of receiving the Post Event Report, the
City will reimburse the Grantee in the amount of $7,300.
3. Indemnification. Grantee releases and shall defend, indemnify and hold
harmless the City, its elected officials, officers, employees, agents and
volunteers for any and all claims, demands, losses, negligent acts or
omissions, and liabilities (including costs and all attorney's fees) to or by any
and all persons and entities, including without limitation, their respective
agents, licensees, or representatives, arising from, resulting from, or
connected with this Agreement to the extent caused by the negligent acts,
errors or omissions of Grantee, its partners, shareholders, agents,
employees, or by the Grantee's breach of this Agreement.
4. Insurance. Grantee shall obtain and keep in force during the terms of the
agreement the following insurance with companies or through sources
approved by the State Insurance Commissioner pursuant to R.C.W. Title 48:
a. Worker's compensation and employer's liability insurance as required
by the State of Washington.
b. General commercial liability insurance in an amount not less than a
single limit of $1,000,000 for bodily injury, including death and
property damage per occurrence.

Excepting the worker's compensation insurance secured by Grantee, the
City will be named on all certificates of insurance as an additional insured.
Grantee shall furnish the City with verification of insurance and
endorsements required by this agreement.
The City reserves the right to require complete, certified copies of all
required insurance policies at any time.
All insurance shall be obtained from an insurance company authorized to
do business in the State of Washington. Grantee shall submit a verification
of insurance as outlined above within 14 days of the execution of this
agreement to the City.
5. No Discrimination. Grantee ensures that it will not discriminate against any
employee or applicant for employment in violation of RCW 49.60.180 or
other applicable law prohibiting discrimination, unless based upon a bona fide
occupational qualification as provided in RCW 49.60.180 or as otherwise
permitted by other applicable law. Further, Grantee will not commit an act
which violates RCW 40.60.215 or other applicable law prohibiting
discrimination.
