6. Action Items.
a. First reading of Ordinance 2021-21, amending chapter 15.02 of the East Wenatchee
Municipal Code changing the title of the code compliance officer and clarifying
duties – Curtis Lillquist, Planning Manager. Pg. 34
Request to suspend the second reading.
Motion by City Council to approve Ordinance 2021-21 amending chapter 15.02 of
the East Wenatchee Municipal Code as presented.
b. Resolution 2021-24, authorizing the Mayor to execute an Interlocal Agreement
between the City of East Wenatchee, Douglas County, Chelan County, and the City of
Wenatchee to establish and maintain a multi-jurisdictional SWAT Team – Rick
Johnson, Police Chief. Pg. 39
Motion by City Council to approve Resolution 2021-24 and authorize the Mayor to
execute the Interlocal Agreement establishing a multi-jurisdictional SWAT team as
presented.
c. Resolution 2021-26, Interlocal Agreement with Wenatchee for administration of the
HB 1590 Affordable Housing Sales Tax – Lori Barnett, Community Development
Director. Pg. 51
Motion by City Council to approve Resolution 2021-26 and authorize the Mayor to
sign the Interlocal Agreement for the administration of the HB 1590 Affordable
Housing Sales Tax.

School District with the correction of the cost of the SRO to be $134,921. Eastmont
School District is to cover 60% of that amount. Councilmember Johnson seconded
the motion. Motion carried (5-1 Sleiman).
b. Interim Public Works Manager Garren Melton presented Resolution 2021-22,
authorizing the Mayor to execute an Interlocal Agreement between the City of East
Wenatchee and the Wenatchee Reclamation District for utility work associated with
the 9th Street NE and Valley Mall Parkway Signal Project.

Motion by Councilmember Hepner to approve Resolution 2021-22 and authorize
the Mayor to execute the Interlocal Agreement between the City and the
Wenatchee Reclamation District. Councilmember Sleiman seconded the motion.

with Jeffers Danielson, Sonn and Aylward, P.S. (JDSA).

7. Council Reports & Announcements.
a. Councilmember Magdoff commented on the 9/7/2021 Council Meeting Minutes and
asked that they reflect that Our Valley Our Future’s presentation intent was to
indicate outreach, development and present the data that was collected.
b. Mayor Crawford shared with the Council that the Wenatchee Valley Chamber of
Commerce will be hiring a new Executive Director as Shiloh Burgess has accepted a
position at Douglas County PUD.
c. Mayor Crawford shared that per the Chelan-Douglas Health District the COVID-19
cases are plateauing in the valley. However, infection rates remain high as do the
hospital patient numbers due to patients being brought to our hospital from outside
the region.

I. Summary Title: An Ordinance of the City of East Wenatchee amending
chapter 15.02 of the East Wenatchee Municipal Code changing the title
of the code compliance officer and clarifying duties, containing a
severability clause, and establishing an effective date.
II. Background/History: The code compliance officer position was created
in 1986 with the duties of being the building inspector and planning
director. The position was amended in 1998 to remove the reference to
the planning director. In 2013, the position was changed to be the
building official/code compliance officer. The code, however, was not
changed to match policy. Building official is the standard industry title
for the position which oversees building permit administration for a
municipality.
The proposed amendment will change the position title to building official
and clarify that the position is within the community development
department. The language also clarifies the duties of the building
official.
III. Recommended Action: Motion to suspend the second reading and
approve Ordinance 2021-21.

There is established by the citywithin the community development department, the
position of building officialcode compliance officer. The code compliance officer shall be
appointed by the mayor upon confirmation of the council.Whenever a provision of the
East Wenatchee Municipal Code refers to the code compliance officer, building
inspector, or enforcement officer, any such reference shall hereafter refer to and mean
the building official. (Ord. 400 § 1, 1986)
15.02.020 Duties
The code compliance officer shall be the city building inspector and shall carry out the
duties of this position as set forth by ordinances of the city. The code compliance officer
shall perform such other duties as are designated by the mayor.
The building official shall:
A. Enforce EWMC Title 15 Buildings and Construction, with the exception of
EWMC 15.16 Fire Code, and is authorized to promulgate such rules, policies
and/or procedures as may be deemed necessary to administer and enforce such
regulations;
B. Carry out duties of this position as set forth by ordinances of the city; and
C. Be the code enforcement officer for the city.

SHERIFF’S OFFICE, EAST WENATCHEE POLICE, AND
WENATCHEE POLICE
EAST CASCADE MULTI-JURISDICTIONAL
SWAT TEAM
I. PARTIES
The parties to this Agreement are the Chelan County Sheriff’s Office, Douglas County
Sheriff’s Office, City of East Wenatchee Police Department, and the City of Wenatchee
Police Department each of which are operating under the laws of the State of Washington.
II. AUTHORITY
This Agreement is entered into pursuant to Chapters 10.93 and 39.34 of the Revised
Code of Washington.
Ill. PURPOSE
The parties hereto desire to establish and maintain a multi-jurisdictional SWAT Team to
effectively respond to high risk criminal occurrences as described below.
IV. FORMATION
There is hereby created a multi-jurisdictional Team to be hereafter known as the "East
Cascade SWAT Team" ("ECST"), the members of which shall be the Chelan County
Sheriff’s Office, Douglas County Sheriff’s Office, East Wenatchee Police Department, and
Wenatchee Police Department. No separate legal or administrative entity is created
hereby, per RCW 39.34.030(3).
Each jurisdiction currently maintains their own SWAT team, however all parties intend,
through this Agreement, to dissolve their existing SWAT teams, hold a combined testing
and selection process for interested personnel, and combine their respective SWAT
resources to form a single multi-jurisdictional SWAT team. The multi-jurisdictional SWAT
team (hereinafter “ECST”) shall be specially structured, trained, and equipped to respond
to and resolve high risk criminal activity in both the CITIES and the COUNTIES of the
participating jurisdictions.
V. STATEMENT OF PROBLEM
A multi-jurisdictional effort to handle specific high-risk criminal incidents, as well as
incidents involving weapons of mass destruction, results in more effective pooling of
personnel, improved utilization of available funds, reduced duplication of equipment,

improved training, development of specialized expertise, and increased
utilization/application of a combined special response team. This results in improved
services for the citizens of all participating jurisdictions, increased safety for officers and
the community, and improved cost effectiveness.
VI. TEAM OBJECTIVES
The objective of the ECST is to respond to specific high-risk criminal incidents in a manner
that provides for the effective use of personnel, equipment, funds, and training. The ECST
shall respond as requested by any of the participating jurisdictions and provide a
coordinated response to high-risk incidents. As special needs arise, it may be necessary
to request from other law enforcement agencies assistance and/or personnel, at the
discretion of the ECST Incident Commander and/or the ECST Tactical Commander.
The ECST may also be available to outside law enforcement agencies as provided by
chapter 10.93 RCW.
VII. DURATION AND TERMINATION
The minimum term of this Agreement shall be one (1) year, effective upon filing with the
respective county auditors or alternatively, listed by subject on each participating
jurisdiction’s web site or other electronically retrievable public source. This Agreement
shall automatically extend for consecutive one (1) year terms without action of the
legislative bodies of the participating jurisdictions, unless and until terminated pursuant to
the terms of this Agreement.
A jurisdiction may withdraw its participation in the ECST by providing written notice of its
withdrawal and serving such notice upon each Executive Board member of the remaining
jurisdictions and the legislative bodies of each remaining jurisdiction. A notice of
withdrawal shall become effective ninety (90) days after service of the notice on all
participating members.
The ECST may be terminated by a majority vote of the Executive Board. Any vote for
termination shall occur only when the sheriff or police chief of each participating
jurisdiction is present at the meeting in which such vote is taken.
VIII. GOVERNANCE
The affairs of the ECST shall be governed by an Executive Board ("Board"), whose
members are composed of the sheriffs and police chiefs, or his/her designee, from each
participating jurisdiction. Each member of the Board shall have an equal vote and voice
on all Board decisions. All Board decisions shall be made by a majority vote of the Board
members, or their designees, appearing at the meeting in which the decision is made. A
majority of Board members, or their designees, must be present at each meeting for any
actions taken to be valid. A presiding officer shall be elected by the members of the Board
to serve a term of two (2) years. In the instance that a tie-breaking vote is needed for a
decision of the Board, the Team Commander will be the deciding vote.
The Board shall meet monthly, unless otherwise determined by the Board. The presiding

officer, or any Board member, may call extra meetings as deemed appropriate. The
presiding officer shall provide no less than forty-eight (48) hours notice of all meetings to
all members of the Board; PROVIDED, however, that in emergency situations, the
presiding officer may conduct a telephonic meeting or a poll of individual Board members
to resolve any issues related to such emergency.
The ECST written policies, regulations, and operational procedures shall apply to all
ECST operations. In the event of a conflict between the policies, regulations, and
operational procedures of the ECST and the policies, regulations, and operational
procedures of the individual jurisdictions, the Executive Board shall meet to discuss and
attempt to resolve the conflict. In no event shall the ECST require an individual
jurisdiction to violate its policies, regulations, or operational procedures.
IX. STAFF
A Team Commander, which shall be a command level officer, shall be appointed annually
by the Board to act as the principal liaison and facilitator between the Board and the
members of the ECST. The Team Commander shall operate under the direction of the
presiding officer of the Board. The Team Commander shall be responsible for informing
the Board on all matters relating to the function, expenditures, accomplishments, training,
number of calls that the ECST responds to, problems of the ECST, and any other matter
as requested by the Board. The Team Commander may be removed by action of the
Board at any time and for any reason, with or without cause.
The Team Commander shall prepare monthly written reports to the Board on the actions,
progress, and finances of the ECST. In addition, the Team Commander shall be
responsible for presenting rules, procedures, regulations, and revisions thereto for Board
approval.
Chelan County Sheriff’s Office will contribute nine (9) full-time commissioned officers,
Douglas County Sheriff’s Office will contribute five (5) full-time commissioned officers,
East Wenatchee Police Department will contribute three (3) full-time commissioned
officers, and Wenatchee Police Department will contribute seven (7) full-time
commissioned officers to be assigned to the ECST. Board approval must be obtained for
the jurisdiction to assign less than this staffing requirement. The personnel assigned to
the ECST shall be considered employees of the contributing jurisdiction. The contributing
jurisdiction shall be solely and exclusively responsible for the compensation and benefits
for the personnel it contributes to the ECST. All rights, duties, and obligations of the
employer and the employee shall remain with the contributing jurisdiction. Each
jurisdiction shall be responsible for ensuring compliance with all applicable laws with
regard to employees and with provisions of any applicable collective bargaining
agreements and civil service rules and regulations.
The Board may appoint the finance department of a participating jurisdiction to manage
the finances of the ECST. Before appointing the finance department of a particular
jurisdiction to manage the finances of the ECST, the Board shall consult with the finance
department of the jurisdiction and obtain its approval. The duty of managing the finances
of the ECST shall be rotated to other participating jurisdictions at the discretion of the
Board.

The Board may, at its discretion, appoint one (1) or more legal advisors to advise the
Board on legal issues affecting the ECST. The legal advisor(s) shall, when appropriate
or when requested by the Board, consult with the legal representatives of all participating
jurisdictions before rendering legal advice.
X. COMMAND AND CONTROL
During field activation of the ECST, an Incident Commander, ECST Tactical Commander
and ECST Team Leader(s) will be designated. The duties and procedures to be utilized
by the Incident Commander, the ECST Tactical Commander, and ECST Team Leaders
shall be set forth in the standard operating procedures approved by the Board. The
standard operating procedures approved by the Board may designate other personnel to
be utilized during an incident.
XI. EQUIPMENT, TRAINING, AND BUDGET
Each participating jurisdiction shall furnish the equipment for each of its individual
participating ECST members. Each participating jurisdiction shall provide sufficient funds
to update, replace, repair, and maintain the equipment and supplies utilized by its
participating ECST members. Each participating jurisdiction shall provide sufficient funds
to provide for training of its participating ECST members.
The equipment, supplies, and training provided by each jurisdiction to its personnel
participating in the ECST shall, unless otherwise determined by the Board, be equal to
those provided by the other participating jurisdictions.
Each member jurisdiction shall maintain an independent budget system to account for
funds allocated and expended by its participating ECST members.
The Board must approve any joint capital expenditure for ECST equipment.
Nothing herein is intended to contradict the budget authority of the governing authorities
of the member jurisdictions.
XII. DISTRIBUTION OF ASSETS UPON TERMINATION
Termination shall be in accordance with those procedures set forth in prior sections. Each
participating jurisdiction shall retain sole ownership of equipment purchased and provided
to its participating ECST members.
Any assets acquired with joint funds of the ECST shall be equally divided among the
participating jurisdictions at the asset's fair market value upon termination. The value of
the assets of the ECST shall be determined by a valuation method approved by the
majority of the Executive Board. If two (2) or more participating jurisdictions desire an
asset, the final decision shall be made by arbitration (described below). Any property not
claimed shall be declared surplus by the Board and disposed of pursuant to state law for
the disposition of surplus property. The proceeds from the sale or disposition of

any ECST property, after payment of any and all costs of sale or debts of the agency,
shall be equally distributed to those jurisdictions participating in the ECST at the time
of dissolution in proportion to the jurisdiction’s percentage participation in the ECST
as of the date of dissolution. In the event that one (1) or more jurisdictions terminate
their participation in the East Cascade Team, but the ECST continues to exist, the
jurisdiction terminating participation shall be deemed to have waived any right or title
to any property owned by the ECST or to share in the proceeds at the time of
dissolution.
Arbitration pursuant to this section shall occur as follows:
A. The jurisdictions interested in an asset shall select one (1) person (Arbitrator)
to determine which agency will receive the property. If the jurisdictions cannot
agree to an Arbitrator, the sheriffs and chiefs of the jurisdictions participating
in the ECST upon dissolution shall meet to determine who the Arbitrator will
be. The Arbitrator may be any person not employed by the jurisdictions that
desire the property.
B. During a meeting with the Arbitrator, each jurisdiction interested in the
property shall be permitted to make an oral and/or written presentation to the
Arbitrator in support of its position.
C. At the conclusion of the presentation, the Arbitrator shall determine which
jurisdiction is to receive the property. The decision of the Arbitrator shall be
final and binding shall not be the subject of appeal or review.
XIII. LIABILITY, HOLD HARMLESS, AND INDEMNIFICATION
It is the intent of the participating jurisdictions to provide services of the ECST without
the threat of being subject to liability to one another and to fully cooperate in the
defense of any claims or lawsuits arising out of or connected with ECST actions that
are brought against the jurisdictions or their personnel.
Each jurisdiction shall hold harmless, defend, and indemnify the Other agencies of
the ECST and their staff members in any action involving ECST activities arising from
said jurisdiction’s or their officer’s sole negligence. In the event of negligence of more
than one jurisdiction, each jurisdiction shall be responsible for its proportionate share
of damages and/or other award attributable to the jurisdiction.
In the event of negligence or other wrongful acts asserted against more than one
jurisdiction or officer in a lawsuit, any settlement or damages awarded shall be levied
in proportion to the percentage of the fault attributable to each jurisdiction either
through mutual agreement in a settlement or through litigation of the underlying
action.
Should the parties to the ECST be unable to agree on an apportionment of costs in
settling or litigating a claim, the parties agree to use and be bound by arbitration. The

parties will make a good faith effort to share defense counsel and present a unified
defense to any claims involving more than one jurisdiction or their personnel.
No statements will be made by any member of the ECST to the press when a claim
has been presented to multiple members of the ECST, except through defense
counsel.
A. Jurisdiction Not Involved In ECST Response. In the event that a
jurisdiction or its personnel were not involved in the actions, coordination,
command, or any other aspect of the ECST response to the incident that
gives rise to a claim or lawsuit, and judgment on the claim or lawsuit does
not, in any manner, implicate the acts of a particular jurisdiction or its
personnel, such jurisdiction shall not be required to share responsibility for
the payment of the judgment, defense costs, settlement, or award.
B. Automobile Liability. It is the intent of the parties to accept sole responsibility
for automobile liability claims arising out of their officer’s transportation to the site
of a call out, including while driving an armored vehicle called to an ECST
activation.
C. Intentionally Wrongful or Conduct Beyond the Scope of Employment.
Nothing herein shall require or be interpreted to require indemnification or
sharing in the payment of any judgment against any ECST personnel for
intentionally wrongful or conduct that is outside of the scope of employment
of any individual or for any judgment of punitive damages against any
individual or jurisdiction. The legislative authority of the employing agency
will be the determinant of good faith conduct within the scope of employment
as defined in RCW 46.96.041
D. Collective Representation and Defense. The jurisdictions shall make
efforts to work with their respective risk pools to retain joint legal counsel to
collectively represent and defend the jurisdictions in any legal action. Those
jurisdictions retaining joint counsel shall share equally the costs of such
representation or defense.
In the event a jurisdiction does not agree to joint representation, or there is a
conflict with their employee necessitating separate representation, that
jurisdiction shall be solely responsible for all defense attorney’s fees accrued
by its individual representation or defense.
The jurisdictions and their respective defense counsel shall make a good
faith attempt to cooperate with other participating jurisdictions by, including
but not limited to, providing all documentation requested, and making ECST
members available for depositions, discovery, settlement conferences,
strategy meetings, and trial.

E. Defense Waiver. This section shall not be interpreted to waive any defense
arising out of RCW Title 51.
F. Insurance. The failure of any insurance carrier or self-insured pooling
organization to agree to or follow the terms of this section shall not relieve any
individual jurisdiction from its obligations under this Agreement.
XIV. NOTIFICATION OF CLAIMS AND LAWSUITS.
Any jurisdiction receiving a claim or lawsuit shall notify the other jurisdictions of the claim
or lawsuit and provide documentation of that claim or lawsuit to the other jurisdictions.
Nothing in this Agreement shall be deemed a waiver by any participating jurisdiction of
the requirements set forth in Chapter 4.96 RCW, and the fact that a participating
jurisdiction provides notice or copies of a claim to another jurisdiction shall not be deemed
compliance with the requirement that a party who files suit against a jurisdiction first file
a claim with the jurisdiction in accordance with Chapter 4.96 RCW. Moreover, nothing in
this Agreement shall be deemed acceptance of service of a lawsuit, and the fact that a
participating jurisdiction provides notice or copies of a lawsuit to another jurisdiction shall
not be deemed adequate service of such lawsuit in accordance with the State or Federal
Rules of Civil Procedure or the Revised Code of Washington.
For the purposes of implementing Section XIV of this Agreement, each Sheriff or Chief
will be responsible for making any required notification or providing required
documentation to the appropriate legal counsel and governmental officials or departments
within their jurisdiction.
XV. COMPLIANCE WITH THE LAW
The ECST and all its members shall comply with all federal, state, and local laws that
apply to the ECST.
XVI. ALTERATIONS
This Agreement may be modified, amended, or altered by agreement of all participating
jurisdictions and such alteration, amendment, or modification shall be effective when
reduced to writing and executed in a manner consistent with paragraph XX of this
Agreement.
XVII. RECORDS
Each jurisdiction shall maintain training records related to the ECST for a minimum of
seven (7) years. A copy of these records will be forwarded and maintained with the
designated ECST Training Coordinator. Each jurisdiction shall be responsible for its own
compliance with the requirements of the Public Records Act and no jurisdiction shall be
designated as the records custodian or public records officer for any other jurisdiction or
for the ECST. All records shall be available for full inspection and copying by each
participating jurisdiction. Any claims or suits related to the violation, alleged or actual, of
the Public Records Act shall not be considered a claim or lawsuit under this ECST
agreement.

XVIII. FILING
Upon execution hereof, this Agreement shall be filed with the city clerks of the
respective participating municipalities, and such other governmental agencies as may be
required by law.
XIX. SEVERABILITY
If any part, paragraph, section, or provision of this Agreement is held to be invalid by any
court of competent jurisdiction, such adjudication shall not affect the validity of any
remaining section, part, or provision of this Agreement.
XX. MUNICIPAL AUTHORIZATIONS
This Agreement shall be executed on behalf of each participating jurisdiction by its duly
authorized representative and pursuant to an appropriate resolution or ordinance of the
governing body of each participating jurisdiction. This Agreement shall be deemed
effective upon the last date of execution by the last so authorized representative. This
Agreement may be executed by counterparts and be valid as if each authorized
representative had signed the original document.

I. Summary Title: A Resolution of the City of East Wenatchee,
Washington authorizing the Mayor to execute an Interlocal
Agreement Between the City of East Wenatchee and the City of
Wenatchee for the purpose of authorizing Wenatchee to act as lead
entity in administration and use of Affordable Housing Sales and Use
Tax Funds (HB 1590) in accordance with RCW 82.14.530, containing
a severability clause, and establishing an effective date.
II. Background/History: In March of 2021, the City Councils of
Wenatchee and East Wenatchee passed ordinances to initiate the
collection of a 1/10th of 1 percent sales and use tax to fund housing
and housing related services under RCW 82.14.530 which was
amended by HB 1590.
The City Councils authorized the tax for a two-phase response to
homelessness. The first phase is the planned development and
operation of a low-barrier emergency shelter facility using the “Sleep
Center” model. Future phases would include support for the
development of affordable housing resources designed to reduce
homelessness and provide more housing options and opportunities in
East Wenatchee and Wenatchee.
The interlocal agreement anticipates pooling the sales tax revenues
for a coordinated homeless response and housing across both cities.
Each City Council will nominate and appoint 3 members of the new
homeless housing task force. The final member is to be appointed
jointly by the Mayors of both cities. The Task Force will provide close
supervision and guidance for the implementation of the homeless
response funded by these revenues. Wenatchee is also including
their local homeless housing funds in this process. East Wenatchee
local homeless housing funds will continue to be administered by

Chelan County through the Chelan Douglas Homeless Housing Task
Force.
The City of Wenatchee’s Community Development Department would
serve as the program administrator. Staff will provide updates and
reports as specified by both councils and the task force to foster
transparency, accountability, and understanding of progress towards
specified outcomes. Section 3 of the Interlocal Agreement describes
the administrative activities in more detail.
East Wenatchee will transfer the funds received under RCW
82.14.530 twice annually on July 1 and December 31 and other times
if necessary. The City of Wenatchee may use up to 7% of the funds
for administration of the program. It is estimated that revenue under
this program may exceed $400,000 per year in East Wenatchee.
III. Recommended Action: Approve Resolution 2021-26 and authorize
the Mayor’s signature on the Interlocal Agreement.

2. Authority.
2.1. RCW 35A.11.020 and RCW 35A.12.190 authorize the City Council to organize and regulate its internal affairs and to define the powers, functions and duties of its officers and employees.
2.2. RCW 39.34.030 authorizes the City to enter into an agreement with another public agency for joint or cooperative action. For an Interlocal Agreement to enter into force, the participating public agencies must take action by ordinance, resolution or otherwise pursuant to law of the governing bodies of the participating public agencies.
THE CITY COUNCIL OF THE CITY OF EAST WENATCHEE DO RESOLVE AS FOLLOWS:
3. Authorization. The City Council authorizes the Mayor to execute an Interlocal Agreement that conforms to the language set forth in Exhibit A.
4. Severability. If a court of competent jurisdiction declares any provision in this resolution to be contrary to law, such declaration shall not affect the validity of the other provisions of this Resolution.
5. Publication. The City Council directs the City Clerk to publish a copy of the Interlocal Agreement on the City’s website once it is signed by all parties.
6. Recording. The City Council directs the City Clerk to record the original, fully executed Interlocal Agreement with the Douglas County Auditor.

THIS AGREEMENT is entered into between the City of East Wenatchee and the City of
Wenatchee, municipal corporations organized and existing under the laws of the State of
Washington, for the purpose of compliance with RCW 43.185C.080 and RCW 82.14.530 and
coordination and administration of affordable housing and housing related services between the
cities of Wenatchee and East Wenatchee. The City of East Wenatchee and the City of Wenatchee
may be referred to herein individually as a “Party” or collectively as the “Parties.”
Recitals
WHEREAS, RCW 43.185C.050 directed each local homeless housing task force to prepare
and recommend to its local government legislative authority a five-year local homeless housing
plan for its jurisdictional area which is aimed at eliminating homelessness. The Parties have
adopted a five-year local homeless housing plan applicable to each jurisdiction; and
WHEREAS, the Parties desire to work collaboratively to establish a task force to maintain
and update the Five-Year Local Homeless Housing Plan and to administer the applicable homeless
surcharges that are being collected by the Chelan County Auditor’s Office for the City of
Wenatchee under RCW 43.185C.080, RCW 36.22.179 and RCW 36.22.1791, funds collected for
the Parties under RCW 82.14.530 and any additional funds the Parties allocate to the task force to
implement the Five-Year Local Homeless Housing Plan; and

WHEREAS, as authorized by RCW 82.14.530, each Party has imposed a sales and use
tax for housing and related services. As authorized by RCW 43.185C.080(2), the Parties may
contract with each other to execute programs contributing to the overall goal of ending
homelessness within a defined service area; and
WHEREAS, according to RCW 43.185C.050, eligible activities under a local plan
include: rental and furnishing of dwelling units for the use of homeless persons; costs of
developing affordable housing for homeless persons, and services for formerly homeless
individuals and families residing in transitional housing or permanent housing and still at risk of
homelessness; operating subsidies for transitional housing or permanent housing serving
formerly homeless families or individuals; services to prevent homelessness, such as emergency
eviction prevention programs including temporary rental subsidies to prevent homelessness;
temporary services to assist persons leaving state institutions and other state programs to prevent
them from becoming or remaining homeless; outreach services for homeless individuals and
families; development and management of local homeless plans including homeless census data
collection; identification of goals, performance measures, strategies, and costs and evaluation of
progress towards established goals; rental vouchers payable to landlords for persons who are
homeless or below thirty percent of the median income or in immediate danger of becoming
homeless; and their activities to reduce and prevent homelessness as identified for funding in the
local plan; and
WHEREAS, RCW 39.34.010 permits local governments to make the most efficient use of
their powers by enabling them to cooperate with other municipalities on a basis of mutual
advantage and thereby to provide services and facilities in a manner that will be most beneficial in
meeting the needs of the participating communities; and
WHEREAS, the Parties wish to continue to work collaboratively and combine all above-
referenced funds to be administered by one entity to serve the residents of the cities of East
Wenatchee and Wenatchee consistent with the Local Homeless Housing Plan adopted by the
Parties as now or hereafter may be updated.
NOW, THEREFORE, the Parties agree as follows:
1. Purpose. The purpose of this Agreement is for the Parties to collaboratively establish a task
force to maintain and update the Five-Year Local Homeless Housing Plan and to administer
the applicable homeless surcharges that are being collected by the Chelan County Auditor’s
Office for the City of Wenatchee under RCW 43.185C.080, 36.22.179 and 36.22.1791, funds
collected for the Parties under RCW 82.14.530 and any additional funds the Parties allocate to
the task force to implement the Five-Year Local Homeless Housing Plan.
2. Duration and Termination. The term of this Agreement shall commence upon approval of the
Parties. This Agreement will be recorded with the Chelan County Auditor’s Office by the City
of Wenatchee and may be posted to the websites of the Parties hereto at their discretion. This
Agreement shall remain in effect until terminated by any Party upon not less than one hundred
eighty (180) days prior written notice to the other Parties. Any contractual agreements made

by the Parties shall be binding upon the Parties for the duration identified in the applicable
contracts. The withdrawal or termination by any one Party shall terminate the Agreement.
3. Administration.
3.1.No separate legal or administrative entity is created by this Agreement.
3.2.The Parties hereby create the Columbia River Homeless Housing Task Force (“Task
Force”), a voluntary local advisory committee that will advise the Parties on updating,
maintaining and implementing the local homeless housing plan and will participate in a
local homeless housing program. The Task Force will consist of seven voting members
appointed as follows:
• The East Wenatchee City Council will appoint one member who resides within
the City of East Wenatchee.
• The Wenatchee City Council will appoint one member who resides within the
City of Wenatchee.
• The East Wenatchee City Council will appoint one member who is a
representative of a non-profit organization with experience in low income
housing.
• The Wenatchee City Council will appoint one member who is a representative of
a non-profit organization with experience in low income housing.
• The East Wenatchee City Council will appoint one member who resides within
Douglas County.
• The Wenatchee City Council will appoint one member who resides within
Chelan County.
• The Mayor of East Wenatchee and the Mayor of Wenatchee will jointly appoint
one member who is homeless or formerly homeless.
• At the discretion of the Parties, additional non-voting members may be
appointed.
The Bylaws of the Task Force shall be approved by the Parties.
3.3.The City of Wenatchee shall be the lead entity for the administration of the local homeless
housing programs and funds serving Wenatchee and East Wenatchee funded under this
Agreement.
3.4.The City of Wenatchee, in its lead entity role, shall be responsible for the day-to-day
operational management of the homeless funds and implementation of the Five-Year
Local Homeless Housing Plan. Specific lead entity duties include:
• Administration:
o Applying for grant funding where directed by the Parties.
o Managing and maintaining homeless/housing provider contracts including
grant development, fiscal reimbursement, and performance monitoring.

o Mediating disputes between program participants and homeless service
providers.
o Maintaining staff to fulfill all lead entity duties.
o Developing policies and procedures for contracted service providers that
ensure compliance with contract requirements.
o Monitoring performance and compliance with contractual requirements.
o Coordinating all Task Force meetings and events.
o Participate in the Chelan Douglas Homeless Housing Advisory Group for
ongoing coordination.
o Coordinate with and seek partnerships with service providers to
implement the direction and goals of the Parties.
• Planning:
o Coordinate with the Parties and the Task Force to develop plan updates
and amendments to prioritize program development and implementation.
o Conducting gap analyses of needs and services available to the homeless
population as it relates to the priorities of the Parties.
o Developing performance measures that ensure programs are meeting the
needs of homeless persons in the jurisdictions of the Parties, and
community expectations expressed by the Parties.
o Implementing planned goals and priorities adopted or directed by the
Parties.
o During new program development conduct joint and/or individual
workshop(s) with the city councils to gather feedback and direction.
• Data Collection and Reporting:
o Serving as the Homeless Management Information Data System lead for
the Parties.
o Participating in an annual Point-in-Time count of homeless individuals per
HUD specifications.
o Compiling and reporting on performance metrics to evaluate the
effectiveness of programs developed by the Parties. Ensure that the
metrics over time are effective in monitoring the priorities of the Parties.
o Reporting duties specified by RCW 43.185C.045(3) and any other funding
sources committed to this program.
o Meet with and provide annual reports to a joint meeting of the Parties and
the Task Force on program performance and development.
• System Coordination:
o Coordinate with the regional coordinated entry system and service
providers in the continuum of care.
o Developing community partnerships with funders and organizations that
serve homeless sub-populations (i.e. veterans, individuals exiting systems

of care, unaccompanied youth, chronically homeless individuals), and
service providers within the continuum of care.
o Programs shall be limited to meeting the needs of the homeless in the
incorporated cities of Wenatchee and East Wenatchee and shall not be
offered regionally.
• Fiscal Oversight:
o Accounting for and managing all resources received from federal, state,
and local sources to assure there is no waste, fraud, or abuse of funds.
o Processing all requests for reimbursements from funding recipients.
o Identifying and applying for new sources of funding as applicable.
3.5.The City of Wenatchee, as the contracted administrator of the program, shall work with the
Task Force to develop funding decisions in conformance with all applicable statutes. The
Wenatchee City Council will review and approve funding/contracting recommendations
from the Task Force. In the event that a funding recommendation is declined by the
Wenatchee City Council, representatives from each Party may request the Wenatchee City
Council reconsider the decision in a public meeting.
3.6.The following shall be the Parties’ contact persons for the daily administration of this
Agreement:

3.7.Official contract correspondence/notices should be addressed to the official clerk of each
Parties’ respective legislative entity.
4. Funds, Reporting, Outreach and Administrative Costs.
4.1. The City of East Wenatchee shall transfer the balance of funds collected under RCW
82.14.530, twice annually on July 1 and December 31 to the City of Wenatchee. The City
of Wenatchee may request interim transfers to facilitate the funding of specific projects or
programs. The City of Wenatchee shall be entitled to retain 7% of the funds to cover
administrative costs.

4.2. The City of Wenatchee shall develop a public outreach program which may include but
not be limited to interaction with the press, public events, web postings public surveys and
other means to gather feedback and provide information on homeless programs and
priorities. All outreach efforts will be targeted to both cities.
4.3. The Task Force may not issue funding commitments in excess of two years without the
express written approval of each Party’s governing board. Any capital funding
commitment beyond one calendar year shall require separate approval of the legislative
authority of each Party. A withdrawal by a Party or termination of this Agreement shall
not affect contractual commitments.
4.4. By January 31 of each year the City of Wenatchee will submit a written report to the other
Parties to this Agreement providing a summary of the agencies and/or projects funded in
the preceding year with funds referenced in this Agreement.
4.5. The Parties contemplate and approve the purchase of land or shelters, and as an alternative
to a land purchase a land lease, for the purposes of siting and operating a low barrier
shelter(s).
5. Local Homeless Housing Plan. Each Party shall adopt by resolution the Five Year Local
Homeless Housing Plan prepared in conformance with the requirements of RCW 43.185C and
all amendments.
6. No Assignment. Neither this Agreement nor any Party’s rights or duties under this Agreement
may be assigned without the prior written agreement of the other Parties.
7. Disposition of Assets and Liabilities Upon Termination. Termination shall be in accordance
with those procedures set forth in Section 2. Upon termination of this Agreement by one or
both Parties, equipment and other personal or real property purchased for the low barrier
shelter(s) and/or the net proceeds from the sale of such assets, shall be distributed to the Parties
proportionately to their contributions to the purchase of the asset. In lieu of distribution, the
Parties may agree for a Parties’ purchase of equipment or other personal or real property and
payment to the other Party. Each Party shall assume and pay the obligations remaining due
for the facilities, equipment and personal or real property it receives on dissolution and
thereafter indemnify and hold the other Party harmless therefrom.
8. Conflict Resolution. In the event that a dispute between the Parties occurs, the dispute shall be
submitted to arbitration pursuant to RCW Chapter 7.04, et. Seq., except as hereafter modified.
Such arbitration shall be before one disinterested arbitrator, if one can be agreed upon by the
Parties. If one arbitrator cannot be agreed upon, then each Party shall appoint one arbitrator,
and a third arbitrator shall be appointed by both Parties. The Arbitrator may be any person not
employed by the jurisdictions that desire the property.
8.1. During a meeting with the Arbitrator, each jurisdiction interested in the property shall be
permitted to make an oral and/or written presentation to the Arbitrator in support of its
position.

8.2. At the conclusion of the presentation, the Arbitrator shall determine which jurisdiction
will receive the property. The decision of the Arbitrator shall be final and binding and
shall not be the subject of appeal or review.
8.3. If all arbitrators have not been appointed within ten (10) days after a written notice of for
arbitration is served by one Party to the other, then either Party may apply to the Chelan
County Superior Court, upon not less than five (5) days written notice to the other, for
appointment of the necessary arbitrators remaining to be appointed. The judicial
appointment(s) shall be final, conclusive and binding. The controversy shall be resolved
and determined in accordance with the laws of Washington as applied to the facts found.
Remedies, both equitable and legal, including injunctive relief, may be granted. The
decision shall be final, conclusive and binding on the Parties and a judgment confirming
the decisions may be entered in the Chelan County Superior Court.
9. Maintenance and Audit of Records
9.1. Each Party shall maintain books, records, documents and other materials relevant to its
performance under this Agreement.
9.2. These records shall be subject to inspection, review and audit by any Party or its designee,
and the Washington State Auditor’s Office.
9.3. Each Party shall retain all such books, records, documents and other materials for the
longest applicable retention period under federal and Washington law.
10. Indemnification. Each Party to this Agreement shall defend, indemnify and hold harmless the
other Parties, their agents, officers, employees, insurers, and elected officials, from and against
any and all liability, loss or damage incurred as a result of claims, demands, suits, or actions
resulting from any action or failure to act undertaken or existing under this Agreement to the
extent of their sole, concurrent or comparative negligence, reckless or intentionally wrongful
acts. No Party shall be responsible for the negligent acts, reckless or intentionally wrongful
acts of another.
11. Independent Contractor. The Parties agree that the City of Wenatchee shall be at all times
under this Agreement an independent contractor. Employees of the City of Wenatchee are and
will remain employees of the City of Wenatchee.
12. Mutual Cooperation. All Parties agree to mutual cooperation and will make a good faith effort
to assist one another in fulfilling the terms of this Agreement.
13. Venue/Attorney’s Fees.
13.1. The venue for any and all suits brought to enforce or interpret the provisions of this
Agreement shall be Chelan County.

13.2. In the event of any legal action or other proceeding to enforce or interpret the terms
of this Agreement, each Party shall bear its own attorney’s fees and costs incurred in that
action or proceeding.
14. Recitals. The recitals in the preamble to this Agreement are incorporated by reference and are
part of this Agreement.
15. Entire Agreement. This Agreement contains all the terms and conditions agreed upon by the
Parties. This Agreement shall not be amended unless in writing signed by each of the Parties.
