Term. This Agreement begins on January 1, 2021 and ends on December 31, 2022. 2. Grantee's Obligations. Grantee will: a. Promote tourism and recreation in East Wenatchee. b. Report quarterly, to the East Wenatchee Events Board, with documentation that shows how the funds have been used for tourism promotion, as defined in RCW 67.28.080. c. Submit a Post Event Report to the City within 30 days of the end of each calendar year, that contains all the information set forth in Exhibit A. 3. The City's Obligations. City will pay Grantee $45,000 per calendar year as follows: a. Within 30 days of receiving a report for the first quarter of 2021, the City will reimburse the Grantee in the amount of $15,000. b. Within 30 days of receiving a report for the second quarter of 2021, the City will reimburse the Grantee in the amount of $15,000. c. Within 30 days of receiving a report for the third quarter of 2021, the City will reimburse the Grantee in the amount of $15,000. d. Within 30 days of receiving a report for the first quarter of 2022, the City will reimburse the Grantee in the amount of $15,000. e. Within 30 days of receiving a report for the second quarter of 2022, the City will reimburse the Grantee in the amount of $15,000. f. Within 30 days of receiving a report for the third quarter of 2022, the City will reimburse the Grantee in the amount of $15,000. 4. Indemnification. Grantee releases and shall defend, indemnify and hold harmless the City, its elected officials, officers, employees, agents and volunteers for any and all claims, demands, losses, negligent acts or omissions, and liabilities (including costs and all attorney's fees) to or by any and all persons and entities, including without limitation, their respective agents, licensees, or representatives, arising from, resulting from, or connected with this Agreement to the extent caused by the negligent acts, Page 2 of 5 errors or omissions of Grantee, its partners, shareholders, agents, employees, or by the Grantee's breach of this Agreement. 5. Insurance. Grantee shall obtain and keep in force during the terms of the agreement the following insurance with companies or through sources approved by the State Insurance Commissioner pursuant to R.C.W. Title 48: a. Worker's compensation and employer's liability insurance as required by the State of Washington. b. General commercial liability insurance in an amount not less than a single limit of $1,000,000 for bodily injury, including death and property damage per occurrence. Excepting the worker's compensation insurance secured by Grantee, the City will be named on all certificates of insurance as an additional insured. Grantee shall furnish the City with verification of insurance and endorsements required by this agreement. The City reserves the right to require complete, certified copies of all required insurance policies at any time. All insurance shall be obtained from an insurance company authorized to do business in the State of Washington. Grantee shall submit a verification of insurance as outlined above within 14 days of the execution of this agreement to the City. 6. No Discrimination. Grantee ensures that it will not discriminate against any employee or applicant for employment in violation of RCW 49.60.180 or other applicable law prohibiting discrimination, unless based upon a bona fide occupational qualification as provided in RCW 49.60.180 or as otherwise permitted by other applicable law. Further, Grantee will not commit an act which violates RCW 40.60.215 or other applicable law prohibiting discrimination.
