Construction Management of the 2017 Small Stormwater
Improvement Project
1. Parties. The Parties to this Professional Services Agreement ("Agreement") are
the City of East Wenatchee and SCJ Alliance ("SCJ Alliance").
2. Duration of Agreement. This Agreement begin on March 15, 2017 and ends
on December 31, 2017.
3. Scope of Work. SCJ Alliance will provide design and construction management
services for the 2017 Small Stormwater Improvement Project. SCJ Alliance
will provide the services described in Exhibit A for the City in a manner
consistent with the professional skill and care ordinarily provided by consultants
practicing in the same or similar locality under the same or similar
circumstances (Standard of Care).
4. Total Compensation. The City will pay SCJ Alliance $29,490 performing the
services set forth in paragraph 3. This amount is the full compensation for all
work performed; for all services rendered; and for all labor, materials, supplies,
and equipment, and incidentals necessary to complete the services set forth in
paragraph 3.
4.1. If required by the City, SCJ Alliance must change and revise the completed
work as necessary to correct any errors. SCJ Alliance is not entitled to
additional compensation for making the required changes and revisions.
5. Method of Payment. SCJ Alliance must submit a monthly invoice for
compensation. The monthly invoice must contain a detailed description of the
work performed during the month, and the number of hours spent performing
such work.
6. Invoices. SCJ Alliance must submit invoices to the following address: The City
of East Wenatchee, Attention: Teresa Allen, 271 9th St. N.E., East Wenatchee,
WA 98802.
7. Disputed work. If the City believes in good faith that some portion of work has
not been completed satisfactorily; the City may request that SCJ Alliance correct
the work before the City pays for such work. The City must reasonably explain
to SCJ Alliance its concern over the work and the remedy that the City expects
from SCJ Alliance. The City may withhold from any payment otherwise due an
amount that is under dispute. Also, if the SCJ Alliance does not provide a
sufficient remedy, the City may retain the amount that it costs the City to
correct or remedy the work that SCJ Alliance did not properly complete.
8. Affirmative Representations by SCJ Alliance. SCJ Alliance represents and
warrants that:
8.1. It has the requisite training, skill and experience necessary to provide the
services identified in Paragraph 3.

8.2. It is appropriately accredited and licensed by all applicable agencies and
governmental entities.
8.3. It did not offer a gift, gratuity, loan, trip, favor, special discount, work, or
anything of economic value to any City employee or City official to obtain
this Agreement.
8.4. It will strictly adhere to the statutes and ordinances in contracting and
purchasing, including the City Ethics Code, RCW 42.23 (Code of Ethics for
Municipal Officers) and RCW 42.52 (Ethics in Public Service).
8.5. It does not have a business interest or close family relationship with any
City official or employee. No one employed by SCJ Alliance has a business
interest or close family relationship with any City official or employee.
9. The City will monitor and evaluate SCJ Alliance's performance. Subject
to oversight by the Mayor or the Mayor's designee, SCJ Alliance may control and
direct the performance of the services identified in Paragraph 3. The City
reserves the right to inspect, review and approve the work done to assure that it
has been completed as specified, before payment. SCJ Alliance must cooperate
with and freely participate in any monitoring or evaluation activities conducted
by the City.
10. SCJ Alliance is an independent contractor. This Agreement creates an
independent contractor relationship between the parties. SCJ Alliance and its
employees or agents performing under this Agreement are not employees or
agents of the City. SCJ Alliancen will not hold itself out pass or claim to be an
officer or employee of the City, nor will SCJ Alliance make any claim of right,
privilege or benefits which would accrue to such officer or employee under law.
The Parties recognize that SCJ Alliance may or will be performing professional
services during the term of this Agreement for other parties.
11.Taxes. SCJ Alliance is responsible for paying all taxes related to payments
received from the City, including federal income taxes, self employment (social
security and Medicaid) taxes and state business and occupation taxes. The City
is not responsible for withholding for or paying any tax owed by SCJ Alliance.
12.Indemnification. To extent allowed by law, SCJ Alliance agrees to indemnify
and hold harmless the City. SCJ Alliance releases and must indemnify and hold
harmless the City, its elected officials, officers, employees, agents and for any
and all claims, demands, losses, and liabilities (including costs and all attorney's
fees to or by any and all persons and entities, including without limitation, their
respective agents, licensees, or representatives, arising from, resulting from, or
connected with this Contract to the extent caused by the negligent acts, errors or
omissions of SCJ Alliance, its partners, shareholders, agents, employees, or by
SCJ Alliance's breach of this Contract. To the maximum extent permitted by

applicable law, this must apply. However, this will not require SCJ Alliance to
indemnify the City against any liability for damages arising out of bodily injury
or property damages caused by or resulting from negligence of the City. the City
will protect, indemnify and save harmless the SCJ Alliance, its representatives
and other employees all costs, claims, judgments or awards of damages arising
out of the negligent acts or omissions of the City, its officers or employees.
Further, with concurrent negligence of SCJ Alliance and the City each party will
be required to indemnify the other only to the extent of the negligence of the
party.
13.The City owns all work product. The City owns all work product that SCJ
Alliance produces while performing services for the City. All work product,
including records, files, documents, plans, computer disks, magnetic media or
material which may be produced or modified by SCJ Alliance while performing
services for the City belong to the City. At the termination of this Agreement,
SCJ Alliance must deliver all original records, files, documents, plans computer
disks, magnetic media or other material to the City. Until at least 12 months
following final payment, SCJ Alliance must provide the City prompt access to
(and the City must have the right to examine, audit and copy) all of SCJ
Alliance's electronic files, books, documents, papers and records related to the
service performed for the City. Any reuse of the work product(s) by the City shall
be without liability to SCJ Alliance.
13.1. SCJ Alliance may include representations of the work performed
under this Agreement in its promotional and professional materials, unless
such representation or materials contain confidential information.
13.2. SCJ Alliance may not apply for a copyright on any report, map, or
document produced for the City under this Agreement.
14. Confidential Information. SCJ Alliance may not disclose information it
acquires during the performance of this Agreement unless: (1) The City gives
SCJ Alliance permission to disclose the information; (2) The information is in the
public domain at the time of disclosure by SCJ Alliance; (3) The information is
received by SCJ Alliance from a third party who does not have an obligation to
keep the same confidential; or (4) withholding such information would violate
the law or prevent SCJ Alliance fro establishing a claim or defense in an
adjudicatory proceeding. If SCJ Alliance, an employee of SCJ Alliance, or an
agent of SCJ Alliance uses or releases confidential information or records
belonging to the City, SCJ Alliance agrees to pay the City liquidated damages.
Liquated damages are $1,000 for each occurrence or three times the City's actual
damages, whichever is greater.
15. SCJ Alliance agrees comply with applicable federal and state laws. SCJ
Alliance must comply with all federal, state, and local nondiscrimination laws,

regulations and policies. These laws include, but are not limited to: The U.S.
Department of Transportation's policies against discrimination, Chapter 49.60
RCW, Title VI of the Civil Rights Act of 1964; Section 109 of the Housing and
Community Development Act of 1974, Age Discrimination Act of 1975,
Americans with Disabilities Act of 1990, Section 504 of the Rehabilitation Act of
1973 Executive Order 11246 of September 24, 1965, and of the rules, regulations,
and relevant orders of the Secretary of Labor, Section 3 of the Housing and
Community Development Act of 1968; Executive Orders 11625, 12432, and
12138.
15.1. If SCJ Alliance fails to comply with any federal or state law, regulation
or policy, the City may withhold payments to SCJ Alliance under the
contract until SCJ Alliance complies or cancel, terminate, or suspend the
contract, in whole or in part.
15.2. The City will give SCJ Alliance 30 days to cure any noncompliance.
16.Information and Reports. SCJ Alliance must maintain books, records,
documents, and other evidence and accounting procedures and practices which
sufficiently and properly reflect all hourly charges and direct costs of any nature
expended in the performance of this Agreement. SCJ Alliance must retain all
books, records, documents, and other material relevant to this Agreement for
four years after this Agreement terminated. These records are subject at all
reasonable times to inspection, review, or audit by a City employee or official or
by the Office of the State Auditor.
17.Dispute Resolution. All disputes involving this Agreement must be resolved
according to the following procedure:
17.1. Negotiation. The parties will first attempt to negotiate a mutually -
satisfactory resolution to the dispute.
17.1.1. The complaining party must notify the other party of the alleged
dispute, controversy, claim or breach of contract ("Dispute') by explaining
in writing the nature of the Dispute, and referring to the relevant
paragraphs of this Agreement upon which it based. The complaining
party must also set forth in such notice a proposed solution to the
Dispute;
17.1.2. The party receiving such notice must respond ("Response") to
the complaining party within 20 days of the complaining party's notice;
and
17.1.3. Within 20 days of the Response, the parties must meet and
discuss options for resolving the Dispute; the complaining party must
initiate the scheduling of this resolution meeting.

17.1.4. If a party fails to cooperate in scheduling the resolution meeting,
then the complaining party may elect to skip the negotiation and
mediation procedures and immediately proceed with arbitration.
17.2. Mediation. If the parties do not satisfactorily resolve the Dispute
through such negotiation, mediation must be held within thirty days of an
unsuccessful resolution meeting. If they are unable to agree on a mediator,
the parties may request that Chelan County Superior Court provide a list of
three available mediators, and each side may strike one; the remaining
individual may serve as the mediator. If a party fails to cooperate in this
mediation process in a timely manner, then the complaining party may elect
to skip the mediation procedure and immediately proceed with arbitration.
17.3. Legal Action. The venue for any legal dispute regarding this
Agreement is Douglas County Superior Court.
18. General Provisions.
18.1. Attorney's Fees. If any legal action or other proceeding is brought to
enforce this Agreement, or because of an alleged dispute, breach, default, or
misrepresentation in connection with this Agreement, each party will bear
their own attorney's fees, expert witness fees, filing fees, arbitrator fees, or
other costs incurred in that action, arbitration, or proceeding.
18.2. Authority. Each individual executing this Contract for the City and for
SCJ Alliance represents and warrants that such individuals are duly
authorized to execute and deliver this Contract for SCJ Alliance or for the
City.
18.3. Binding Effect. The provisions, covenants, and conditions in this
Contract apply to bind the parties, their legal heirs, representatives,
successors, and assigns.
18.4. Civil Rights. SCJ Alliance agree to comply with all local and state civil
rights laws and with Title VI of the Civil Rights Act of 1964, Title VIII of the
Civil Rights Act of 1968, Section 104(b) and Section 109 of Title I of the
Housing and Community Development Act of 1974, Section 504 of the
Rehabilitation Act of 193, the Americans with Disabilities Act of 1975,
Executive Order 11063, and Executive Order 11246 as amended by
Executive Orders 11375, 11478, 12107, and 12086.
18.5. Compliance with Laws. SCJ Alliance, at his/her/its sole cost and
expense, may perform and comply with all applicable laws of the United
States, the State of Washington; and the City of East Wenatchee.
18.6. Equipment and Materials. Except as specifically provided in this
Agreement, SCJ Alliance must furnish all equipment, materials, and

personnel that may be required to accomplish the services described in the
Agreement.
18.7. Full Agreement. This Contract and all attachments form all of the
covenants, promises, agreements and conditions, between the parties. All
attachments and addendum are incorporated herein by this reference, and
may be a part of this contract instrument. If discrepancy between the
documents, addendum and attachments may prevail over the Contract. This
entire contract including all attachments specifies the working relationship
between the City and SCJ Alliance and specific obligations of both parties.
18.8. Non -waiver. Waiver of any default or breach of this agreement may
not be deemed a waiver of any other prior or subsequent default or breach
and may not be construed to be a modification of the terms of this Agreement
unless stated to be such through written agreement of the signatories hereto.
18.9. Performance. SCJ Alliance shall perform its services as expeditiously
as is consistent with the Standard of Care stated in Section 3 and the orderly
progress of the project.
18.10. Personal Liability. The parties agree that no official, employee, or
agent of the City may be held liable or responsible for any breach of this
Agreement.
18.11. Remedies Cumulative. The remedies provided for in this Agreement
are not exclusive, but are cumulative with all other remedies available at
law or in equity.
19. Washington law governs this Agreement. The laws of the State of
Washington govern the interpretation, construction, and enforcement of this
Professional Services Agreement.
20. Severability. If a competent court of law determines any section or portion of
this Agreement to be unlawful, such determination may not affect the remaining
terms and conditions of the Agreement.
21. Survivability. The obligation of SCJ Alliance under all provisions of this
Agreement, which may reasonably be interpreted or construed as surviving the
completion, termination, or cancellation of this Contract, may survive the
completion, termination, or cancellation of this Contract.

Introduction:
Thank you for selecting SCJ Alliance (SCJ) to provide civil engineering services on the Ashland Avenue and
Astor Court Small Stormwater Project. The project consists of planning, design, and construction
document preparation to facilitate installation of stormwater improvements that will alleviate persistent
flooding issues on the 1600 block of Ashland Avenue and Astor Court in East Wenatchee.
Per our discussion, the City will be tracking the budgets for Ashland Avenue and Astor Court improvements
separately with the projects being designed, permitted, and invoiced as one project. Given the
improvements on each road are expected to be the same, the City can apply 50% of each invoice to
Ashland Avenue and Astor Court for tracking purposes.
Our team includes NW Geodimensions for the project topographic survey and Aspect Consulting for the
geotechnical evaluation. The scope of work for SCJ, Aspect Consulting, and NW Geodimensions are
described below:
Phase 10 — Civil Engineering Consulting
Phase 10 is broken into tasks for the Preliminary Design, Construction Documents, and Construction
Administration.
Task 1— Preliminary Design
1. SCJ will review record drawing information provided by the Douglas County Sewer District and
the East Wenatchee Water District (utility districts) and will conduct a site reconnaissance visit
at the onset of the project to better define the scope of work for the survey and geotechnical
evaluation.
2. SCJ will coordinate a kickoff meeting with the City and the Utility Districts congruently with the
survey and geotechnical work.
3. SCJ will verify with the City that the project does not trigger SEPA or any other environmental
review requirements.
4. SCJ will coordinate the scope of work, preparing subconsultant contracts, schedule
subconsultant work, and review the deliverables from the subconsultants.

5. Once the project survey and geotechnical report are completed, SCJ will complete a preliminary
drainage analysis to determine the most economical solution.
6. SCJ will prepare preliminary civil improvement plans for Ashland Avenue and Astor Court. The
plans will include the following:

c. Existing Conditions Sheet
d. Demolition and Erosion Control Plan
e. Ashland Improvement Plan
f. Astor Improvement Plan

7. SCJ will review the Department of Ecology underground injection control program requirements
to verify if an underground injection control registration is required based on the proposed
improvements.
8. SCJ will prepare a construction specification outline.
9. SCJ will prepare a preliminary construction cost estimate to determine if the proposed
improvements can be constructed within the approved budget allotted for this small
stormwater improvement project.
10. SCJ will perform an internal quality assurance/quality control review of the preliminary plans
and drainage calculations.
11. SCJ will issue the preliminary plan package to the City and provide a copy of the plans to the
utility districts for coordination purposes.
Phase 10 —Task 1 Budget: $6,500 T&M
Task 2 — Construction Documents
1. SCJ will meet with the City to discuss and review the City's comments on the preliminary plan
package. As part of this meeting, SCJ will be prepared to discuss potential cost savings measures
as necessary to keep the project costs within the approved budget.
2. SCJ will complete a final drainage report that will include an operations and maintenance plan.
3. SCJ will revise the plans to address City comments on the preliminary plans and to add sufficient
detail to the plans for bidding and construction purposes.

4. SCJ will assist the City with the underground injection control registration of the infiltration
system as necessary. It is assumed that since the improvements will not require stormwater

quality improvements, that Department of Ecology will not require treatment prior to
infiltration to register the system in their database.
5. SCJ will prepare final project specifications.
6. SCJ will prepare a final construction cost estimate. It is assumed that a Cultural Resource
Assessment will not be required.
7. SCJ will prepare a bid manual and assist the City in advertising the bid for the project.
8. SCJ will perform a final internal quality control/quality assurance check of the plans and
specifications prior to finalizing the construction documents.
Phase 10-Task 2 Budget: $6,500 T&M
Task 3 — Construction Administration
This task includes construction support services. Construction is anticipated to begin in July of 2017 and
be completed in August of 2017.
1. Respond to bid questions and issue bid addenda. Budget is based on 4 bid questions and
issuance of 1 bid addendum.
2. Assist the client in evaluating submitted bids for completeness in accordance with the bid
documents. The budget is based on 2 hours of effort.
3. Review shop drawings and material submittals. The budget is based on 3 hours of effort
4. Provide field clarifications from contractor via RFI or phone call. The budget is based on 6 hours
of effort.
5. Participation in construction meetings. The budget is based on 4 meetings for a total of 5 hours
of effort. Meetings include a preconstruction meeting, 2 construction progress meetings, and a
final site visit to conduct a punch list walk through.
6. Prepare a final punchlist report for submittal to the owner and general contractor.
7. Preparation of record drawings based on contractor provided redlined asbuilt plans.
Phase 10 — Task 3 Budget: $4,000

• Storm water infiltration is a suitable solution based on the geotechnical evaluation. The
infiltration system size will fit within the right of way outside the limits of the existing asphalt.
• Construction material testing is not a part of this scope of work.
• Specifications will be developed and formatted consistent with WSDOT Standard Specifications,
General Special Provisions, and APWA amendments
• A contract amendment will be provided to incorporate extra services resulting from
jurisdictional and/or client comments that expand the scope of services.
• The City will be responsible for all advertising and posting of the bid package.
• The City will complete any required public outreach coordination and meetings.
Phase 10 Fee: $17,000
Phase 20 — Geotechnical Evaluation
This phase includes the Aspect Consulting's effort to conduct field work and prepare a Geotechnical
Letter Report to summarize their findings and recommendations. The scope of work included is detailed
in the attached Aspect scope and fee letter, dated March 1, 2017.
Phase 20 Deliverables
• Geotechnical Letter Report
Phase 20 Assumptions:
• The City will provide a water truck, hoses, backhoe/excavator capable of excavating up to 12
feet, and operators for completion of the field work.
• The City will be responsible for traffic control, backfill compaction, pavement cutting or
patching, and will assist in locating utilities prior to excavation of test pits.
• Phase 20 effort is to be completed by Aspect Consulting who will be under contract with SCJ.
Phase 20 Fee: $6,050
Phase 30 — Survey
This phase includes NW Geodimensions effort to complete surveying services as described in the
attached scope and fee estimated, dated March 1, 2017.
Phase 30 Deliverables
• Final Topographic and Utility Survey
Phase 30 Assumptions:
• Phase 30 effort is to be completed by NW Geodimensions who will be under contract with SCJ.

Phase 99 -REIMBURSABLE EXPENSES
A reimbursable expense budget is also included as a separate phase and will be billed per SCJ's general
conditions of contract. Reimbursable expenses include mileage and reproductions costs. A $500 expense
budget is proposed.

ADDITIONAL DESIGN SERVICES
Additional services requested that are not identified in any scope of work, will be considered "extra
services" and will be charged on a time and materials basis in accordance with SCJ's current billing rates.

CONTRACT AGREEMENT TO ENGAGE THE SERVICES OF
ASPECT CONSULTING, LLC
AS A CONSULTANT AND ADVISOR

hereinafter referred to as "Aspect Consulting", for mutual consideration as hereinafter set
forth:
1.0 The description and location of the project on which the Client contracts Aspect
Consulting's services are:
The project site is the City of East Wenatchee Astor and Ashland Stormwater Improvement project
located at along the roadways of N Ashland Avenue and N Astor Court between 15t' Street NE and
17'h Street NE. The project involves designing a stormwater infiltration element along each of the
roadway alignments to capture and infiltrate stormwater into the site subsurface.
2.0 Aspect Consulting agrees to provide the following services:
• Observe and document two test pit explorations (total) at the locations of proposed
infiltration areas to characterize subsurface soil and groundwater conditions. We assume the
City of East Wenatchee will provide a backhoe/excavator and operator capable of
excavating up to 12 feet and will be responsible for any traffic control, backfill compaction,
pavement cutting or patching that is needed, and will assist in locating utilities prior to
excavation of test pits.
• Observe and document infiltration field testing in the two test pits completed at the
locations of proposed infiltration areas using the "in -situ small-scale pilot infiltration test
method" described in the 2013 Eastern Washington Low Impact Development Guidance
Manual. We assume the City of East Wenatchee will provide a water truck, hoses, and
operator that will be used to supply water for infiltration testing.

3.0 Client accepts that all services are provided in accordance with the attached Terms and
Conditions which are made a part of this contract agreement by this reference. This proposal and the
attached Terms and Conditions, together, constitute the agreement between Aspect Consulting and
Client.
4.0 We understand budgeting for this project will be tracked separately for work completed for
N Ashland Avenue and N Astor Court. We propose to complete our work on a time and materials not
to exceed total of $5,500 in accordance with the attached Schedule of Charges, with $2,750
designated to work for "Task 1 - N Ashland Avenue", and $2,750 designated to work for
"Task 2 - N Astor Court".
We will notify you and obtain your authorization if additional effort above and beyond the estimated
scope of this work is required. We will use a Contract Change Form to request your authorization for
any changes to the above description of Services. This cost proposal is valid for 90 days unless
extended in writing by Aspect Consulting.
Aspect Consulting's Services will be provided in accordance with the attached Terms and Conditions.
This proposal together with the attached Terms and Conditions and Schedule of Charges, constitute
the Agreement between Aspect Consulting (Aspect) and SO Alliance (Client). Your signature below
represents acceptance of this Agreement, and provides written authorization to proceed. Please return
one signed copy of this Agreement to Aspect, and retain a signed copy for your records.

Thank you for the opportunity to submit this proposal to provide survey services for the City of East
Wenatchee North Ashland Avenue and North Astor Court 1600 Block Storm Water Improvements in
Wenatchee, Washington. Our proposal is based upon the attached exhibit and the following scope of
services.
SCOPE OF SERVICES NORTH ASHLAND AVENUE $2,700.00
• Establish centerline and show right of way.
• Locate all surface features within the right of way.
• Locate all surface utilities from marks on the surface create by One -Call.
• Locate all water meters, valves and fire hydrants.
• Locate existing retaining walls.
• Locate existing edge of asphalt and driveways.
• Locate existing sanitary and storm structures with inverts.
• Locate existing landscaping limits.
• Locate existing fences.
• Contours shall be at a 2-foot interval.
• Identify property line from GIS mapping.
• Datum shall be NAD 83191 and NAVD 1988.
• Deliverables shall be in AutoCAD Civil 3D Release 2016.

Northwest GeoDimensions proposes to provide the preceding Scope of Services for above fixed fee.
We are prepared to begin work immediately upon your authorization.
DIRECT PROJECT EXPENSES
Items such as Transportation Impact Studies, Geologic Hazards Assessments, Stream Typing,
Application, Title Reports, and Civil Engineering etc. are in addition to and not included in the above
quoted fee and shall be paid directly by the owner.
Any surveying services which require duplicated efforts beyond our control, or are beyond the scope of
work outlined above, shall be considered as Additional Services and billed on a time and materials basis.
