Between
CENTRAL WASHINGTON UNIVERSITY
and
CITY OF EAST WENATCHEE
This agreement is entered into by and between Central Washington University ("CWU"), located
at 400 E. University Way, Ellensburg, WA 98926, and the City of East Wenatchee ("the City"),
271 9"' St. N.E., East Wenatchee, WA 98802. The purpose of this agreement is for CWU
professor Dr. Robert Hickey and one CWU student to provide the City with GIS and storm water
services as detailed below, consistent with CWU's instructional, scholarship, public service, and
research objectives, and consistent with its status as a non-profit, tax-exempt, educational
institution.
The parties hereby mutually agree to the following:
1. Scope of Work: Dr. Hickey and City personnel will supervise one student employee who
will work on the City's storm water GIS update. There will be three specific tasks, to be
completed in the below order as hours permit:
a. Field verify storm water facility locations, type, owner, and material type.
b. Update storm water geodatabase based on field data collected.
c. Assist Land & Water Resource Program Manager with routine storm water
inspections.
d. All maps and data will be submitted to the City of City of East Wenatchee. All
maps and source data files will be become property of the City of East
Wenatchee.
2. Period of Performance: CWU shall begin its performance under this agreement on June
16, 2017, and complete its performance on or before September 15, 2017, unless the
parties agree to extend the period of performance as provided herein.
3. Project Control: The contract administrator for CWU will be Dr. Robert Hickey,
Department of Geography, Central Washington University, 400 E. University Way,
Ellensburg, WA 98926, 509-963-2178, rhickeykcwu.edu.
The contract administrator for the City will be Tom Wachholder, Land & Water Resource
Program Manager, City of East Wenatchee, Public Works, 271 9ch St. N.E., East
Wenatchee, WA 98802, (509) 884-1829 ext. 111, TWachholdergeast-wenatchee.com.
4. Payment / Allowable Costs: The City will pay CWU a total amount not to exceed $6,854
as detailed in the table below, for work performed under this agreement.
Wages: 8.5 weeks, 40 hours per week: 340 Hours
340 hours at $15/hour $5,100
12% benefit rate $612
20% indirect rate $1,142
Total $6,854
CWU will submit periodic invoices to the City, to be paid within 30 days of issuance.
Payment will be made payable to Central Washington University. Payments will be
mailed to:

5. Records: The parties recognize that business records created, maintained, or used in the
performance of this Agreement may constitute public records subject to the public
disclosure and retention requirements under applicable state law. Each party will retain
its business records relating to this Agreement for the applicable retention period(s) and
will make such records available upon request for inspection and audit by the other party
or by authorized representatives of the Washington State Auditor.
6. Nondiscrimination and Equal Opportunity: The parties to this Agreement each agree to
comply with applicable federal and state laws prohibiting discrimination in education,
employment, or public accommodations based on age, sex, marital status, sexual
orientation, race, creed, color, national origin, genetic information, honorably discharged
veteran or military status, or the presence of any sensory, mental, or physical disability or
the use of a trained dog or service animal by a person with a disability.
7. Indemnification: Each party to this Agreement shall be responsible for its own acts or
omissions and for those of its directors or trustees, officers, employees, agents, and
volunteers. Neither party shall be responsible to the other party for the acts or omissions
of persons or entities not a party to this Agreement.
8. Amendments: No provision of this Agreement may be amended or added to except by an
agreement in writing signed by the parties hereto or their respective successors in interest.
This Agreement shall not be effective or binding on any party until fully executed by
both parties hereto.
9. Force Majeure: Neither party shall be liable to the other or deemed in breach of this
agreement if and to the extent such institution's performance under this agreement is
prevented by reason of circumstances beyond its control, such as strike or other labor
disputes, civil disorders, severe weather, natural disasters, government issued travel
warnings or alerts, war, or national emergencies.
10. Governing Law; Venue; Severability: This Agreement shall be governed by the laws of
the State of Washington. Venue for any dispute under this Agreement shall be in Kittitas
County, Washington. If any provision of this Agreement shall be held invalid, such
invalidity shall not affect the other provisions of this Agreement that can be given effect
without the invalid provision, if such remainder is consistent with applicable law and
with the fundamental purpose of this Agreement, and to this end the provisions of this
Agreement are declared to be severable.

11. Termination: This agreement may be terminated at any time by mutual consent or by
either party through 30 days' written notice to the other party. In the event the work
under this agreement is terminated early, the City shall remit payment to CWU for work
performed through the termination date. CWU will furnish all necessary reports of work
completed or in progress through the date of termination.

agreement on the dates shown below:
