This proposal provides a description of the operational functions of our solution. We are including all equipment as outlined during our design efforts as well as all Technical Services needed to provide you with a completely installed and updated solution. Technical Services include the following: Installation Labor, Project Management/Administration, Testing, Training and the Avidex Installation Warranty for the items we've installed. Lastly, this document provides terms and conditions along with other pertinent information related to the agreement of providing installation services. Washington I Suite 500 1 Spokane, WA 992011 509.455.6873 This proposal has been prepared to provide an audio system upgrade to the City of East Wenatchee's Council Chambers. This proposal includes: scope of work, system implementation, system costs, standard warranty, terms and conditions. .pExecution - PART 1 -GENERAL 1.1 GENERAL SUMMARY & SYSTEM DESCRIPTION A. Avidex will remove up to eight existing speakers and existing Dias microphones along with the supporting equipment in the rack. Avidex will then install the following equipment: thirteen ClockAudio microphones with shock mounts and desktop stands, two Shure wireless microphones, seven JBL speakers in the main council chambers and two JBL speakers in the lobby/rotunda area, a Digital Signal Processor and amplifier and a volume controller. All of this will connect to the existing Video Conferencing system as an incoming audio feed only. There will also be an audio feed out of the system to the existing FTR system. No additional work to the Polycom and FTR systems are planned beyond this scope. Avidex plans to use the existing speaker wire and Avidex will pull new microphone wire as needed for each of the microphones. If it's determined that new speaker wire is needed once onsite there will be additional labor and material costs to do this work. This audiovisual system will be in compliance with all standard codes and guidelines of Washington State. Certification and Licensing Avidex is a Licensed Low Voltage contractor and as an authorized provider for the items specified, Avidex will provide on -going support for the proposed solution by way of one year workmanship warranty. Assumptions 1. Room Availability: Rooms are to be made available for exclusive use on the day(s) of the scheduled installation. Unless specifically arranged in advance, room(s) will be available during Normal Business Hours in eight (8) contiguous hour segments. "Normal Business Hours" are defined as Monday through Friday, 8:00am to 5:00pm. 2. Electrical Outlets and Pathways: Prior to Avidex beginning on site work, the Owner will provide all electrical outlets floor boxes, conduits and core drills in the area(s) where audiovisual equipment is to be installed as specified by Avidex. All new electrical work is to run on one phase. All power runs are to be clean and properly grounded. All electrical work is to be installed in compliance with all applicable electrical codes. If power is provided for a projector, it shall be run on a separate circuit dedicated for the exclusive use of the projector. 3. Structural Vibrations: Jobsite building structures; including ceilings, walls and floors; used to support audiovisual equipment are assumed to be vibration free. 4. Furniture: If there is furniture that cannot be removed prior to the time of system installation, Owner will provide adequate protective covering. If the furniture cannot be properly moved or covered, Owner will agree, by signing appropriate waiver, to allow Avidex to provide covering during our work in the room. S. Parking: Owner will provide adequate parking for vehicle(s) in a location conducive to access to the vehicle(s) for retrieval of tools and supplies throughout the workday. If such parking is within a secured facility, Owner will validate the parking tickets for the vehicle(s). Parking fees will be added to invoices. 6. Ceiling Tiles: If installation occurs in any room in which suspended ceiling tiles are installed, Owner will provide a reasonable number of spare tiles of the same pattern and batch number as those of the tiles already installed in the room. 7. Merchandise Ownership/Storage: Owner accepts responsibility for all merchandise, sold and provided for this installation; delivered to the job site and signed for by a representative of the Owner. Owner will provide secure storage for such merchandise. Avidex will not be responsible for any loss or damage, except loss or damage caused by an Avidex employee during the act of installation which occurs after delivery and acceptance by the client. S. Existing Equipment/Wiring: a. Documentation: If this project entails installation and/or re -use of any existing equipment and/or wiring provided by the Owner, Owner shall, at Avidex request, provide any documentation which may be required to properly install and/or integrate that equipment into the new system. b. Good Working Order: Avidex is not responsible for the integrity and/or good working order of any existing hardware and/or wiring which is designated to be included in this new system. If, during the installation process, such hardware / wiring is found to be defective, it is understood that the completion date of the project may be affected, and a change order may be required to overcome the obstacle(s) created by such defects. 9. Pre/Post-Tensioned Ceilings / Floors: Owner shall identify the presence of any pre- or post - tensioned ceilings or floors within the area of installation. If Avidex is to be held responsible for the integrity of such pre- or post -tensioned ceilings or floors, they shall obtain, at Owner's expense, one or more x-rays of the area(s) in which mounting hardware is to be attached to structure of the building. Any expense incurred for x-rays shall be passed on to the Owner, in the form of a change order or a line item on the purchase contract. 10. Software Installation: Avidex will not load software of any kind on Owner's computer. 11. Restocking Fees: Any standard merchandise that has been ordered for the job, and is not used as a result of any customer changes to the design, or refused by the customer at the time of delivery will be subject to a minimum of 30% (of the sales price) restocking fees, plus any incurred freight charges. Any custom merchandise will be subject to a 100% (of the sales price) restocking fee, plus any incurred freight. 12. Delays/Postponement: Should Avidex be delayed in the progress and performance of the work due to material changes, labor disputes, fire, unusual delay in deliveries, construction delays, project postponement, unavoidable casualties or other causes beyond Avidex control, the agreed upon time for completion shall be extended by change order. These change orders may also include charges to cover additional project costs incurred by Avidex due to the delay. Once the project has been delayed or postponed Avidex may invoice the Owner weekly 1% of the sales price for storage of any equipment and/or material that has been ordered specifically for the completion of the project, not yet delivered to the site, and present in the Avidex warehouse. Should the delay or postponement exceed 30 days Avidex may invoice for the full sales price of any equipment and/or material that has been ordered specifically for the completion of the project in addition to the weekly 1% storage charge. 13. Right of Revision: Avidex reserves the right to revise this proposal based upon information obtained from subsequent site visits and/or other sources not available to us at the time that this proposal was prepared. 14. Freight: Freight fees are estimated for ground freight service. Expedited freight, as required by the client, will be prepaid and added to invoices. Work and Products Provided by Avidex 1. All equipment, wire and accessories required for a fully functional audiovisual system as specified above. 2. Non -union labor associated with engineering, installation, testing and training labor associated with turnkey audiovisual systems installation 3. Operation & Maintenance manuals for the new projectors to document the audiovisual system as a record of the system installation 4. Construction coordination and cooperation with other team members and organizations necessary for the installation of the system 5. One year Avidex New Systems workmanship warranty 6. User training on system operation 7. All necessary permits (non are planned for this work) 8. Software licensing — Where applicable, Avidex will provide the owner with full access to control systems and other software source code(s) that have been written specifically for this project. Any and all software program(s) or code(s) will be provided under a licensing agreement specifically limiting the modification, duplication and distribution of the software provided by Avidex to the specific use for which it was created. 9. This quotation is valid for 30 days. The scope and pricing may be modified by Avidex if this proposal is not accepted within 30 days from the date of issuance of this quotation 10. This quotation is based on an installation at the site address as indicated at the beginning of this proposal. Additional travel and other expenses may apply if the system as identified within this proposal is to be installed at an alternate work location Work and Products Provided By Others The owner or the owner's architect will provide the Avidex engineering department with all required architectural floor, reflected ceiling, building elevation, and section plans in an agreed upon AutoCAD format at no charge to Avidex, where applicable. (If any of these items are not available and needed, additional charges may apply if Avidex is requested to provide and/or develop these.) 1. All network connectivity, routing, switching and port configuration necessary to support audio-visual equipment, unless specifically addressed elsewhere in this document 2. Voice and data cabling, including analog phone lines, ISDN lines, DSL lines, network ports, etc. 3. Necessary sheet rock replacement and or repair 4. Necessary ceiling tile or T-bar modifications, replacement and/or repair 5. All millwork, moldings, trim, etc., or modifications to project millwork necessary to accommodate the installation of the audiovisual equipment unless otherwise noted in this proposal will be provided by others 6. Electrical outlets required for the projector and screen (Avidex will work with an electrician to identify the locations). 7. Rough -in, bracing, framing, or finish trim carpentry for installation 8. Painting, patching or finishing of architectural surfaces 9. Core drilling and/or concrete saw cutting 10. HVAC, plumbing, sprinkler head and lighting fixture relocation 11. Ceiling, roof, firewall, and/or floor penetration(s), 12. Removal or patching, of fire stopping 13. Structural welding, cutting, or reinforcement of structural steel members required for support of assemblies 14. Owner furnished equipment or equipment supplied by others to be integrated into the system(s), as described above, is assumed to be current industry acceptable equipment and in good working order. Equipment that is faulty upon installation or evidences an adverse effect on the system(s) may result in additional project charges 15. DMX, DSS or other outside signals. TV subscription services (cable and/or satellite), sign-up services, provision of TV signal distribution or set top boxes 16. Provision and configuration of computers 17. All applicable taxes or bonds related to the project 18. Configure and insure all ISDN and Network connections are in good working order and properly configured. Schedule We anticipate completion of the project on the following schedule per space: • Receipt of Notice to Proceed Schedule Start • Equipment Procurement 2-3 weeks • System Installation 4-5 days • Transition to Support & Training 1-2 day We will work with you to finalize a schedule that meets your needs. These costs include the provision of misc. equipment, hardware, cable, connectors, and all systems engineering, project coordination, field installation labor and other expenses to provide a complete and operating system as described above. (This proposal is based on the use of non -union labor for all activities.) Proposal $25,448.00 (Includes: All related equipment, Installation, Project Management, Documentation, 1-Year Warranty, Engineering, Training, Testing and travel/per diem charges) Pre-tax & pre -shipping Project Total $25,448.00 Payment Terms Payment terms are as follows: A 30% deposit will be required at the start of the project and then Avidex will submit a final invoice at completion of the project. This proposal is valid for 30 days Avidex warrants the integrated system(s) furnished are free of defects in workmanship for a period of three years from the date of acceptance or date of first beneficial use whichever occurs first. Remedy for such defects during the warranty period shall be provided at no additional expense to Ciena and shall be handled based on our availability of resources. This warranty includes trouble shooting, uninstalling and installing of any equipment within the Avidex AV system except for the cost to service and/or repair Owner Furnished Equipment (OFE) or out of manufacturer warranty equipment. Avidex will broker and process the repair of that equipment at the standard Avidex fee rate. Avidex Services Provided Under This Warranty • Avidex will dispatch a technician during normal business hours (8AM to 5PM Pacific Standard Time, Monday - Friday) to troubleshoot the AV system problem based on our available resources • Avidex will identify and uninstall the defective equipment and return such equipment to the manufacturer for warranty processing • Avidex will reinstall the repaired or replaced equipment and test the system • Avidex will pay the shipping costs associated with the repair of the equipment, except for Owner Furnished Equipment and/or out of manufacturer warranty equipment Avidex Services Not Provided Under This Warranty • Extend or provide additional repair services for manufacturer warranty coverage • Repair of Owner Furnished Equipment or customer acts of negligence or misuse • Guaranteed on -site response time • Before or after hours on -site response time Authorization to Proceed j By my signature, I indicate that I have read and accepted, on behalf of my organization, the entirety of the above Scope of Work, and all of the Assumptions, Disclaimers, and Exclusions shown in this proposal, as they relate to the project known by the Avidex project number 140191, subject to the conditions which I note below my signature. The development of a Design Documentation for the supply and installation of audio video goods and services. 2. Documentation: a. Audio Visual Infrastructure b. Equipment List c. Audio Video Systems Block Diagrams d. System Functional Narrative 3. Incorporated into this request include the following spaces: a. Council Chambers/Court Room 4. There is one potential additional area of support that is incorporated into this request. a. The development of existing Video Conferencing System for video arraignments 5. There are two areas of support that are not included within this proposal: a. Bidders and Bid Evaluation (it is intended that this will not be a project for bid — Avidex will be hired to do the installation) b. The provision of support services for the duration of the audio video construction (Contract Administration) including commissioning activities(Again, it is intended that this will not be a project for bid — Avidex will be hired to do the installation & commissioning) 2 Scope of Services The objective of this proposal is to provide essential audio video design services to The City of East Wenatchee. The Avidex design process follows the common construction design phases. The initial design (Phase I - VI) work for the audio video systems has been completed with the information about the office space conveyed to us during our meeting with The City of East Wenatchee. The activities for the continuation of the efforts to upgrade the audio video equipment and systems for the spaces under development are defined herein. There are several design goals that are important to the successful deployment of the audio video systems for The City of East Wenatchee. Any new or updated system must be: a. Technically capable of providing for the needs of the intended uses b. Reliable for the users so as to not require excessive support c. Operationally simple and easy to use for all who interact with it. d. Cost-effective both in deployment and long-term operation This proposal includes the work identified as Phases I - III. Phase IV & V is not included in this proposal. Audio Video Systems Design Services Plan Page 14 auidex::• 3 Phase Overview 3.1 Phase I - Needs Analysis This activity is based on gathering information. To establish the system requirements, communication with the user groups provides information about who will use the space and what type of activities will occur during the use. 3.2 Phase II - Schematic Design The evaluation of the information gathered during phase I, is used to establish a working model for the audio video systems. The model is then developed into a plan and a budget. The development is presented to the client group to confirm that the gathered information is accurate. 3.3 Phase -III - Design Development The objective of the Design Development was to work with the design team on a consultative level and establish clear-cut requirements for audio video systems for the spaces under development. The Design development includes the engineering and drafting services required to provide a complete infrastructure design package. 3.4 Phase IV — Project Documentation (Not Included) The component of this phase is the construction document development. Request for Pmposal (RFP) Document Develafiznent - The objectives of the documentation phase are to develop a technical criterion and scope of work requirements matrix, complete with master equipment list and finalized design drawing documentation sufficient to solicit competitive pricing from multiple audio video contractors. The RFP Documentation will live as a separate document in a PDF format The deliverables for the Phase VI design services will be a drawing set specific to audio video Infrastructure. This phase will consist of schematic block diagram/line drawings, major component equipment list and a design narrative/scope that will then be used for the RFP. 3.5 Phase V (Not Included) — Bid Evaluation, Contract Management & Commissioning Services Phase V of this effort would be support for Bid Evaluation, Contract Management and Cominissioning Services. These are not included within this scope and are specifically excluded from this quoted effort. These services typically include: Bid/Bidder Evaluation - During the Bid Specification phase, Avidex will assist in securing competitive bids from audiovisual contractors experienced in the installation of audiovisual systems at the level of this project's scope of work. Bid Specification Services will include assistance in the review of all qualified bidders' documentation including qualifications, submittals, requests for information, samples, performance standards, etc. Audio Video Systems Design Services Plan Page 1 5 au�dex��e�� auiie vtiee p�abo�6Ces�pe exMknce • Bid/Bidder Evaluation —[Not included for this project] Contract Administration is a combination of services to support the construction of the systems. It can cover a variety of support activities. The following are those that Avidex suggests as appropriate for the audio video systems installation. • Project Management — [Not included for this project] • Systems Commissioning — [Not included for this project] • Final Documentation — [Not included for this project] 4 Project Assumptions The following work shall be provided and certified by others, with input from Avidex: • Architectural drawings and details • Electrical Engineering • Mechanical Engineering • Structural Engineering The City of East Wenatchee will provide Avidex all required full sized prints and architectural backgrounds as AutoCAD drawing files in order to facilitate the design process. 5 Project Coordination (as needed/if applicable) • Coordinate with the architect, general contractor and any specialty contractors related to the audio video system design. • Coordinate audio video system interfaces as they relate to any lighting, electrical, or mechanical systems. 6 Project Deliverables The following comprise the deliverables for this project to be used specifically during the Avidex build portion: • Audio video facilities plans including: o Floor plans o Reflected Ceiling plans o Wall elevations (where required to identify mounting of devices) • Audio video electrical plans including: o Floor plans o Reflected Ceiling plans o Wall elevations (where required to identify mounting of devices) • Audio video functional diagrams for each system. • Audio video systeins details necessary to describe the intent of the design • Major equipment list 7 Schedule We will work with you to develop a schedule that meets your needs and timeline Audio Video Systems Design Services Plan Page 16 auidex*:::• 8 Pricing The development of costs for the design exercise for The City of East Wenatchee is predicated on our understanding of the scope of the standards as expressed to us and described earlier in this document. The standards development cost include the RFP Specification Document and Drawings describing the audio video systems scheduled for the spaces under development 8.1 Not to Exceed Billing (NTE) Avidex is offering to provide design services on a "not to exceed" cost basis for this project. Avidex will work with The City of East Wenatchee to scale the efforts of the design to meet the requirements of the project. If the City of East Wenatchee chooses to not complete the installation the City of East Wenatchee agrees to pay Avidex the $3,500 for their Design Services. 9 Disclaimer Right of Revision — Avidex reserves the right to revise this proposal/scope of work based upon information obtained from subsequent site surveys and other sources not available to us at the time that the original proposal was prepared. Audio Video Systems Design Services Plan Page 17 audex° 10 Terms and Conditions In order to engage Avidex resources, we require a written purchase order or letter of intent referencing this proposal (#140191), along with an authorized signature agreeing to the terms stated below: Payment Terms: • Progressive monthly invoices will be submitted until completion of project. • All payments are due; net 30 days from date of invoice. • Any applicable state sales taxes will be added to invoices. • All pricing is valid for 90 days. Any additional changes or modifications not included in the original professional services scope of work would be considered additional work and require either a separate quote or be done on a time and materials basis at our standard rates as found within the rates schedule (see Attachment A). All fees quoted for this project include one revision per drawing. Client requested revisions above this will be invoiced as incurred. Please note that Avidex custom developed AutoCAD files and libraries are the sole property of Avidex. Electronic Drawing Files - Documentation provided for the project is phased and will include AV architectural drawings, conduit riser and junction box schedules, standard details and electrical requirements. Drawing submittals can be provided on AutoCAD files on disk or pre -plotted on D size paper.
