Necessary conlacls and meetings with agencies, groups or individuals shal be coordinated through the AGENCY. The CONSULTANT sha0 attend coordination, progress and presentation meetings with the AGENCY or such Federal, Community, Slate, City or County officials, groups or individuals as may be requested by the AGENCY. The AGENCY will provide the CONSULT ANT sufficient notice prior to meetings requiring CONSULTANT participation. The minimum number of hours or days notice required shall be agreed to between the AGENCY and the CONSULT ANT and shown in Exhibit B attached hereto and made part of this AGREEMENT. The CONSULT ANT shall prepare a monthly progress report. in a form approved by the AGENCY, that will ou11ine in written and graphical form the various phases and the order of pelfonnance of !he wOlk in sufficient detail so that the progress of the work can easly be evaluated. Goals for Disadvantaged Business Enterprises (DBE), Millllrity Business Enterprises (MBE), and Womell-<JWlll!d Business Enterprises (WBE) if required shall be shown In the heading of lhis Agreement The original copies of aH repons, PS&E, and other data furnished to the CONSULTANT by the AGENCY shall be returned. Al designs, drawings, specifications, documents, and olher wOlk products prepared by the CONSULT ANT prior to completion or termination of this AGREEMENT are ins1rumenls of service for the PROJECT and ate property of the AGENCY. Reuse by the AGENCY or by others acting through or on behalf of lhe AGENCY of any such ins1rumenls of service, not occurring as a part of this PROJECT, shal be without liability of legal exposure to the CONSULTANT. IV TIME FOR BEGINNING AND COMPLETION The CONSULT ANT shaO not begin any work under the terms of this AGREEMENT until authorized in writing by the AGENCY. All work under this AGREEMENT shall be completed by the date shown in the heading of this AGREEMENT under completion dale. The established completion time shal not be extended because of any delays attributable to the CONSULTANT, but may be extended by the AGENCY, in the event of a delay attributable to the AGENCY, or because of unavoidable delays caused by an act of GOD or governmental actions or other conditions beyond the control of the CONSULTANT. A prior supplemental agreement issued by the AGENCY is required to extend the estabr1Shed completion time. V PAYMENT The CONSULTANT shall be paid by the AGENCY for completed work and services rendered under this AGREEMENT as provided in Exhibit C attached hereto, and by this reference made part of this AGREEMENT. Such payment shall be ful compensation for w0lk perlormed or services rendered and for al labor, materials, supp6es, equipment and incidentals necessary to complete the work specified in Section II, Scope of Work. VI SUBCONTRACTING The AGENCY permits subcontracts for those Items of w0lk as shown in Exhibit G to this Agreement Compensation for this subconsultant w0lk shaN be based on lhe cost factors shown on Exhibit G, attached hereto and by this reference made a part ol this AGREEMENT. TIB Form 190.016Revised Oct 2001 (:Ii,.� Transportation Improvement Board (TIB) � Consultant Agreement The wOlk of the subconsultant shall not exceed its maximum amount payable unless a prior written approval has been issued by the AGENCY. All reimbursable direct labor, overhead, direct noMalary costs and fixed fee costs for the subconsultant shaH be substantiated in the same manner as outlined in Section V. AR subconlracis exceeding $10,000 in cost shall contain al applicable plOYisions of this AGREEMENT. The CONSULTANT shal not subcontract for the performance of any work under this AGREEMENT without prior writlen permission of the AGENCY. No permission for subcontracting shall create, between the AGENCY and subcontractor, any contrad or any other relationship. VII EMPLOYMENT The CONSULTANT wananls that he/she has not employed or retained any company or person, other lhan a bona fide employee working solely for the CONSULTANT, to solicit or secure this contract. and that It has not paid or agreed to pay any company or person, other than a bona fide emplo)'ee working solely for the CONSULT ANT, any fee, commission, percentage, brokeralJe fee, gift, or any other consideration, contingent upon or resulting from the award or making of this conlracl For breach or violation of this warrant the AGENCY shall have the right to annul this AGREEMENT without liabllity, or in its discretion, to deduct from the AGREEMENT price or consideration or othelWise recover the ful amount of such fee, commission, pen:entage, brokerage lee, gift. or contingent fee. Any and all employees of the CONSULTANT or other persons while engalJed in the performance of any work or services required of the CONSULT ANT under this AGREEMENT, shaD be considered emplo)iees of the CONSULTANT only and not of the AGENCY. and any and aD claims that may or miiJht arise under any Worker's Compensation Act on behalf of said employees or other persons while so engalJed, and any and all claims made by a third party as a consequence of any act or omission on the part of the CONSULT ANT s emplo)'e!S or other persons while so engaged on any of the work or services provided to be rendered herein, shal be the sole obliiJation and responsibility of the CONSULT ANT. The CONSULTANT shal not engage, on a full or part time basis, or other basis, during the period of the contract, any professional or technical personnel who are, or have been, at any time during the period of the contract, in the employ of the STAlE, or the AGENCY, except regularly retired employees, without written consent of the pubf'ic employer ol such person. VIII NONDISCRIMINATION The CONSULT ANT agrees not to discriminate against any dient, employee or applicant for employment or for services because ol race, creed, color, national origin, marital status, sex, age or handicap except for a bona fide occupational qua&fication with regard to, but not limited to the folowing: employment upgrading, demotion or transfer, recruitment or any recnitment advertising, layoffs or terminations, rates of pay or other forms of compensation, selection for training, rendition of seNices. The CONSULTANT understands and agrees that if It lliolates this provision, this AGREEMENT may be terminated by the AGENCY and further that lhe CONSULTANT shal be barred from performing any services lor the AGENCY now or in the future unless a showing is made satisfactory to lhe AGENCY !hat discriminatory practices have terminated and that recurrence of such action is unlikely. During the performance of this AGREEMENT, the CONSULTANT, for i1sell, its assiiJnees, and successors in interest agrees as folows: A.COMPLIANCE WITH REGULATIONS: The CONSULTANT shall comply with the Regl.fations relative to nondiscrimination in the same manner as in Pege 2 0127 Federally-assisted programs of the Department of Transp0rtation, Tdle 49, Code of Federal Regulations, Part 21, as they may be amended from time to tine, (hen!inafter relened k> as the Regulations), which are herein incorporated by reference and made a part of this AGREEMENT, B.NONDISCRIMINATION: The CONSULTANT, wMh regard to the w0lkperformed by tt during the AGREEMENT, shall not disaiminale on thegrounds of race, creed, color, sex, age, mari1al status, national origin orhancficap except for a bona fide cccupalianal qualification in the selectionand retention of subconsullants, including procurement of materials andleases of equipment The CONSULT ANT shall not participate either directlyor ndiedl-f in the cisainklation prohibiled by Section 21.5 of theRegulations, induding employment practices when the contract <XM!IS aprogram set forth in Appendix II of the Regulations. IX TERMINATION OF AGREEMENT The IY,lht is reserved by the AGENCY k> tenninale '1is AGREEMENT at any time upon ten days written notice to the CONSUL TANT. In Ile event this AGREEt.ENT is terminated by the AGENCY other flan for fault on the part of the CONSULTANT,. a final payment shal be made to the CONSULTANT as shown in Exhibit F for the type of AGREEMENT used. No payment shal be made for any work completed after ten days folcwing receipt by Ile CONSULTANT of the Notice of Termination. If the accum1ated payment made to the CONSULTANT prior to Nolice ol Termination exceeds the k>lal amount that would be due computed as set forth herein allow, then no final payment shaR be due and the CONSULT ANT shall immediately reimburse the AGENCY for any excess paid. If i is determined for any reason lhat the CONSULT ANT was not in defd or that the CONSULTANTs failure to perform is without � or its employees !auk or negligence, the terminaion shall be deemed to be a termination for the convenience of the AGENCY in accordance wMh the provision of this AGREEMENT. In the event of the dealh of any of the parties isled in the pr evious paragraph, should the surviving members of the CONSUL TANT. with the AGENCYs concurrence, desire to terminate this AGREEMENT, payment shall be made as set faith in the second paragraph of this section. In the event this AGREEMENT is terminated prior to completion, the original � o1 al rel)Ol1s and other data, PS&E malerials ftmshed lo the CONSULTANT by the AGENCY and documents prepared by the CONSULTANT prior to said termination, shall become and remain the property of the AGENCY and may be used by ii without restriction. Such unrestricted use, not occurring as a part o1 this PROJECT, shal be without labilily or legal exposure k> the CONSUL TANT. Payment for atr'f part o1 the work by the AGENCY shal not constitle a waiver by the AGENCY of any remedies of any type tt may have against the CONSULT ANT Page 3 of2 7 for any breach of this AGREEMENT by the CONSULTANT, or for failure of the CONSULTANT to perform work required of it by the AGENCY. Forbearance of any rights under the AGREEMENT win not constitute waiver of entitlement to exercise those rights with respect to any future act or omission by the CONSULTANT. X CHANGES OF WORK The CONSULT ANT shall make such changes and revisions in the complete work of this AGREEMENT as necessary to conect errors appeamg therein, when required to do so by the AGENCY, without additional compensation thereof. Should the AGENCY find it desirable for ils own purposes to have previously satisfactorily completed work or parts thereof changed or revised, the CONSULTANT shal make such revisions as diracted by the AGENCY. This work shall be considered as Extra Work and will be paid for as herein prowled under Section XIV. XI DISPUTES Any dispute concerning questions of fact in connection with the work not disposed of by AGREEMENT between the CONSULTANT and the AGENCY shall be referred for determination to the Director of Public Works or AGENCY Engineer, whose decision in the matter shall be final and binding on the parties of this AGREEMENT, provided however, that if an action is brought challenging the Director of PubflC Works or AGENCY Enginee(s decision, that decision shaD be subject to the scope of judicial review provided under Washington Case Law. XII VENUE, APPLICABLE LAW AND PERSONAL JURISDICTION In the event that either party deems it necessary to institute legal action or proceedings to enforce any right or obligation under this AGREEMENT, the parties hereto agree that any such action shall be initiated in the Superior Court of the State of Washington, situated in the county the AGENCY is located in. The parties hereto agree that al questions shaD be resolved by application of Washington law and that the parties to such action shall have the right of appeal from such decisions of the Superior court in accordance with the laws of the State of Washington. The CONSULT ANT hereby consents to the personal jurisdiction of the Superior Court of the Slate of Washington, situated in the county the AGENCY is located in. XIII LEGAL RELATIONS AND INSURANCE The CONSULTANT shall comply with all Federal, State, and local laws and ordinances applicable to the work to be done under this AGREEMENT. This AGREEMENT shall be interpreted and construed in accord with the laws of Washington. The CONSULTANT shall indemnify and hold the AGENCY and the STATE of Washington, and their officers and employees harmless from and shaD process and defend at its own expense al claims, demands, or suits at law or equity arising in whole or in part from the CONSULTANTS negligence or breach of any of its obligations under this AGREEMENT; provided that nothing herein shall require a CONSULTANT to indemnify the AGENCY and the STATE against and hold harmless the AGENCY and the STATE from claims, demands or suits based solely upon the conduct of the AGENCY and the STA TE, their agents, officers and employees and piovided further that ii the claims or suits are caused by or result from the concurrent negligence of (a) the CONSULTANTs agents or employees and (b) the AGENCY and the STATE, their agents, officers and employees, this indemnity provision with respect to (1) claims or suils based upon such negligence, (2) the costs to the AGENCY and the STA TE of defending such claims and suits, etc. shall be valid and enforceable only to the extent of the CONSULTANTs negligence or the negligence of the CONSULTANTs agents or employees. TIB Form 190--016 Revised Oct 2001 �, Transportation Impr ovement Board (TIB) '�1 Consultant Agreement The CONSULTANTs relation to the AGENCY shal be at all times as an independent contractor. The CONSULT ANT specificaly assumes potential liabifrty for actions brought by the CONSULTANTS own employees against the AGENCY and, solely for the purpose of this indemnification and defense, the CONSULTANT specifically waives any immunity under the state industrial insurance law, rdfe 51 RCW. The CONSULTANT recognizes that this waiver was specificaly entered into pursuant to the provisions of RCW 4.24.115 and was the subject of mu1ual negotiation. Unless otherwise specified in the AGREEMENT, the AGENCY shall be responsible for administration of construction contracts, ii art-/, on the project. Subject to the processing of an acceptable, supplemental agreemen� Ille CONSULTANT shall provide on-call assistance to the AGENCY during contract administration. By providing such assistance, the CONSULTANT shall assume no responsibility for. proper construction techniques, job site safety, or any construction contractofs failure to perform Its work in accordance with the contract documents. The CONSULTANT shall obtain and keep In force durill!I the terms of the AGREEMENT, or as otherwise required, the following insurance with companies or through sources approved by the State Insurance Commissioner pursuant to RCW48. Insurance Coverage A.Worke(s compensation and employer's liability insurance as required by theSTATE. B.General commercial liability insurance in an amount not less than a single limltof one miltion and 00/100 Dollars ($1,000,000.00) for bodily injury, including deathand property damage per occurrence. Excepting the Worker's Compensation insurance and any professional liability insurance secured by the CONSULTANT, the AGENCY will be named on all certificates of insurance as an additional insured. The CONSULT ANT shall furnish the AGENCY with verification of insurance and endorsements required by this AGREEMENT. The AGENCY resl!IVeS the right to require complete, certified copies of all required insurance policies at any time. All insurance shall be obtained from an insurance company authorized to do business in the State of Washington. The CONSULTANT shaN submit a verification of insurance as outlined above within 14 days of the execution of this AGREEMENT to the AGENCY. No canceUation of the foregoing policies shall be effective without thirty (30) days prior notice to the AGENCY. The CONSULTANTs professional �ability to the AGENCY shaB be limited to the amount payable under this AGREEMENT or one million dollars, whichever is the greater unless modified by Exhibit H. In no case shall the CONSULTANTs professional liability to third parties be limited in any way. The AGENCY will pay no progress payments under Section V until the CONSULTANT has July complied with this section. This remedy is not exclusive; and the AGENCY and the STATE may take such other action as is available to them under other provisions of this AGREEMENT, or otherwise in law. Project No. 1 proposes to evaluate the effectiveness of, and upgrade the existing signalized crosswalk at Grant Road and Georgia Avenue to a Rectangular Rapid Flash Beacon (RRFB) system. Project No. 2 proposes to install a new signalized RRFB pedestrian crossing on Grant Road at June Avenue. In addition, Project No. 2 will include an engineering study to evaluate the crossing location prior to design. Project No. 2 will improve pedestrian access along the Grant Road corridor and create more pedestrian access to Grant Elementary and Tedford Park. Project No. 3 proposes to install approximately 500' of curb, gutter, sidewalk and associated storm drainage on the north side of 3rd Street NE near the irrigation canal to Georgia Avenue. This project includes constructing sidewalk across an irrigation canal that spans approximately 20'. The Consultant's services shall be limited to those expressly set forth herein. lf the service is not specifically identified herein, it is expressly excluded. The Consultant shall have no other obligations, duties or responsibilities associated with the project except as expressly provided in this Agreement. General Assumptions: •This scope of work assumes a six•month timeline that includes design through project advertisement for construction •The Consultant budget may be transferred between discipline tasks at the discretion of the Consultant Project Manager, provided the total contracted amount is not exceeded. Services provided by the Consultant consist of: GENERAL SCOPE OF SERVICES Task 1 -Project Management and Coordination Task 2 -Survey and Basemapping (48 Degrees North) Task 3-Bridge Structural Review and Recommendations (Chudgar Engineering Company) Task 4-Community Outreach Task 5-Utility Coordination Task 6-Traffic Analysis Task 7 -Permitting Task 8-30% Submittal Task 9-75% PS&E 11B Fonn 190.016Revised Oct 2001 Page8 of27 /�\ Transportation Improvement Board {TIB) 1@1 Consultant Agreement Task 10 -Final PS&E Task 11 -Bidding Assistance This Scope of Services is defined in the tasks below: SCOPE OF SERVICES DEFINED Task 1-Project Management and Coordination As the first order of work, the Consultant will schedule a kickoff meeting to discuss: •Project goals and vision •Project budget •Project schedule and milestone dates •Project organization with key contacts, project stakeholders, and team responsibilities •Communication plan As part of the project, the Consultant will prepare monthly progress reports that describe the work items and percentage of project completion. The Consultant will submit these monthly progress reports to the City's Project Manager with the monthly invoices. The Consultant Project Manager will notify the City's Project Manager, in writing (memo format), of any out of scope and/or budgetary issues that are inconsistent with this Scope of Work. Work Elements: •Conduct project kickoff meeting. •Attend project review meetings. •Manage su bconsultant activities. •Prepare monthly progress reports/invoices. Assumptions: •This contract duration is estimated to be no longer than 6 months. •Project kickoff meeting will be held at Perteet's Wenatchee office and attended by up to two Perteet staff members. •No formal project schedules will be prepared. •Project meetings will be held via phone bi-weekly (12 meetings) between the Consultant and City Project Managers. Emails stating key takeaways will be provided after phone call meetings. •Perteet will coordinate with subconsultants via e-mails, phone calls, and meetings while subconsultants are actively working on the project. •Invoices will show design costs broken out into two separate amounts -one for Projects 1 & 2 (combined) and one for Project 3. Survey limits for Project 3 are ROW cente�ine of 3rd Street to 20' north of edge of pavement for 500-feet between Georgia Avenue and the west side of the canal crossing. Survey Control Horizontal and vertical survey control will be based on a project level control network. Control will not be established to tie to either to the Washington State Plane (North Zone) NAD 83/91 horizontal or NAVO 88 vertical datums. Topographic Survey A topographic survey sufficient for the development of 1-foot contours will be conducted across the Survey Limits described above. The survey will identify features within the intersections including but not limited to: pavement types, above-ground utility locations, sanitary sewer manhole and invert elevations, catch basin and storm drainage manhole rim and invert elevations, existing channelization, parking stalls, curb & gutter, ADA ramps, street crown, driveways, overhead utility lines, building faces, landscape islands, crosswalks, etc. Utility locate marks will provided through the One-Call to provide deline ation of sub-surface utility lines and the resulting surface paint marks surveyed and depicted on the topographic map. Topographic Survey Map A topographic survey map will be prepared in AutoCAD Civil 3D format depicting all features located during the field survey and 1-foot contours. Assumptions: •Right of entry will not be required as all surveying will take place within public right-of-way. •Survey crews are not certified to perform confined space entry, thus all manholes and vaults and their associated inverts shall be measured from the surface. •Parcel lines will not be researched or computed as part of this survey. Parcel lines and right-of-way will be provided by the City's GIS system. Property comers will not be installed nor a record of survey prepared as part of this survey. •The City will provide available as-built drawings for utilities including sewer, water, gas, storm drain, signals and Right-of-way. •This estimate is pre dicated upon the availability of roadway monumentation (survey control) within sight of each intersection to be surveyed. If survey traverses are required to bring control to any or all sites it will be billed at separate standard rates for the subcontractor. If structurally adequate, they will provide direction as to how to attach the sidewalk to the bridge, and for attaching pedestrian railing. Assumptions: •The City will provide the bridge structure drawings to the Consultant and no field visit is required. •Condition of existing structure is assumed to be good. •If bridge is not structurally adequate to support sidewalk and railing, Consultant will suggest alternate options for the pedestrian crossing. Design of additional bridge structures is not included in this scope. Task 4-Community Outreach Work Elements: The Consultant Project Manager will prepare for and attend one City Council workshop for the purpose of briefing the Council about the project and answering questions. Assumptions: •The Consultant Project Manager will attend one City Council workshop during the design phase. •The Consultant will prepare a brief project memo (1-page) for distribution to Council prior to attending themeeting. No graphics or exhibits will be specially prepared for the meeting. Task 6-Traffic Analysis-Project 2 Only Work Elements: The Consultant will prepare a draft and final traffic memorandum documenting traffic data collection, analysis, and recommended location and treatment for an upgraded pedestrian crossing in the vicinity of the intersection of Grant Road and South June Avenue. The memorandum will utilize National Cooperative Highway Research Program (NCHRP) design guidance to confirm the anticipated treatment of installation of an RRFB signal and provide a recommendation for location. The memorandum will also document the existing conditions, including traffic operations for motorized vehicles and pedestrians, pedestrian generators, and including bus stops. The memorandum will review motor-vehicle pedestrian crash history to identify any crash hot spots along the corridor. If study of the design guidance and data recommends a different safety treatment, such as a High-intensity Activated crossWalK (HAWK) beacon, the Consultant will recommend and discuss with the Client. Assumptions: •The Consultant will gather the following data: o Pedestrian counts in the vicinity of the study corridor. o Existing speed and volume data along Grant Road. The City will provide available documentation. •The anticipated crossing treatment is an RRFB system. Design of a larger system, such as a HAWK beacon, is not provided for in the scope of this document. Such payment shall be full compensation for work perfonned or services rendered and for all labor, materials, supplies, equipment and incidentals necessary lo complete the work. 1.Hourly Rates The CONSUL TANT shall be paid by the AGENCY for \YOik done, based upon the negotiated hourly rates shown in Exhibits D and E attached hereto and by this reference made part of this AGREEMENT. The rates listed shall be applicable for lhe first 12-monlh period and shall be subject to negotiation for the following 12-month period upon request of the CONSULTANT or the AGENCY. The rates are inclusive of direct salaries, payroll additives, overhead, and fee. In the event renegotiation of the hourly rates is conducted, the AGENCY reserves the right to audit for any change in the overhead rate airrenHy in use by the CONSULTANT and modify the hourly rates to be paid to the CONSULTANT subsequent lo the renegotiation accordingly.
