He also noted changes to the 2014 Annual Financial Budget which include changes to the salary schedule based on the Cost of Living (COLA) and an increase to the budget amount for a Federal Audit. MAYORS REPORT Mayor Lacy invited East Wenatchee employees and Councilmembers to attend the appreciation luncheon tomorrow at 12:00 p.m., he thanked everyone involved for all their work putting the luncheon together. • December 24, 2013 —City Council Meeting Mayor Lacy said that if all City business is taken care of this evening he would recommend not holding the December 24, 2013, Council meeting. • Councilmember Representative Assignments Mayor Lacy said that the list of Council assignments included in the packet is for Councilmembers to think about what organizations they would like to represent in 2014. He also noted that if a Councilmember wishes to serve on the Public Facilities District Board, he would be happy to step down and let someone else serve in that position. He added that the new assignments will be made after the first of the year. • Mayor Lacy wanted visibility made about a letter he sent to Washington State Department of Transportation (WSDOT) regarding the actual amount of money to be paid and interest to be paid for 'CITY OF EAST WENATCHEE COUNCIL MINUTES DECEMBER 10, 2013 • Possession and Use of property known as the SR 28, East End of George Sellar Bridge Interchange. He added when we receive a response to that letter he will bring it forward for Council consideration. Mayor Lacy stated that the Exit Interview with the State Auditor's has been held and reported that there were no findings against the City. CONSENT CALENDAR Items listed below were distributed to Councilmember's in advance for study and were enacted in one motion. Council Action: A motion was made by Councilmember Johnson, second by Councilmember Detering, to approve the Consent Calendar as presented. The motion carried, 7-0. 1. Consideration of Minutes — Regular Session, November 26, 2013 2. Consideration of Payables i. 2013 Payables — As of this date, December 10, 2013, Council does approve check numbers 39909 and 39948 through 39993 in the total amount of $85,637.65. Checks 39704 and 39941 were voided. ACTION ITEM(S) 13-12-04 Professional Services Agreement for Municipal Court Judge. Presented by: Steven C. Lacy, Mayor • Council Action: A motion was made by Councilmember Detering, second by Councilmember Raab, to approve the Professional Services Agreement for Municipal Court Judge. The motion carried, 7-0. • 13-12-05 Professional Services Agreement for Events Coordinator. Presented by: Steven C. Lacy, Mayor Council Action: A motion was made by Councilmember Barnhart, second by Councilmember Buckner, to approve the Professional Services Agreement for Events Coordinator. Lacy, Mayor Council Action: A motion was made by Councilmember Johnson, second by Councilmember Detering, to approve the Professional Services Agreement for Assistant Events Coordinator. The motion carried, 7-0. 13-12-01 Supplemental Agreement with Pace Engineers for the I Vh Street Sidewalk Project. Presented by: Greg Pezoldt, City Engineer 2 'CITY OF EAST WENATCHEE COUNCIL MINUTES DECEMBER 10, 2013 • Council Action: A motion was made by Councilmember Detering, second by Councilmember Johnson, to approve the Supplemental Agreement with Pace Engineers for the I I`h Street Sidewalk Project. The motion carried, 7-0. RESOLUTION 13-12-02 A Resolution of the City of East Wenatchee, Washington, establishing and supporting a Policy and Procedure for providing exercise equipment for use by City employees within City facilities. Presented by: Teresa Allen, Executive Assistant/Wellness Coordinator Council Action: A motion was made by Councilmember Detering, second by Councilmember Buckner, to adopt the Resolution establishing and supporting a Policy and Procedure for providing exercise equipment for use by City employees within City facilities. The motion carried, 7-0. RESOLUTION NO. 2013-21 A Resolution of the City of East Wenatchee, Washington, establishing and supporting a Policy and Procedure for providing exercise equipment for use by City employees within City facilities. ORDINANCES) • 13-12-03 First reading of an Ordinance adopting the final budget of the Greater East Wenatchee Storm Water Utility in the amount of $4,151,784 for the fiscal year commencing on January 1, 2014. Presented by: Brandon Mauseth, Associate Engineer Mayor Lacy elevated the Ordinance to a second reading without objection. Council Action: A motion was made by Councilmember Raab, second by Councilmember McCourt, to adopt the final budget of the Greater East Wenatchee Storm Water Utility in the amount of $4,151,784 for the fiscal year commencing on January 1, 2014. The motion carried, 7-0. ORDINANCE NO.2013-15 An Ordinance of the City of East Wenatchee adopting the final budget of the Greater East Wenatchee Storm Water Utility in the amount of $4,151,784 for the fiscal year commencing on January 1, 2014. Associate Engineer Brandon Mauseth gave a review of the summary report for the 2014 Storm Water Utility Budget. 13-11-08 Second reading of an Ordinance fixing and confirming the salaries to be paid to certain officials and employees in the year 2014. Presented by: Nick Gerde, Finance Director CITY OF EAST WENATCHEE COUNCIL MINUTES DECEMBER 10, 2013 Council Action: A motion was made by Councilmember Barnhart, second by Councilmember Collings, to fix and confirm salaries to be paid to certain officials and employees in the year 2014. The motion carried, 7-0. ORDINANCE NO.2013-14 An Ordinance of the City of East Wenatchee, Washington, fixing and confirming the salaries and compensation to be paid to certain officials and employees of the City of East Wenatchee during the year 2014. 13-11-07 Second reading of an Ordinance adopting the 2014 Annual Financial Budget for the City of East Wenatchee. Presented by: Nick Gerde, Finance Director Council Action: A motion was made by Councilmember Johnson, second by Councilmember McCourt, to adopt the 2014 Annual Financial Budget for the City of East Wenatchee. The motion carried, 7-0. ORDINANCE NO.2013-13 An Ordinance of the City Council of the City of East Wenatchee, Washington, • adopting the Annual Budget of the City for the fiscal year commencing January 1, 2014. COUNCIL REPORT(S) Councilmember Collings noted that the Health District is in the process of getting quotes for a roof replacement in 2014. Mayor Lacy noted that we are coming to the end on the Moratorium with marijuana, and Council needs to think about going forward as it relates to opting in or out. He said it will be a significant issue at the first of the year in 2014. For sites in East Wenatchee, a total of 8 applications were submitted: 4 applications for retail sales, 2 applications for processors, and 2 applications for producers. Many other applications were submitted for properties in Douglas County. To -date, the City has taken the following actions: • August 13, 2013, the City Council adopted Ordinance 2013-06 establishing a moratorium prohibiting marijuana -related businesses. Recitals 1.1. The City of East Wenatchee ("City") is a non -charter code city, duly incorporated and operating under the laws of the State of Washington. 1.2. By establishing and amending Chapter 69.51A RCW, the Washington State legislature expanded the scope of certain activities involving the use of marijuana for medical purposes, including the ability of "qualifying patients" to create and participate in "collective gardens" for the purpose of producing, processing, transporting, and delivering marijuana for medical use, subject to certain conditions. 1.3. In 2012, the voters of the state of Washington passed Initiative 502. I-502 authorizes the issuance of marijuana producer, processor and retailer licenses, subject to the proviso that retail sale and certain acts of producing and processing marijuana in accordance with 1-502 and implementing regulations shall not be a criminal or civil offense under Washington state law, and subject to the further proviso that no such license shall be issued shall not issue a license for any premises within one thousand feet of the perimeter of the grounds of any elementary or secondary school, playground, recreation center or facility, child care center, public park, public transit center, or library, or any game arcade admission to which is not restricted to persons aged twenty-one years or older. I-502 requires the Washington State Liquor Control Board ("LCB") to adopt rules establishing the procedures and criteria for the licensing and operation of marijuana producers, processors and retailers by December 31, 2013. 1.5. The LCB re -filed its proposed rules regulating recreational marijuana uses on September 4, 2013, and adopted the proposed rules on October 16, 2013. 1.6. The LCB allocated 1 recreational marijuana retail license for the City of East Wenatchee and there are no limits on the number or recreational marijuana producer and processer licenses that may be issued. 1.7. The LCB rule became effective on November 16, 2013 and the deadline for license applications was December 20, 2013. 1.8. Marijuana production, processing, and retailing uses and facilities authorized by Initiative 502 must be addressed in the City's zoning code, but the impacts of these uses are still largely unknown, and the regulations that the City will need to address are uncertain. Additional time is required to prepare permanent zoning and other regulations addressing marijuana related uses. 1.9. Marijuana is still classified as a Schedule I controlled substance under federal law and crimes related to marijuana remain subject to prosecution under federal law 1.10. On August 29, 2013, the United States Department of Justice, Office of the Attorney General, ("DOJ") released updated guidance regarding marijuana enforcement. The guidance reiterates that DOJ is committed to using its limited investigative and prosecutorial resources to address the most significant threats to public safety related to marijuana crimes in "the most effective, consistent, and rational way." The guidance directs federal prosecutors to review potential marijuana -related charges on a case -by -case basis and weigh all information and evidence, including whether the operation is demonstrably in compliance with a strong and effective state regulatory system and if the conduct at issue implicates one or more of the eight stated federal enforcement priorities. The DOJ appears to not differentiate application of the guidance between medical cannabis and recreational marijuana. 1.11. The DOJ may change its August 29, 2013 guidance at any time and without notice. Currently, federal law conflicts with state law set forth in I-502. The production, processing, and retailing of marijuana remains in violation of the federal CSA, the City Council wishes to acknowledge the will of the City and State voters and the authority exercised by the state of Washington and the State Liquor Control Board to license such facilities, leaving all issues relating to the legality, licensing, siting and permitting of such facilities to be determined by the federal and state governments in the exercise of their lawful authority, as finally determined by a court of appropriate jurisdiction. 1.13. The City Council deems it in the public interest to replace the existing moratorium with the establishment of interim regulations advising the public where recreational marijuana producers, processors, and retail uses may be located in the City of East Wenatchee before any licenses are issued by the LCB. 1.14. The establishment of interim regulations of six months in duration will allow the City more time to draft and consider development standards applicable to recreational marijuana uses, hold public hearings, and adopt permanent zoning and other regulatory controls related to marijuana related uses. 1.15. The potential adverse impacts upon the public safety, • welfare, and peace, as outlined herein, justify the declaration of an emergency supporting the adoption of this interim regulation. 2. Authority. 2.1. RCW 35A.11.020 and RCW 35A.12.190 authorize the City Council to adopt ordinances of all kinds to regulate its municipal affairs and appropriate to the good government of the City. 2.2. RCW 35A.63.220 and RCW 36.70A.390 authorize the City Council to adopt moratoriums and interim ordinances. THE CITY COUNCIL OF THE CITY OF EAST WENATCHEE DO ORDAIN AS FOLLOWS: 3. Definitions. As used in this ordinance, the following terms have the definitions set forth below and in RCW 69.50.101 and RCW 69.51A: 3.1. "Collective garden" means the growing, production, processing, transportation, and delivery of cannabis (i.e. marijuana), by qualifying patients for medical use, as set forth in Chapter 69.51A RCW. The term does not include the mature stalks of the plant, fiber produced from the stalks, oil or cake made from the seeds of the plant, any other compound, manufacture, salt, derivative, mixture, or preparation of the mature stalks (except the resin extracted therefrom), fiber, oil, or cake, or the sterilized seed of the plant which is incapable of germination. 3.3. "Marijuana processor" means a person licensed by the state liquor control board to process marijuana into useable marijuana and marijuana -infused products, package and label useable marijuana and marijuana -infused products for sale in retail outlets, and sell useable marijuana and marijuana - infused products at wholesale to marijuana retailers. 3.4. "Marijuana producer" means a person licensed by the state liquor control board to produce and sell marijuana at wholesale to marijuana processors and other marijuana producers. 3.5. "Marijuana -infused products" means products that contain marijuana or marijuana extracts and are intended for human use. The term "marijuana -infused products" does not include useable marijuana. 3.6. "Marijuana retailer" means a person licensed by the state liquor control board to sell useable marijuana and marijuana -infused products in a retail outlet. 4. Medical cannabis collective gardens - Prohibited. Collective gardens as defined in RCW 69.51A.085 are prohibited in all zoning districts within the city of East Wenatchee. As authorized by RCW 35A.82.020, the City will not issue a business license to any person operating or proposing to operate a collective garden. 5. State -licensed marijuana facilities. The production, processing and retailing of marijuana is and remains illegal under federal law. Nothing herein or as provided elsewhere in the ordinances of the city of East Wenatchee is an authorization to circumvent federal law or provide permission to any person or entity to violate federal law. Only state -licensed marijuana producers, marijuana processors, and marijuana retailers may locate in the city of East Wenatchee and then only pursuant to a license issued by the state of Washington. The purpose of these provisions is solely to is City of East Wenatchee Ordinance 2014- Page 4 of 8 Exhibit 1 acknowledge the enactment by Washington voters of Initiative 502 and a state licensing procedure and to permit to, but only to, the extent required by state law marijuana producers, marijuana processors, and marijuana retailers to operate in designated zones of the city: 5.1. Marijuana processor, Marijuana producer, and Marijuana retailer may be permitted to operate only within the General Commercial (G-C) Zoning District. Such facilities and uses may be located only at the designated sites licensed by the state of Washington and fully conforming to state laws. 5.2. Marijuana retailer may be permitted to operate only within the General Commercial (G-C) and the Central Business District (CBD) Zoning Districts. Such facilities and uses may be located only at the designated sites licensed by the state of Washington and fully conforming to state law. 5.3. No Marijuana processor, producer, and retailer may be operated in any residential, neighborhood commercial or mixed -use zoning district. 5.4. No Marijuana processor, producer, and retailer may locate within any residential unit in the City. 5.5. All signage and advertising for a Marijuana processor, producer, and retailer must comply with City Codes and WAC 314-55-155. 5.6. Sufficient measures and means of preventing smoke, odors, debris, dust, fluids and other substances from exiting the recreational marijuana business must be in effect at all times. In the event that any odors, dust, fluids or other substances exit a recreational marijuana business, the owner of the subject premises and the licensee shall be jointly and severally liable for such conditions and shall be responsible for the immediate, full clean-up and correction of such condition. The licensee shall properly dispose of all such materials, items and other substances in a safe, sanitary and secure manner and in accordance with all applicable federal, state and local laws and regulations. 5.7. A Marijuana processor, producer, and retailer must obtain a City Business License. The issuance of a City Business License does not grant any special authority for the production, processing or sale of marijuana. The issuance of a City Business License does not grant any special privilege to violate federal law. Obtaining a City Business License does not provide a licensee with any affirmative defense to a violation of City of East Wenatchee Ordinance 2014- Page 5 of 8 Exhibit 1 • federal law. By accepting a license issued pursuant to this Ordinance, the licensee waives and releases the City, its officers, elected officials, employees, volunteers and agents from any liability for injuries, damages, or liabilities of any kind that result from any arrest or prosecution of business owners, operators, employees, clients or customers for a violation of federal, state or local laws and regulations. 6. Refer for Review to Planning Commission. The interim regulations adopted by this ordinance will remain in effect for a period of six months from the date this ordinance is adopted unless permanent regulations are adopted sooner, or unless the interim regulations are extended pursuant to RCW 36.70A.390 and RCW 36.63A.220. The East Wenatchee Planning Commission is directed to develop a recommendation for permanent regulations governing marijuana -related uses in prior to the expiration of the interim regulations established by this ordinance. 7. Recitals Adopted as Findings of Fact. The City Council adopts the above recitals as its findings of fact in support of this ordinance. The Council may adopt additional findings in the event that additional public hearings are held or evidence is presented to the City Council. M 8. Transmittal. As required by RCW 36.70A.106, the City Council directs the Community Development Director to transmit this interim Ordinance to the Washington State Department of Commerce. 9. Severability. If a court of competent jurisdiction declares any provision in this Ordinance to be contrary to law, such declaration shall not affect the validity of the other provisions of this Ordinance. 10. Publication. The City Council directs the City Clerk to publish a summary of this Ordinance. The summary shall consist of the title of this Ordinance. 11. Public Hearing. Pursuant to RCW 35A.63.220 and RCW 36.70A.390, the City Council must hold a public hearing on this ordinance within 60 days of its adoption, so as to hear and consider public comment and testimony regarding this ordinance. Following the hearing, the City Council may adopt additional findings of fact. Our company, The Happy Crop Shoppe, LLC, has applied for a retail 1-502 business license for a property located at 50 Rock Island Rd. Under your current proposal, this would eliminate our business from operating at this address. According to the city's zoning map dated February 2010, our location would be situated in the General Commercial District. The Happy Crop Shoppe, LLC is a locally owned company formed by business owners, professionals, and entrepreneurs. In preparation to apply for the state business license we hired an attorney and thoroughly researched options to find a location in East Wenatchee that met the criteria set forth by the WA State Liquor Board. Some of these requirements include being compliant with the 1000-foot rule from a park, child care center, library, or school. Many locations situated within the city's proposed Central Business District would violate state requirements. Prior to being issued a retail license, we will undergo strict background investigations, will be required to implement stringent security and safety measures, and must follow all rules and guidelines set forth by the state. We will operate a legitimate business with the highest regard for public safety and our community, We will generate tax revenue for the city, and contribute to our local economy. We see no reason to restrict retail 1-502 to the Central Business District. There are many retail, commercial, and service establishments operating in the same zone as our proposed location. Costco, Coastal Farm and Ranch, Safeway, restaurants, a car dealer, and multiple other retail businesses are located in the same General Commercial District. Your current proposal would allow production and processing in this area, and we believe our Rock island Rd location to be an ideal spot for our retail store. Had the restrictive zoning been brought forth earlier, we could have tried to secure a location in your proposed area. At this point, finding an alternate location may prove to be difficult and costly. We ask that you reconsider your proposed zoning restrictions for retail 1-502 business. Annual operational revenues for 2013 exceeded our estimates, including the following: Budget Sales Tax $2,797,000 Property Tax 1,558,000 REET 172,000 Gambling Tax 125,000 Building Permits 45,000 Actual Difference $3,202,000 $405,000 1,564,000 6,000 262,000 90,000 307,000 182,000 69,000 24,000 These positive revenue variances were partially the result of our realistic conservatism in forecasting revenues, as well as economic circumstances which may be counter -intuitive. 2. Operating expenditures are also expected to be within budgeted amounts, but will not be finalized until after the open period. We do know that labor and benefits will be approximately $4,485,000 for 2013, in comparison to a budget of $4,605,000. Other operational expenditures are expected to be close to budgets. CJ 10 3. Capital projects for 2013 were completed by the end of the year, even though they started much later than originally scheduled. We paid the last large invoices for the Eastmont Rebuild project in late November and early December, and were able to bill and receive reimbursement from the TIB Grant by year end. The same was true for the 11 th Street Sidewalk Project. 4. Year-end cash projections are also favorable in comparison to our original estimates. The primary drivers included a larger carry forward from 2012, favorable revenue receipts and positive cost variances noted previously, as well as a lesser capital project contribution for 2013. In addition, the overlays for 9th and 15th were re -scheduled for 2014, and the matching portion for the Eastmont Rebuild was less than expected. (b) Executive Session (approximately 15 minutes) The Council went into Executive Session on a motion by Keith Goehner and 2nd by Mike Mackey at 9:04 a.m. to discuss a salary increase and merit pay plan policy for the Executive Director. The Executive Session concluded at 9:20 a.m. (c) Approve Merit Pay Plan Policy Following the executive session there was unanimous approval on a motion by Frank Kuntz and 2nd by Russell Clark to adopt the Executive Director's new salary range of $83,357-$107,418, and a salary increase to $93,446 effective December 1, 2013 through June 30, 2015, and to direct the Director to propose up to four organizational goals to be used in his June 2015 performance review at the time he submits the 2014-2015 preliminary budget proposal and apply the Merit Pay Plan compensation in year 2015-2016 and beyond. The Council unanimously adopted the Merit Pay Plan Policy for the Executive Director on a motion by Mark Spurgeon and 2nd by Ken Stanton. 6) REPORTS & DISCUSSION ITEMS 6(a) Discussion of November 13, 2013 NCRTPO Transportation Alternatives Program (TAP) Selection Process The board reviewed the funding selection process of the TAP funding conducted at the NCRTPO meeting. The members in attendance at the NCRTPO meeting acknowledged their approval of the criteria that was used, but in the end didn't like how it was applied during the scoring and project ranking process. After extended discussion, it was decided that the selection methodology applied for the STP process worked much better, and that TAC needs to continue to be involved with the ranking process for all funding prioritization programs. 6(b) Legislative Update Jeff Wilkens, Dan Sarles and Richard DeRock led a discussion about the status of project lists for the House of Representatives and Senate and the possibility of a new transportation revenue package. Jeff was given authority to independently represent WVTC in discussions with the city, WSDOT and 12th district legislators about the $28 million on the Confluence Parkway Phase 1 project as those discussions evolve between Council meetings. Emergency Services Dispatcher Positions • Adina Stains successfully completed the initial training phase for the position of Emergency Services Dispatcher; she is now participating in hands-on training on the operations floor with a Certified Training Officer. • Two (2) individuals have accepted offers of employment for Emergency Services Dispatcher positions and will start employment and the in-house Training Academy on January 2, 2014. Two (2) other individuals are in the final phase of the pre -employment process; it is hoped that they will also start employment on the same date. • Director Fosse and Confidential Administrative Assistant Engler will be attending a conference -meeting with Public Safety Testing in Lynnwood, WA on December 9, 2013. RiverCom should not bank on similar revenue increases as have been realized in 2013 when projecting for future years. • Director Fosse said that although Emergency Services Dispatcher positions are being filled, RiverCom does not expect to see a decrease in overtime costs until sometime mid -year as new hires complete training and are assigned to vacant shifts. 8. Operations Report -There was no report. 9. Committee Reports a. Board Member Pulse reported on the RiverCom Operations Group meeting that took place yesterday, December 10. Cy Sousley with Cashmere Fire Department gave a presentation on a new product he is developing called "ISpyFire". Like "Active 911", the program provides supplemental information to responders and can be used on iPads and smart phones. After a further discussion about both programs, users were in favor of immediately implementing the "Active 911" program and asked that such a recommendation be made to the RiverCom Administrative Board. Please consider this letter response as a counter offer for the final "negotiated" settlement from • WSDOT to the City of East. Wenatchee. Back in 2009, we presented_an offer to the city for the purchase of the city property located below Fred Meyer store in East Wenatchee. We mentioned in that offer letter that the subject property had been examined by qualified appraisers and appraisal reviewers who carefully considered any and all elements affecting the market value at the time of the report. We also explained to the city that it is the review appraiser, however, who sets the amount of just compensation to be paid. This is done across the State of Washington in cases of a total or partial acquisition of properties where estimate of value exceeds $25,000. In such cases, the review appraiser has both the authority and discretion to either increase or decrease the value to be paid or even reject the appraisal in its entirety and send it back to the original appraiser for reconsideration. In regard to the appraisal report rendered by Mr. Vincent of Pacific Appraisal Associates on the subject property, the review appraiser argued that this 2.2 acre parcel had considerable development challenges chiefly due to the lack of a viable access and its inferior location for commercial development. The reviewer further concluded that the subject did not favorably compare to the majority of the sales reported by Mr. Vincent because of the absence of any development plans, existence of a'stormwater easement across the property, and backland to waterfront foot ratio which severely limited any viable building foot print for a commercial. development. Additionally, during a site visit, the reviewer noticed that the property sits directly below a 40' retaining wall of Fred 0 Meyer store affected by its shade for most of the day. • Because of the reasons given above, your offer of settlement based on the value of $462,000 plus interest is not acceptable. Specifically, it is due to the city's decision to purposely delay the conveyance by deed that renders any discussion on the interest more than 4 years after the fact to be unreasonable. We still believe that the reviewer considered all the potential benefits attributable to the property value of the subject based on the market data reported and available at the time and therefore the $370,000 determination of value as just compensation was a fair offer. I have been in consultation with our executive management here in the region regarding your offer of settlement. In the spirit of cooperation, I would like to propose an administrative settlement offer of $45,000 (interest included) in addition to the negotiated Possession and Use amount already paid to the city for a total and final settlement payment of $415,000. As you know, the Addendum required the City of East Wenatchee to provide a driveway "of substantially identical width, grade, materials, and slope, to that existing at 300 Eastmont before construction, to include access onto Eastmont from the driveway." If the Addendum is legally binding on the City of East Wenatchee, then an issue arises regarding whether the post -construction driveway at 300 Eastmont is of substantially identical width, grade, materials and slope to the driveway that existed at 300 Eastmont before construction. If the post -construction driveway is not of substantially identical width, grade, materials and slope, then an issue arises regarding what claim does Lacy & Kane have against the City of East Wenatchee to require it to construct a driveway that is of substantially identical width, grade, materials and slope to the driveway as it existed before construction, and the cost of any remedial measures. Issue No.1: - Is the Addendum Binding on the City of East Wenatchee? Yes. The Permit is considered a written contract. The City of East Wenatchee Permit to Enter Upon Real Property clearly states that the city representative who signed the Permit is an authorized representative of the City of East Wenatchee. The authorized representative had • the ability to bind the City of East Wenatchee to the terms of the Permit. Paragraph 4 of the Permit identifies the attached Addendum and incorporates the Addendum and the terms thereof, into the 4 corners of the Permit. • A binding contract is generally defined as a written agreement between 2 or more persons or entities which creates an obligation to do or not to do a particular thing. The essential requirements of a binding contract include competent parties, subject matter, legal consideration, mutuality of agreement and mutuality of obligation. In this case, all the necessary elements of a binding written contract exist. The parties are competent. The Permit/Addendum references a particular subject matter, there is legal consideration, mutuality of agreement and a mutuality of obligation. Once it is determined that the Permit and the Addendum are binding on the City of East Wenatchee, then the next issue that needs to be addressed is whether or not the post - construction driveway is substantially identical in width, grade, materials and slope to that of the pre -construction driveway. 0 Page 2 • Issue No. 2: - Is the Post -Construction Driveway Grade Substantially Identical to the Pre -Construction Driveway Grade? No. • Based on my review of the pictures, driveway schematic, my discussions with you and some of my own independent research, it appears that the post -construction driveway grade is not substantially identical to the pre -construction driveway grade. Issue No. 3 — Is the City of East Wenatchee Obligated to Remedy the Post -Construction Driveway Grade? Yes. I understand that constructing a post -construction driveway with a grade substantially identical to the pre -construction driveway grade is improbable, if not impossible. Mr. Kane has proposed that "Easy Heat Mats" be installed in the Lacy & Kane driveway to eliminate any hazards associated with the post -construction driveway that might arise as a result of inclement weather. I understand that the bids for installing the Easy Heat Mats are in the range of approximately $12,000.00 to $16,000.00. Based on the information I reviewed, it would appear that the installation of the Easy Heat Mats would be an acceptable solution to Mr. Kane's request. Unfortunately, I understand that asphalt plants are now closed for the year and installing the Easy Heat Mats may not be able to be performed until Spring of 2014. One solution I would propose to protect the City of East Wenatchee from any liability is to promptly pay to Lacy & Kane the amount of the Easy Heat Mat bid acceptable to Lacy & Kane. Payment would be conditioned on Lacy & Kane entering into a settlement and release agreement whereby Lacy & Kane would accept responsibility for contracting the work to install the Easy Heat Mats. It is my opinion that the City of East Wenatchee should not actually install the Easy Heat Mats. Lacy & Kane should also release the City of East Wenatchee from past, present or future liability relating to the installation of the Easy Heat Mats and any accidents, claims or other adverse consequences that might occur prior to the installation of the Easy Heat Mats. You also had a question in regards to the potential conflict between Lacy & Kane and Steve Lacy's political affiliation as the Mayor with the City of East Wenatchee and whether a settlement short of litigation creates any type of conflict for the City of East Wenatchee. In this regard, I have reviewed RCW 42.23.020 and RCW 42.23.030. 0 Page 3 RCW 42.23.020 states: RCW 42.23.020. Defmitions (1) "Municipality" shall include all counties, cities, towns, districts, and other municipal corporations and quasi municipal corporations organized under the laws of the state of Washington; e • (2) "Municipal officer" and "officer" shall each include all elected and appointed officers of a municipality, together with all deputies and assistants of such an officer, and all persons exercising or undertaking to exercise any of the powers or functions of a municipal officer; • (3) "Contract" shall include any contract, sale, lease or purchase; (4) "Contracting party" shall include any person, partnership, association, cooperative, corporation, or other business entity which is a party to a contract with a municipality. RCW 42.23.030 states in part as follows: RCW 42.23.030. Interest in contracts prohibited --Exceptions No municipal officer shall be beneficially interested, directly or indirectly, in any contract which may be made by, through or under the supervision of such officer, in whole or in part, or which may be made for the benefit of his or her office, or accept, directly or indirectly, any compensation, gratuity or reward in connection with such contract from any other person beneficially interested therein. This section shall not apply in the following cases: (1) The furnishing of electrical, water or other utility services by a municipality engaged in the business of furnishing such services, at the same rates and on the same terms as are available to the public generally; (2) The designation of public depositaries for municipal funds; (3) The publication of legal notices required by law to be published by any municipality, upon competitive bidding or at rates not higher than prescribed by law for members of the general public; • Page 4 (4) The designation of a school director as clerk or as both clerk and purchasing agent of a school district; (5) The employment of any person by a municipality for unskilled day labor at wages not exceeding two hundred dollars in any calendar month. The exception provided in this subsection does not apply to a county with a population of one hundred twenty-five thousand or more, a city with a population of more than one thousand five hundred, an irrigation district encompassing more than fifty thousand acres, or a first-class school district; • (6)(a) The letting of any other contract in which the total amount received under the contract or contracts by the municipal officer or the municipal officer's business does not exceed one thousand five hundred dollars in any calendar month. As you can see from the excerpts of these statutes, RCW 42.23.030 prohibits a municipal officer i.e., Mayor, from having any direct or indirect interest in any contract or accepting, directly or indirectly, any compensation, gratuity or reward in connection with such contract from any other person beneficially interested therein. Based on the definitions contained in RCW 42.23.020, I believe that a direct settlement payment from the City of East Wenatchee to Lacy & Kane would be a potential violation of RCW 42.23.030 which could result in a penalties. To avoid any violation of RCW 42.23.050, my suggestion would be to notify Mr. Kane that he needs to make a claim against the City of East Wenatchee pursuant to the claim statute (RCW 4.96.020). Making a claim pursuant to RCW 4.96.020 would act as formal notice to the City of East Wenatchee of the Lacy & Kane driveway claim. After receipt of such a claim, the City of East Wenatchee can then engage in efforts to resolve the claim without subjecting it to penalties for violating RCW 42.23.030. The City agrees to pay 100% of the full premium for an eligible employee for Medical/Dental/Orthodontia/Vision insurance. The City agrees to pay 100% of the full premium for LTD insurance. I-] 12.2 An eligible employee may obtain coverage for his or her eligible dependents under the City's Group Medical/Dental/Orthodontia/Vision Insurance Program. The City will pay 100% of the full premium for an employee's first dependent and 50% of the full premium for additional dependents. PROVIDED, however, the City will only pay one premium for an employee (For example, if an employee is also an eligible dependent, he or she must elect to receive insurance as an employee or as a dependent). Premiums are subject to change. The City will notify the Union President and Staff Representative of any premium changes as soon as the City is made aware. 12.3 If the City needs to or desires to change the carrier currently providing group insurance coverage during the life of this Agreement, the City will evaluate alternative carriers and insurance packages in determining what group insurance coverage will be provided, and will make a good -faith effort Page 1 of 2 • to provide the bargaining unit as a whole with benefits that are substantially similar to those currently in effect. 22.4 An employee or an eligible dependent may waive his or her health insurance benefits. If an employee or an eligible dependent waives these benefits, the City will contribute 50% of the waived premium cost to a Health Savings Account in the employee's name. An employee or an eligible dependent must elect waiver between November 1 and November 30 of each year. Once an employee elects a waiver, he or she is ineligible to sign up for City benefits until the next open enrollment period. 22.5 The City agrees to representation and participation by one designated Union representatives to review medical insurance policies, proposed changes regarding coverage, etc., and must notify such representatives of meetings held by the City Council for such purpose.
