1. Parties. The Parties to this Agreement are the City of East Wenatchee
("City") and The Spirit of Wenatchee ("Spirit"), a non-profit corporation.
2. Purpose. In 1931, Clyde Pangborn and Hugh Herndon were the first
individuals to fly non-stop across the Pacific Ocean. They took off from
Misawa, Japan and landed at an airfield near East Wenatchee, WA. They
completed this flight in a Bellanca Skyrocket monoplane named Miss
Veedol. The City's logo and tourism promotion theme is centered around
this flight and around Miss Veedol. Spirit owns and operates a replica of
Miss Veedol. The City would like to use the replica to attract tourists to
the City and to enhance the City's theme. Miss Veedol is housed in a
hanger owned by the East Wenatchee Rotary Club ("Rotary").
3. Term. The term of this agreement is from January 1, 2014 through
December 31, 2016. This Agreement automatically renews for an
additional three-year term, unless one party gives 60 days written notice
to the other party that it intends to terminate the Agreement.
4. Spirit's Responsibilities. Spirit agrees to perform the following services
for the City:
4.1. Pilot Miss Veedol on a flyover during the Wenatchee Apple Blossom
Festival.
4.2. Pilot Miss Veedol on a flyover during East Wenatchee's Wings and
Wheels Festival.
4.3. Pilot Miss Veedol on a flyover of one City -sponsored event in addition
to the Wings and Wheels Festival.
4.4. Give a tour of the Rotary's hanger where Miss Veedol is housed to
each delegation from Misawa,.Japan.
4.5. Provide rides in private planes to delegation members from Misawa,
Japan.
4.6.At the City's request, provide tours of the Rotary's hanger where Miss
Veedol is housed.
4.7.Install viewing windows in the Rotary's hanger.
4.8. Periodically provide the City with pictures of the flyovers and tours.

4.9.In general, promote East Wenatchee as a tourist destination.
4.10. Spirit reserves the right not to fly Miss Yeedol if it determines
that a flight would be unsafe. Declining to fly Miss Ueedol, because of a
safety reason is not a breach of this Agreement.
5. The City's Responsibilities. Upon receipt of an invoice from Spirit each
year, the City will pay Spirit an annual amount of $3,000.
